Title.... rlie.cu.tly.g:...y..ic_g...Er..e.siden.t.. ARTICLE II Membership ^ Section 1.--Qualifications for Membership Any individual, partnership, corporation or division of a corporation actively engaged in the operation of a chemical manufacturing plant within the United States of America, and selling to others a substan tial portion of the chemicals produced in such plant, is eligible to membership in this Association. Section 2.--Application for Membership Application for membership in the Association shall be made in writing on a form approved by the Board of Directors which shall be signed by the applicant, and by two members of the Association as spon sors, and shall state: (1) (a) if the applicant is an individual: his name and address; (b) if the applicant is a partnership: the name and address of each partner; (c) if the applicant is a corporation (or a division thereof): its name, address and place of incorporation; (2) the locations of the applicant's chemical plants in the United States of America; (3) the kinds of chemical products manufactured by applicant; (4) that the applicant regularly sells a substantial portion of the chemicals produced by it in the United States to individuals, partnerships or corporations not affiliated with applicant; and (5) that applicant accepts and agrees to abide by the Certificate of Incorporation and the By-Laws of the Association. Section 3.--Election of Members The Membership Committee shall consider each application for membership and submit to the Board of Directors its report on the eligibility of the applicant. After the Membership Committee shall have re ported that an applicant is eligible for membership, such applicant may be elected to membership by a ma jority vote of the members present at any meeting of the Association at which there is a quorum, or, if thirty (30) days' written notice has been given to all members of the Association of the applicant to be acted upon, and no objection to such applicant has been received by a majority vote of all members of the Board of Directors. Following election to membership, notice thereof shall be mailed to the applicant by the Secretary and upon payment of the entrance fee and annual dues the applicant shall become a member of the Association. Section 4.--Withdrawal ^ Any member may, upon payment of unpaid obligations to the Association, withdraw from membernip at any time by giving at least thirty days' advance written notice thereof to the President or Sec retary. Section 5.--Suspension or Expulsion Any member, after having been provided with a copy of the charges against him and granted a reason able opportunity to be heard, may, by a two-thirds vote of all the members of the Board of Directors, be suspended for a limited time or expelled from membership for violation of the By-Laws or for conduct prejudicial to the best interests of the Association. Section 6.--Termination The membership of any member, and all rights and privileges thereof, shall immediately terminate in the event such member shall cease to meet the qualifications for membership prescribed in Section 1 of this Article. It shall be the duty of each such member to give prompt notice in writing to the President or Sec retary of any change in ownership or activities affecting the qualifications for membership of such member. ARTICLE III Entrance Fees, Dues and Assessments C1V[A ! 75083 Section 1.--Entrance Fees Each member-elect upon receipt of notice of election shall as a condition of membership, pay an entrance fee of $100.00, in addition to annual dues as herein provided. Section 2.--Annual Dues The annual dues for each member shall be $200.00, payable June 1 of each year in advance; provided, however, that the dues of any member elected subsequent to December 1 shall be $100.00, for the remainder of the fiscal year. Section 3.--Assessments The Board of Directors may, by affirmative vote of two-thirds of all of the Directors, sessment upon members, in addition to the annual dues, to pay the necessary expenses of work in harmony with the purpose of the Association. The amount of the asse|srnent to member shall be determined by the Board of Directors with due regard to benefits from and the resources of the member affected thereby.
