I. OPENING REMARKS AND INTRODUCTION OF GUESTS.

Upon calling the meeting to order, Chairman Minnig expressed the deep appreciation of the Board of Directors, other guests, and their wives for the hospitality of the West Coast member companies evidenced by the so cial events sponsored by them at Pebble Beach and San Francisco and by the

provision of air transportation for the registrants between those cities. He also commended the Arrangements, Information, and Ladies Committees for their planning and conduct of an outstandingly enjoyable and worthwhile pro gram. It was then requested that those present stand and introduce themselves by giving their names and company affiliation.
II. MINUTES OF FEBRUARY 8. 1972, MEETING.
The minutes of the February 8, 1972, meeting of the Board of Directors were duly approved as submitted to the members.
III. REPORT OF THE SECRETARY-TREASURER.
The financial report for the nine months ended February 29, 1972, was summarized by the Secretary-Treasurer.

VOTED: That the report be accepted and placed on file.
IV. BOARD OF DIRECTORS.
(a) Appointment of Alternate. It was reported that James A.
Hughes had requested the appointment of C. A, Cash, Diamond Shamrock
Corporation, as his Alternate.

VOTED: That the appointment of Mr. Cash be approved.
(b) Proposed Rules of Organization and Procedure for the Economic Policy Review Committee. Furnished to Directors in advance of the meeting and summarized by Chairman Dawson of the Executive Commit tee were the proposed Rules of Organization and Procedure for the Economic Policy Review Committee, copy appended as Exhibit B, the approval of which had been recommended by the Executive Committee.

VOTED: That the Rules of Organization and Procedure of the Economic Policy Revilew Committee, as contained in Ex hibit B, be approved.

(c) Proposed Amendments to the Association's Bylaws. Furnished to Directors in advance of the meeting and summarized by Chair man Dawson of the Executive Committee were proposed amendments to the Association's Bylaws which would provide for election by the members of a Vice Chairman of the Board of Directors, and appointment by the President, with the approval of the Board of Directors, of Vice Presidents and the Secretary-Treasurer from the staff of the Association, copy appended as Exhibit C. The Executive Committee had recommended approval of the pro posed amendments by the Board of Directors in order that they might be sub mitted to the membership at the next Annual Meeting,
ON MOTION, duly made and seconded, it was,
VOTED: That the proposed amendments to the Association's Bylaws, as set forth in Exhibit C, be approved for submission to the membership at the next Annual Meeting.

(d) Environmental Protection Agency Wastewater Guidelines Survey. Chairman Dawson of the Executive Committee reported that, at the request of the Environmental Protection Agency, the Association's staff would circulate a Wastewater Guidelines Survey Questionnaire to certain member companies for the purpose of gathering information on which,, after consolida tion of all figures by MCA to avoid company or plant identification, EPA might base guidelines on effluent limitationr`expected to be required by pending amend ments to the Federal Water Pollution Control Act. The Executive Committee believes that cooperation with EPA in this effort will be in the best interests of the chemical industry and therefore recommends that those companies receiving the questionnaire participate in the survey.
(e) Reports of Board Liaison Committees. Chairmen Gerstacker, Dauler, and Roehm of the Board Liaison Committees for Environmental Quality and Control, Other Technical Committees, and Public Relations and Education, respectively, and Mr. Russell, on behalf of the Board Liaison Committee for Government Relations, each reported on the activities of the liaison committees and of the technical and functional committees under their jurisdiction. Prob lems encountered, together with possible solutions, were described in th cases of some areas of committee operations and with respect to Government Relations activities, the importance of active participation by senior executives of member companies was emphasized.

VI. STAFF REPORT.
Mr. Driver reported upon the status of the Toxic Substances Control Act and upon the recent Environmental Survey conducted by the As sociation, inviting attention to the five charts, furnished to those present, which graphically present the results of the survey. A copy of his written report concerning legislative developments and Association activities since the preceding meeting of the Board of Directors, together with the charts depicting results of the Environmental Survey, are appended as Exhibit D, the written report having been forwarded to Directors in advance of the meet ing.

Chairman Dawson of the Executive Committee said that he had been requested to report for the information of those present (not as an item of MCA business) concerning the serious threat to the chemical and other

industries posed by Proposition Nine, the Pollution Initiative or Clean Envi ronment Act, to be submitted to the California voters in the primary on June 6, Pointing out some of the adverse.effects which adoption of the Proposition would have upon chemical companies manufacturing or marketing their prod ucts in California, he advised that company executives with such interests in California should anticipate an early request for funds to support an intensive publicity campaign to forestall adoption of the Proposition.
