FORMATION The American Industrial Hygiene Association was established in 1939 by leading Industrial hygienists as a result of need for an association devoted exclusively to industrial hygiene. OBJECTIVES The objectives of the Association as stated in the Articles of Incorporation are: 1. To increase the knowledge of industrial hygiene through interchange and dissemination of information. 2. To promote the study and control of environ mental factors affecting the health and well-being of in dustrial workers. 3. To correlate such activities as are conducted by individuals and agencies throughout industrial, edu cational and governmental groups. 4. To bring together persons interested in the var ious phases of industrial hygiene. ; ACTIVITIES " Some of toe activities in carrying out these objec tives are: (1) Representation of industrialhygienists:-The Associa tion speaks or acts for industrial hygienists in mat ters of general interest as: (a) Dissemination of information on the fundamentals of industrial hygiene. fb) Definition of the scope of industrial hygiene. (c) Development of nomenclature in industrialhygiene . 1 (d) Improvement of the education, training, and statue of industrial hygienists. fe) Solutions of problems of industrial hygiene in national and other emergencies, in part by en couraging the optimum use of available industrial hygististB and the training of new ones. (f) Cooperation with various organizations as die AmericanStandards Association and governmental agencies in die preparation of various codes and approval schedules. {gj Presentation of awards to members of the Asso ciation for outstanding service in the field of in dustrial hygiene. (3 Meeting: One meeting per year is held by the Asso- elation,.and most of the Local Sections of the Asso ciation hold several meetings per year. . The knowledge of industrial hygiene is increased by die information presented in the carefully selected scien tific talks on new discoveries and developments. Infor mation Is disseminated not only by these talks, but also by less formaidiscussions among individuals and groups, andby scientific and commercial exhibits of high quality. The information disseminated and acquired at these meetings unquestionably encouragesthe study and control of environmental factors affecting the health and well being of industrial workers, and aids in correlating the activities of various individuals and agencies. These have been joint meetings with the American Association of Industrial Physicians and Surgeons ami, in some instances, wiih other organizations as well. The American Conference of GovernmentalIndustrial Hy gienists (known as the National Conference until 1947) Joined the group in 1943 for its 6th annual meeting; the American Association of Industrial Nurses in 1944 lor its 2nd annual meeting; and tee American Association of Industrial Dentists in 1646 lor Its 3rd annual meeting. This practice of holding joint meetings has tee advantage of providing opportunities for personal contacts and ex changes of information to closely related fields. The increase to tee number of the cooperating associations to evidence of an increase to tee popularity and recog nition of the value of this practice. In 1950 die A.I.H.A. affiliated with the American Association for file Advancement of Science. . . Several interim meetings ofA.I.H.A. have been held during the annual meeting of the latter society in Decem ber. A joint session of A.I.H.A. with the American Society of Safety Engineers is customarily held during the National Safety Congress each Fall. Meetings of the Board of Directors of the Associa tion are held twice a year. Information on these meet ings and other subjects is disseminated to members by frequentnewsletters prepared by the Executive Secretary. Members receive this publica tion as one of their benefits of membership. Of their $10.00 dues, $6.50 goes to pay for toelr sub scription. Subscription rate for non-members is $7.50. (b) HYGIENIC GUIDES: Series of bulletins contain ing pertinent information required for hazard evalu ation. Subjects cover all ofthe common industrial chemicals and materials, including new chemicals introduced to toe industrial markets. (c) INDUSTRIAL NOISE MANUAL - toe first of a series of technical manuals, written by the Noise Committee, is a reference volume of ten chapters. It is priced at $7.50 to non-members, $4.50 to members of toe Association. Information on the duties of officers and committees, election of officers, and terms of .officers is given in the Articles of Incorporation and Bylaws. The financial records show that as of April 1, 1958 toe Association had a bank balance of $3,552.08, and investments of $4,464 inU.S. Savings Bonds SerieB F and G, along with a savings account Of $8,000. '"Hie Board of Directors may elect to membership in '} toe Association reputable persons who have been engaged in some form of industrial hygiene activity for at tewt three years and have been graduated from an accredited school o! college grade or have had equivalent training. Graduate -study may be accepted to place of part or all of the required period of industrial hygiene activity." On October 1, 1951 there was adopted a new mem bership application blank which explains in some detail toe present interpretation of toe membership require- uents quoted above. A copy of this blank is available upon request from toe Executive Secretary. Any person having aprofessional interest in industrial hygiene may become an associate member of alocal sec tion, entitled to all toe privileges of membership to toe section except toe right to become president or enjoy toe privileges of toe national Association. Application for Associate membership in a local section should be made in writing, including toe names of two members or asso- elate members of that local section. : Table 1 shows toe growth of the membership and : &e geographic distribution of toe present members. . By an amendment adopted June 25, 1955,the member- | ship was broadened to include Industrial Associates. Any ; ; organization may apply for this status and must be ap- .! proved by a two-thirds vote of the Board of Directors. j The dues shall be $50.00 per year. ' This Amendment (No. 6) also provided for Honorary ; Membership. Castrop. 18 ' ^ ARTICLE V Object The purpose or purposes for which die corporation is organized are: to increase die knowledge of industrial hygiene dirough interchange and dissemination of infor mation; to promote the study and control of environmental factors affecting the health and well-being of industrial workers; to correlate such activities as are conducted by individuals and agencies throughout industrial, edu cational and governmental groups; and to bring together persons interested in die various phases of industrial hygiene. ARTICLE VI Membership The Association may have one or more classes of members. The designation of such class or classes and toe qualifications and rights of members of each class shall be as from time to time set forth to toe By-Laws. ARTICLE TO Officers Section 1. The officers of toe Association shall be a President, a President-Elect, aSecretary, and a Treas urer. The officers shall be elected by members of toe Association and shall serve until their successors are elected and Installed. The President-Elect shall be elec ted annually and shall automatically accede to the Presi dency cm election and installation of his successor. The Secretary and Treasurer shall be elected for a term of three years. Their tenure of office shall not run con currently . Section 2. An Executive Secretary may be appointed by the Board of Directors. He need not be a member of the Association and shall hold office at toe pleasure of foe Board of Directors. Section 3. Committees not having and exercising authority of foe Board of Directors in foe management of foe Association, may be designated by resolution a dopted by a majority of foe Directors present at a meet ing at which a quorum is present. IS ARTICLE V1H Administration Section I. The Association shall be governed by the Board of Directors. The Board of Directors, by a resolution adopted by a majority of the Directors in of fice, may designate an Executive Committee, which com mittee to the extent provided is toe By-Laws ofthe Asso ciation shall hare and exercise the authority of the Board of Directors in toe management of the corporation. The Executive Committee shall consist of the four officers of toe Association and toe two most recent past Presi dents. Section 2. After toe first Board of Directors, toe Board of Directors shall consist of nine elective direc tors, toe four officers, toe two most recent past Presi dents, and toe most recent past Treasurer and past Sec retary of toe Association. The President of toe Asso ciation shall serve as Chairman of the Board of Direc tors. The Secretary and the Treasurer each shall auto matically become a member of toe Board of Directors for a period of three (S) years after conclusion of their term of office. Section 3. A change in toe number of qualifications of Directors of toe Association shall be made only by amendment to the articles of incorporation. Section 4. Three elective Directors shall be elec ted each year and each shall serve for a term of three years. 20 BYLAWS ARTICLE I Meetings Section 1. The annual meeting of toe Association shall be held at the time and place selected by toe Board of Directors. There shall be at least one business ses sion during the annual meeting. Section 2. Written notice of all annual and special meetings of toe Association stating the place, day and hour of toe meeting and, in the case of a special meeting, toe purpose or purposes for which toe meeting is called, shall be sent by mail to the members by toe Executive Secretary, at the direct!cm of toe President, at least thirty days in advance of toe date set for them. Section S. The Executive Secretary, on direction of the President, shall notify in writing each member of toe Board of Directors at least two weeks in advance of a meeting, as to toe time, place, and purpose of toe meeting of toe Board of Directors. A majority of toe Board of Directors shall constitute a quorum. ARTICLE H Membership Section 1. Members of the Association shall be persons who are engaged in industrial hygiene activities and such other persons or organisations as may be pro vided in these bylaws. Approval by two-thirds of the Board of Directors shall be required for election to mem berehip. Section 2a. The Board of Directors may elect to membership in toe Association reputable persons who have been engaged is some form of industrial hygiene activity for at least three years and have been graduated from an accredited school of college grade or have had equivalent training. Graduate study may be accepted in place or part or all of the required period of industrial hygiene activity. : Section 2b. The Board of Directors by a two-thirds vote may approve as Industrial Associates such organi zations as may apply for this status. The dues for In dustrial Associates and the privileges of this class of membership shall be defined by the Board of Directors. Section 2c. The Board of Directors may recognize as Contributing Members such persons as currently enjoy full membership status. No privilege or professional distinction is to be assigned to the class of Contributing Members other than those enjoyed by regular members. 21 ' Section 2d. The Board of Directors may elect as Honorary Members such persons as are particularly dis tinguished in tiie general field of industrial hygiene, or in a closely related scientific field. Honorary Member ship shall be considered as purely honorary and as re quiring no dues, and it does not permit such members to vote on Association matters unless such person is also a member of the Association In good standing. Persons considered for Honorary Membership shall be selected by a two-thirds vote of the Board of Directors. Section 3. Appllcatlonfor membership shall be made on a form approved by the Board of Directors. Each applicant must be sponsored by two members in good standing, one of whom resides in the same geographical area as the applicant. Section 4. The dues shall be '$10.00 per year. Dues beoome payable on the first day of January of each year. Section 5. Any member whose dues are unpaid on March 1, is not in good standing, and he shall have no vote. When the dues of any member shall not be paid within one year after they are due, his membership is automatically terminated. . * -v . Section 6. Any member dropped for non-payment : of dues may be reinstated at any time previews to the ; convening of the annual meeting of the year following his ! ; delinquency by payment of dues in arrears and also dues , for the current year. * 1 ARTICLE m Election of Officers and Directors Section 1. No person shall be nominated or elected as an officer or director unless at the time of such nom ination or election such person is a member in good standing of the Association. Nominations for officers and elective directors shall be made by a nominating committee ofthree members to be appointed by the Board of Directors. Each member of the Nominating Committee shall be from a different local section or geographical area. At least ninety days prior to the annual meeting, the Nominating Committee shall select two nominees for each elective office and shall select five nominees for elective directors. The list of nominations shall thereupon be forthwith mailed to each member of toe Association. The members will vote and return their ballots not later than six weeks prior to the annual meeting. In malting nominations for elective directors and officers, , ~ . ; 22 .. ; Nominating Committee shall give consideration to main taining on the Board of Directors a balance of represen tation from industrial, governmental, educational, in surance and professional interests; and from different geographical areas. Section 2. Installation ofofficers and directors shall iake place at toe last business session of toe annual meeting. Upon expiration of the term of office of the President, he shall become a member of the Board of Directors to serve two years. Section 3. E any officer or director at any time during hiB term as such officer or director shall cease to be a member in good standing of the Association, the Board of Directors shall have toe power to forthwith re move such officer or director and declare such office or directorship vacant. The Board of Directors shall have toe power to fill any vacancies among the officers aud directors to serve until the next annual meeting of the Association or until their successors are elected. ARTICLE IV Duties of Officers - Section 1. The President shall preside stall meet ings of toe Association and of the Board of Directors and shall perform such other duties as may be directed by the Board of Directors. He should keep in contact with developmmts in toe field of industrial hygiene and_ guide the Association in the formulation of constructive activities. Section 2, The Treasurer (with such assistance of toe Executive Secretary as is authorized by the Board of Directors) shall be toe custodian of all monies of the Association, shall receive alimonies due toe Associa tion, and shall pay all authorized bills against the Asso ciation. He shall submit his accounts for audit at the meeting of the Board of Directors held during the annual meeting and stall transmit to his successor in office all funds and property of the Association in his possession. He shall submit an annual report to toe Association in such form as may be determined by the Board of Di rectors. Should the Treasurer not be able to perform the functions of his office, toe Secretary shall assume the functions of that office. The Executive Secretary and Treasurer shall be bondedin such an amount as shall be determined by the Board of Directors from year to year and in a company approved by the Board of Direc tors. Expense of bond Bhall be borne by toe Associa tion. 53 : V'V y. ; ,, ' - ' i ; - ; ; - Section 3. the Secretary shall keep an accurate record of all the transactions of all meetings of die As sociation and of die Board of Directors. Section 4. The Executive Secretary shall carry on the correspondence of the Association, shall keep an ac curate list of the members and their status, and shall perform such other duties as may be directed by toe Board of Directors. ARTICLE V Duties of the Board of Directors and Executive Committee Section 1. The Board of Directors shall hold regu lar meetings at least twice a year, one of these meetings to be held during toe annual meeting of the Association. They shall review toe activities of toe Association as presented by toe President, and consider such other mat ters as may be brought to their attention. Section 2. The Executive Committee shall admin ister toe affairs of toe Association as delegated by the Board of Directors. Any expenditures to be assessed against toe funis of toe Association shall be authorized by the Executive Committee prior to their being incur red. The Executive Committee may authorize the Presi dent to approve toe payment of any regular items of ex penditure up to twenty-five dollars. It shall assist toe President in carrying out his activities. It shall be re sponsible to the Board of Directors for its actions. Section 3. A Local Sections Council shall be es tablished. Two members shall be elected to this Coun cil by each Local Section of toe Association. The Presi dent shall call a meeting of this: Council during the an nual meeting and prior to toe meeting of toe Board of Directors. The Local Sections Council shall communi cate to the President any desires of the Local Sections. The President shall present toe actions of toe Local Sec tion Council to toe Board of Directors for their consid eration. ARTICLE VI ' of toe Program Committee. The duty of the Program Committee sh&U be to provide toe program for each meeting of toe Association. Satisfactory abstracts of all papers offered for presentation at the annual meeting shall be obtained by toe Program Committee at least sixty days prior to toe date of toe meeting. Section 2. The Board of Directors shall appoint an ethics committee of three members. Upon recommenda tion of the Ethics Committee a membership may be ter minated by toe Board of Directors; provided feat a copy of toe charge against the member shall be furnished to him in writing at least thirty days before toe meeting at which action is taken. A three-fourths vote of all mem bers of toe Board of Directors shall be required to ter minate membership. Section 3. All resolutions for submission to toe Association shall be referred to the appropriate com mittee for study and recommendation. Section 4. Board of Directors shall appoint an edi torial committee. This Committee shall establish pro cedures to carry oat toe editorial policies oi toe Asso ciation and may recommend to toe Board of Directors feat certain policies be established. Section 5- The President shall appoint members to serve and to represent toe Association on committees formed by other organizations. Section 6. The Board of Directors shalL appoint an awards committee. This Committee may select a mem ber or group of members of toe Association to receive toe American Industrial Hygiene Association Awards. These Awards shall be made in recognition of outstand ing service in toe field of industrial hygiene and shall be presented not more frequently than once a year. Section 7. The Board of Directors shall appoint such other committees as they deem necessary or which are recommended by toe Association. They shall appoint special committees at their discretion to facilitate hand ling toe affairs of the Association or its activities. Section 8. The membership of all committees, ex cept toe Executive Committee, shall terminate wife the close of the annual meeting. Committees ARTICLE VII Section 1. The Board of Directors shall appoint a 4 Local Sections program committee. The membership of toe committee shall be as determined from time to time by toe Board of Directors. The President-elect shall act as Chairman Section 1. The Board of Directors shall have toe power to foster the formation of Local Sections. The 4 Board of Directors shall consider an application from 24 25 : * six or more members of the Association to establish a Local Section and the Board of Directors shall establish toe geographical area of such sections. Section 2. The president and president-elect of each Local Section most be members in good standing of toe American industrial Bygiene Association. Section 3. The Constitution and Bylaws of each Local Section must be approved by toe Board of Direc tors of toe American Industrial Hygiene Association. Section 4. Before a Local Section publishes or otherwise issues publicly any statement upon a policy matter which purports to represent toe opinion of toe Amstoan Industrial Hygiene Association it must obtain toe consent of toe Board of Directors of toe Association. Section 5. Before any officer of director of a Local Section publishes or otherwise issues publicly any state ment upon a policy matter which is within toe policy area of toe Local Section, he shall determine by a poll that toe statement expresses toe majority opinion of toe members and associates of the Local Section. Section 6. The Board of Directors may establish reciprocal relations with any local or national organi zation whose work and activities are closely allied to industrial hygiene. A group of this nature may become an affiliated society under conditions set up by toe Board of Directors. ARTICLE VHt Seal The Board of Directors shall provide a corporate seal which shall be in toe form of a circle and shall have inscribed toereon toe name of the Association and toe words, '`Corporate Seal, Illinois.M ARTICLE IX Amendments Section 1. Amendments to Bylaws may be proposed at any annual meeting by a majority vote of fee mem bers present and voting. Proposed amendments shall be circulated to toe voting membership with a letter bal lot.
