Goodrich Company of Akron, Ohio, herein after called nB. F. Goodrich", and the University of Louisville Foundation, Inc. of Louisville, Kentucky, for and on behalf of the University of Louisville Medical School Cancer Center, hereinafter called the "University". WHEREAS, B. F. Goodrich has discovered an occupational health problem related to vinyl chloride exposure or other materials; WHEREAS, B. F. Goodrich desires to bring continuing comprehensive medical advice and consultation to bear on the problem and to support a broad scientific inquiry into the problem; WHEREAS, the University possesses scientific and medical expertise; and NOW, THEREFORE, it is mutually agreed between B, F. Goodrich and the University as follows; X L The University agrees; 1. to provide personnel, expertise, equipment and advice to develop and assist in the implementation of a personnel examination protocol and screening procedure related to exposure of Louisville, Kentucky Chemical plant workers to work-related environment and materials; NGC35419 FEB. 1-2030 b-01Hn UK.IHnbUKKU nu.ido r. ^4 2. to provide or arrange to have provided certain special clinical services for those people at risk who now work or have worked at the Louisville, Kentucky plant; 3. to investigate to the extent required the social, work, and related medical history of those persons who have been found to have serious liver abnormalities; 4. to provide a panel of qualified clinical investigators to participate in continuous project review; ~r 5. to establish a National Advisory Panel to meet at regular intervals with the University Project Review Panel; 6. to coordinate the collection of all data from a number of laboratories performing the required screening testing in B. F. Goodrich plants as deemed most suitable in light of existing patterns of screening and care. B.F. Goodrich agrees that all personnel testing which is now required, or which will be required, will be done at the expense of B, F. IX, The University will establish and maintain a liver dysfunction registry for a period of one year. The University will provide necessary personnel for the design and function of this registry and will provide the mechanisms and means by which the information in the registry is analyzed and the results of the analysis used to improve the medical examination/screening procedures. It is expected that this registry will be continued for a number of years with subsequent annual support from a variety of sources as required. The registry will be designed with flexibility sufficient to accommodate new information and to allow for expansion. It is estimated that die costs for the establishment and maintenance of this registry will be approxi mately $50, 000. 00. III. The University agrees to conduct an associated research program. Project proposals will be subjected to internal and external scientific review via the mechanisms established in the Cancer Research Center. It is the intention of the parties that B, f\ Goodrich be informed on all research projects. It is, in all events, the intention of the parties that the work carried out under this grant be coordinative with and not duplicative of related work currently being carried on in other research activities both with and without support from B. F. Goodrich. It is estimated that the costs for the associated research program will be approximately $80, 000. 00. IV. The University will' seek additional support for these programsfrom a variety of sources for the continuation of project program com ponents. The Cancer Center Director will submit an interim report on the project on or about November 15, 1974 and will file a complete report on or about October 1, 1975. V. B. F. Goodrich, for the establishment of the registry, project co ordination, special clinical services, and the research program, agrees to grant to the University $300,000. 00 to be paid to the University in six installments equally spaced over the period of 12 months beginning on May 1, 1974. This sum includes the approxi mate direct costs of $46,000.00 for program coordination, $14, 000. 00 for direct administrative costs and $30, 000. 00 in indirect costs. -4- NGC35422 h Lb . 1. b^HH UK.IRffBUKKU NO.168 P.7 VI. B.F. Goodrich agrees to permit the University to commit funds in this agreement over a period of 18 months beginning May 1, 1974, B.F. Goodrich agrees that the University may rebudget funds between program categories as it deems appropriate for the overall program, but such redistributions within budget categories will be indicated to B. F. Goodrich as they occur. In addition, the University will submit periodic financial reports to B. F. Goodrich indicating moneys committed under various sections of this agreement. VII. This agreement covers a period of one calendar year. B. F. Goodrich understands that most program components are expected to be continued for an unspecified period of time beyond the initial one year period. It is understood that B. F. Goodrich has made no commitment beyond the funding of the initial $300, 000, 00. VUL B. F. Goodrich agrees that the University shall have all rights to all data and scientific or technical information developed under this grant agreement ox subsequent projects, including but not limited to patent and publication rights, except that B.
