A meeting of the Board of Directors of the Lead Industries Association, Inc., was held on Tuesday, April 21, 1964, at the ChasePark Plaza Hotel, St. Louis, Mo.

The Executive Vice ft*esident acting as chairman called the meeting to order at 4:45 P.M.
The secretary reported a quorum was present.
The Executive Vice President presided and the secretary kept the minutes of the meeting.
The secretary presented a copy of the notice of meeting which had been mailed to each director, as provided in Section 4.04 of the Corporation's By-Laws. The copy was ordered filed with the minutes as Exhibit "A." (Sent to directors on April 8, 1964.)

REPORT CF NOMINATING COMMITTEE FOR OFFICERS
The Nominating Committee for Officers composed of Messrs. Charles E. Schwab, chairman, C. G. Rice and R. J. Hopkins, appointed by the President with the approval of the Board at its meeting on December 10, 1963, reported as follows:
Under the By-Laws of the Association none of the present officers representing members is eligible for re-election, having served two consecutive one-year terms. The Committee, therefore, places in nomination the following slate to serve until the 1965 Annual Meeting:

The Committee also re-nominates the following paid officers of the Association:
Robert L. Ziegfeld, executive vice president-treasurer David M. Borcina, secretary and assistant treasurer
There being no further nominations, it v/as regularly moved, seconded and unanimously carried that nominations be closed and that the Secretary be instructed to cast one ballot for the slate recommended by the Nominating Committee.
ELECTION CF CHAIRMAN
The secretary reported it was in order to elect a chairman.
The president of the Association, Mr. S. D. Strauss was placed in nomination.
There being no further nominations, motion was then made, seconded and unanimously carried that the secretary be instructed to cast one ballot for the election of Hr. S. D. Strauss to serve as Chairman. The chair was then taken over by Mr. Strauss.

A motion was thereupon made, seconded and unanimously carried that the following resolution be suitably prepared and presented to the family of the late Mr. Charles R. Ince.

IN MEMORIAL!
Charles Robert Ince was concluding his second term as President, Chairman of the Board of Directors and Chairman of the Executive Conmittee of the Lead Industries Association, Inc., when he was taken by untimely death on April 11, 1964* For many years he had contributed his boundless energf, vision and experience to its affairs, culminating in a leadership that was instrumental in the growth and usefulness of this organization and bringing it to a position of greater eminence than it had ever previously known. His wise counsel, guidance and unswerving purpose, and, above all, his warm friendship and personality will be greatly missed by every member of the Association and its staff, and his accomplishments stand as challenging monuments in the sight of those he left behind.

APPOINTMENT CF EXECUTIVE COMMITTEE
It was regularly'- moved, seconded and unanimously carried that the following be appointed members of the Executive Committee of the Board of Directors, and that Mr. Strauss be designated chairman.

ANNUAL MEETING DATES
The Executive Vice President reported that the Board had already approved the 1965 location and dates of the annual meeting as follows:

and it was in order to approve the 1966 location and dates.
A motion was thereupon, seconded and unanimously carried to confirm the location and dates of the 1966 annual meeting as follows:

A.S.T.1I. BUILDING FUND
The Executive Vice President reported that he had received a request frcm the American Society for Testing and Materials to subscribe to their Headquarters Building Fund.
After some discussion, it was the consensus that inasmuch as many of the members of the Association are subscribing to A.S.T.M. 1 s
Headquarters Building Fund it would not be necessary for the Association to do so.
INTERNATIONAL LEAD CONFERENCE
The Executive Vie President reported that the second International Lead Conference would be held in October, 1965 in either Amsterdam or Paris. He suggested that perhaps the L.I.A. could provide same financial assistance in the operation of the meeting.
It was agreed that the Association could possibly assist financially by purchasing copies of the proceedings for distribution to its members.
EXECUTIVE COilHTTEE OF I.L.Z.R.O.
The Executive Vice President reported that representatives of foreign companies had met and elected lir. Olaf Uolff, Consolidated lining and Smelting Company of Canada, Ltd., to serve on the Executive Committee of I.L.Z.R.O. Hr. Uolff replaces lir. Hendricks of the same company, he reported.
TOXICITY STUDY OF INGESTED PAINT FIU-I
The Executive Vice President reported that the research project "Toxicity Study of Ingested Paint Film" had been approved by the Health and Safety Committee in October, 1963 but had been voted down by the Technical Steering Committee at its Fall budget meeting. He further reported that the Health and Safety Committee at its meeting yesterday, April 20, 1964, had reaffirmed its interest in this project and agreed that it should be resubmitted to the Technical Steering Committee as soon as possible.
The Executive Vice President further reported that pigment manufacturing members had expressed their approval of this proposed research and that the National Paint, Varnish and Lacquer Association had expressed considerable interest and would probably cooperate financially, up to 50 percent.
After some discussion, the Board agreed that such research may be beneficial and requested the Executive Vice President to supplement the action of the Health and Safety Committee by providing market and other data to the International Lead Zinc Research Organization.
There being no further business the meeting adjourned at 5-25 P.ll.
