Sutter, Assistant Secretary Subject: Rescheduling of Special Board of Directors Meeting Reference:; Preliminary Notice of Special Board of Directors Meeting, Circulated January 9, 197 Gentlemen: It has come to our attention that the referenced Board meeting scheduled on May 28 is in conflict with the London Lead and Zinc Symposium, which has been rescheduled to the 27th and 28th of May. In view of this conflict, the acting president has called the Special Board of Directors meeting on May 26, 1970 in London, England. Details of the specific time and location of the meeting, and the agenda for it, will be circulated in the near future. N11670 INTERNATIONAL LEAD ZING RESEARCH ORGANIZATION, INC. MINUTES OF MEETING . of the EXECUTIVE COMMITTEE January 6, 1970 By direction of the acting president, and in accordance with notice of December 16, 1969, a meeting of the executive committee of the International Lead Zinc Research Organization, Inc., a New York Membership Corporation, was held at the Corporation's offices, 292 Madison Avenue, New York, New York, at 2 P.M., January 6, 1970. The following members were present: C. Osborne Buchanan John R. Englehorn Albert F. H. Ghysens James H. Standish Howard L. Young being five of the seven members of the committee and constituting a quorum under Section 6.01 of the By-Laws. Also present by invitation were Samuel E. Eck and Schrade F. Radtke. Mr. Englehorn acted as chairman of the meeting, and Mr. Eck served as secretary and kept the minutes. The chairman stated that the primary purpose of the meeting was to undertake the re-organization necessitated by the untimely death of Mr. Smart. He first pointed out the necessity of filling the vacancy thus created on the executive committee and in the office of president. In accordance with Section 6.01 (e) of the By-Laws, the vacancy on the executive committee must be filled by the executive committee. He also recommended that consideration be given to calling an interim meeting of the Board of Directors for the purpose of electing a president and discussion of other organizational matters. N11670..01 EFI 000325 -2- Memoriam The untimely death of Mr. Smart was noted with deep regret, and it was unanimously resolved that a suitable memoriam in recognition of his service and leadership be prepared on behalf of the Board of Directors and presented to his family. The preparation, form and method of presentation of the memoriam were agreed upon. Approval of Minutes Upon motion duly made and seconded, it was unanimously: RESOLVED, That the minutes of the meeting of the executive committee held on October 6, 1969 be and they hereby are approved as circulated. Executive Committee Vacancy The chairman stated that it was an order to fill the vacancy on the executive committee, and in accordance with Section 6.01 (e) of the By-Laws, and upon motion duly made and seconded, it was unanimously: RESOLVED, That Simon D. Strauss be and he hereby is appointed to the executive committee of the Corporation. Mr. Strauss was notified of his appointment and was requested to join the meeting in session. Upon arrival, he noted with regret the unfortunate circumstances leading to the vacancy on the executive committee and expressed appreciation for the confidence placed in him through his election. 1 Special Board of Directors Meeting i A suitable time and place for an interim Board of Directors meeting for the purpose of electing a president and consideration of other organizational matters was discussed, and it was agreed that the earliest convenient meeting EPI 000326 . -3- '- opportunity for the majority of directors would be in conjunction with the lead-zinc symposium to be held on May 26 - 27, 1970 in London, England. It was unanimously agreed that a Board meeting be called on May 28, 1970 in London, England, that a preliminary notice of such meeting be circulated to the Directors as soon as possible, and that the staff make arrangements for a suitable meeting location. Annual Meetings . The chairman stated that the membership and Board had directed the executive committee to finalize arrangements for the 1970 annual meetings of members and Board of Directors, which had been tentatively scheduled for the fall of 1970 in North America. A preliminary review of the possible dates for the annual meeting indicated that the period Novembers - 10, 1970 presented a minimum of conflicts with activities of other organizations. It was therefore agreed that the annual meeting would be held during this period, with the lead program review committee and zinc program review committee meetings being held in the period November 2 - 6, the annual meetings of members on November 9 and of the Board of Directors on November 10, 1970. Concerning the location, it was agreed that the meeting preferably would be held in the southeastern or southwestern areas of North America, and the staff was directed to investigate specific locations with facilities necessary for the meetings and to report its recommendations to the executive committee. Membership Dr. Radtke reported that membership applications had been received from four companies for regular membership and presented for consideration LPI 000327 the applications of N.V. Metallurgie Hoboken S.A., Det Norske Zinkkompanie A/S, Compagnie des Metaux d'Overpelt-Lommel et de Corphalie S.A. and Texas Gulf Sulphur Company. After discussion, upon motionduly made and seconded, it was unanimously: RESOLVED, That the applications for regular membership in the Corporation of the following applicants be and they hereby are approved and that the following applicants be and they hereby are elected as members' of the Corporation as of January 1, 1970 N.V. Metallurgie Hoboken S.A. Det Norske Zinkkompanie A/S ' Compagnie des Metaux d'Overpelt-Lommel et de Corphalie S.A. FURTHER RESOLVED, That the application for regular membership in the Corporation of the Texas Gulf Sulphur Company be and it hereby is approved and that the Texas Gulf Sulphur Company be and it hereby'is elected as a member of the Corporation as of April 1 , 1970. The Chairman welcomed the membership and participation of the newly elected members in the Corporation's activities, stating that their collaboration will further strengthen the industry's program by providing additional counsel and guidance on its research and development needs. It .was reported, that the Societe de Prayon S.A. had made a definite commitment to join the Corporation but that their membership application had not been received as yet. It was also reported that AMMI had expressed its intent to become a member of the Corporation in the future. Reports were received on the activities of several members of the executive committee in soliciting non-member organizations to join the Corporation. Research Report Dr. Radtke reviewed briefly the recent developments in several areas including zinc die cast wheels and internal combustion engine blocks, ammunition components, die casting process improvements (particularly in regard to a new method of venting die casting cavities), the forthcoming specification on EPI 000328 -5- , bolted galvanized structures, manuals on galvanized reinforcement for concrete, a manual on the proper use, of lead glazes for dinnerware, the lead battery powered utility truck (being developed in conjunction with General Electric Company), and the continuing exhibitions of the Zn 75 which will soon be exhibited in the United Kingdom and in continental Europe later in 1970. Mr. Ghysens reviewed a zinc roofing system under development on project ZM-157, stating that the design under consideration is esthetically pleasing and requires no skilled labor for installation. / Dr. Radtke reviewed the urgent need for international distribution to the dinnerware industry of the manual on proper utilization of lead glazes to prevent their improper use which could lead to legislative prohibition. He recommended that ILZRO proceed immediately to publish a suitable manual for distribution by the market development associations in all geographic areas, and the executive committee concurred that such action was required. Investment of Corporate Funds The secretary stated that the Directors, at their October 14, 1969 meeting, had resolved that the treasurer, upon the approval of the executive committee, be authorized to invest the surplus operating funds of the Corporation in commercial paper, in addition to the previously authorized certificates of deposits and U.S. Treasury securities. He suggested that the executive committee may wish to provide such authorization for the periods between executive committee meetings in order that surplus funds can be invested without delay in order to maximize interest income. EPI 000329 After discussion, upon motion duly made and seconded, it was unanimously: RESOLVED, That the treasurer be and he hereby is authorized to make investments in commercial paper, certificates of deposit, and U.S. treasury securities in the name of the Corporation and through the Corporation's depository, the Chase Manhattan Bank, in the periods between meetings of the executive committee. FURTHER RESOLVED, That the treasurer report on the specific investments made at each meeting of the executive committee. Associate Membership - Environmental Health The secretary reviewed the background leading to the establishment of the class of associate member - environmental health and suggested that consideration be given to abolishing the class in view of the fact that all associate members - environmental health had become regular members of the Corporation, and that the new-allocation formula for dues provided opportunity for regular membership in the Corporation on an assessment basis essentially equal to that of associate membership - environmental health. After discussion, it was agreed not to terminate the environmental health associate membership class but that membership under it not be encouraged or offered. Next Meeting It was resolved that the next meeting would be held at the call of the chairman. / Adjournment There being no further business to come before the meeting, it was, upon motion duly made and seconded, unanimously resolved to adjourn.
