October 18, 1955 (336) MINUTES of the fifty-second meeting of the Directors of the Manufacturing Chemists' Association, Inc., held at the Bogey Club, St. Louis, Missouri, on October II, 1955, at 11:00 a.m, (CST). Stanley - Victor Chemical Works Rothe Weigel - Victor Chemical Works Although a quorum was not present, it was agreed that the meeting should proceed, with all actions subject to ratification and approval by the Directors at the November S, 1955, meeting, or prior thereto if deemed necessary by the Executive Committee. The Chairman extended a cordial welcome to the invited guests and urged them to participate actively in the discussions. In behalf of those present, he also expressed sincere appreciation to the host companies, Mailinckrodt Chemical Works and Monsanto Chemical Company, regarding arrangements made for the meeting and supplemental activities in connection therewith. CMA 067281 I. MINUTES OF MEETING. The minutes of the September 13, 1955, meeting were duly approved aS sent to the members, II. TREASURER'S REPORT. Monthly Report. The financial report for the period September 1-30, 1955, was reviewed, and ON MOTION duly made and seconded, it was VOTED: That the report be accepted and placed on file. HE BOARD OF DIRECTORS. (a) Membership Directory. Those present were handed copies of the revised Association Directory, consisting of a printed pamphlet listing Officers, Directors, Committees and Members. (b) Appointment of Alternates. The Board approved the appointment of: Bert Cremers for R. B. Semple Max A. Minnig for Robert I. Wishnick (c) Membership Committee. It was reported that applications had been received from the following and that, in the opinion of the Membership Committee, all are qualified for membership under the Association's By-Laws: Goodrich-Gulf Chemicals, Inc. Mobay Chemical Company Pitt-Consol Chemical Company United Rubber and Chemical Company ON MOTION duly made and seconded, it was VOTED: That the applications be approved subject to the 30-day notification to members provided under Article III, Section 4, of the By-Laws. Reference was made to the listing of prospective member firms distributed at the September 13 meeting. Those Directors who have not yet advised Chairman Kerrigan concerning the names of prospects which they would be willing to contact were urged to do so, as promptly as possible. (d) 5th Semi-Annual Meeting - November 22, 1955. In the absence Dr. Reid, the Secretary reported that the Program Committee had met and had Agreed upon arrangements similar to those which were operative last year. The Meeting will be held at the New York Statler, on Tuesday, November 22, and the Association has been given the entire mezzanine floor with its complete meeting CMA 067282 facilities for the day and evening. Panel subjects will consist of the foliowing: (1) Marketing and_ Merchandising in the Chemical Industry. (Z) Chemical Fuels. (3) Computers - Their Industrial Value. (4) The Executive Shortage and Management Structure, (5) Aid to Science Teachers at the Community Level, (6) Pollution Abatement and Protection of our Natural Resources. The luncheon speaker will be Mr. V. G. Bartram, whose topic will be: "The Advance and Progress of the Chemical Industry in Canada." The evening speaker will be Admiral Jerauld Wright, whose subject has not yet been announced. (e) California Directors' Meeting. It was moved, seconded, and unanimously voted that the March, 1956, meeting of the Directors be held in California. Mr. T. G, Hughes has tentatively reserved facilities at Pebble Beach for the period March 15-19 - the only dates available - and, in accordance with Board action previously noted, will finalize the arrangements. It was suggested that Messrs. George L. Parkhurst and Paul L. Davies be invited to serve as the Arrangements Committee, with the right to add additional members to the committe if they so desire. IV. STAFF REPORT. (a) Precautionary Labeling. Arrangements have been finalized for Messrs. Robert D. Minteer and J. S. Walker to confer with representatives of the Association of British Chemical Manufacturers, in London, October 19-21, on precautionary labeling problems common to the British and American chemical industries. The two MCA representatives will then proceed to Geneva to assist technical personnel of the International Labor Organization in implementing symbolic labeling procedures adopted at the 4th ILO Chemical Industries Meeting last February. (b) Chemical Safety Data Sheets. General plant safety matters, including the preparation of Chemical Safety Data Sheets, will be assigned shortly to the Association's new staff member, Mr. F. Gordon Stephenson. Good progress has been made during the past month in preparing four sheets for early publication. (c) Dangerous Materials - International Regulations. The Association submitted written statements to the Interstate Commerce Commission and U. S. Coast Guard on September 17, and was represented at an oral hearing before the ICC, September 26, by Mr. Charles H. Mayhood. Association policy of opposition to international regulations at variance with ICC requirements was supported at the hearing by other national organizations. j (d) President's Conference on Occupational Safety, The appointment i f Mr. S. M. MacCutcheon, Chairman, General Safety Committee, as the Associa tion's representative on the Technical Planning Committee of the President's Conference, was approved. The Committee will make all arrangements for the next conference, which will convene in Washington, May 14-16, 1956. CMA 067283 (339) (e) 1956 Chemical Progress Week, Those present were handed copies of a proposed plan for 1956 Chemical Progress Week, prepared by the public Relations Advisory Committee and approved by the PR Policy Committee, General Hull and Mr, Woods then discussed the purpose of Chemical Progress Week and stated that the Executive Committee, at an earlier session, had recommended that the over-all plan be sanctioned and approved by the Board of Directors. Emphasis will be directed during the week to the teaching of science in the nation's secondary schools. Following discussion, it was moved, seconded, and unanimously voted that the PRAC and staff be authorized to proceed with plans for 1956 Chemical progress Week. The event will be scheduled earlier than last year - April 23-28 inclusive. It was the consensus of those present that CPW should be considered an annual event. V. COMMITTEE APPOINTMENTS. The Board of Directors approved the following Committee appointments: Labels and Precautionary Information: Edward J. Hogan, Barrett Division, Allied Chemical & Dye Corporation, replacing George W. I Fisk. ] The nomination of Mr, E. F. Hillenbrand, Jr., Union Carbide and Carbon Corporation, as Chairman of the Carnegie Tech Research Project's Advisory | Task Group, was approved. VI. MISCELLANEOUS. i (a) Proposed Mechanical Technical Committee. Copies of a written * proposal, involving the formation of a Mechanical Technical Committee within the Association, were distributed to those present. Prepared by an ad hoc group, consisting of three technical representatives from member firms, the report set forth the need of a Technical Committee within MCA to consider problems relating to chemical process equipment, including standardization of such items as cooling | towers, fans, compressors, distillation columns, heat exchange equipment, etc. The committee would not issue standards itself, but would serve as the intermediary between MCA and such organizations as American Standards Association, ASTM, etc. Potential savings for the industry of approximately fifty million dollars per year 1 were estimated. Following motion duly made and seconded, it was unanimously: VOTED: That the Board approves the establishment of a Mechanical Technical Committee along the general lines heretofore discussed, subject to the preparation of specific proposed Terms of Reference by the Washington j staff and Counsel; such proposed Terms of Reference to be submitted to the Board sufficiently in advance of the November meeting for action thereon at such meeting. (b) Renegotiation. Stock Item Exemption. A number of members 5ave called attention to failure of the Renegotiation Board to continue administrative '*emption of stock items from renegotiation under the new law which extended CMA 067284 (340 renegotiation authority to December 3 1, 1956., The matter has been discussed with the Chairman of the Renegotiation Board and other interested associations and organizations, in an effort to urge prompt extension of this exemption which has been in force since 1948, Counsel reported that the likelihood of such extension was favorable in view of information received from the foregoing contacts. An Association letter to the Board Chairman, urging such extension, was dispatched on October 7. When Congress extended the Renegotiation Act, it directed that a staff study be made to determine the necessity of extending the Renegotiation Act of 1951 beyond December 31, 1956, The Association has been invited to present written views prior to October 31, 1955, and subsequently to meet with the staff of the Congressional Joint Committee on Internal Revenue Taxation for oral discussions. Members of the Board were requested to forward to the Secretary any pertinent comments that they might have to support an Association policy against further extension. The matter will also be called to the attention of member firms, and an item will appear in the next issue of the General Bulletin. (c) WOC Employees. B, F. Goodrich Chemical Company has nominated a junior executive to fill the directorship of the BDSA Chemical and Rubber Division^ effective January 1, 1956. The nominee will come to Washington, October 12, and staff members will introduce him to BDSA officials. BDSA has decided to fill its Assistant Administratorship posts with salaried employees, in view of the WOC provision of the Defense Production Act of 1950, as amended during the last session of Congress. This removes any responsibility on the part of the Association to nominate executives from the chemical industry to Assistant Administratorship positions. (d) International Chemical Employers Advisory Group. General Hull reported that the attendance of a U. S. chemical industry observer at the October 28-29 meeting in Brussels had not been finally resolved. It is understood that Dr. W. H. Garrett, Monsanto Chemicals Limited,will be in attendance as a UK representative and will supply MCA with a written report following conclusion of the meeting. Mr. Towe is now overseas and Mr. Fiske agreed to determine whether or not it would be possible for him to include the Brussels meeting in his schedule. It was agreed that the Board would await a report on the forthcoming meeting before determining future policy with respect to subsequent meetings. (e) Carnegie Tech Research Project. Mr, McCurdy presented a detailed report of the American Petroleum Institute's research program. Of the eleven active projects, one (Project 44) is devoted to work similar to that of the MCA project, and both are under the direction of Dr. Frederick D. Rossini, Profes sor of Chemistry. Mr. McCurdy agreed to obtain further information for teport at the November meeting, relative to financing arrangements and supervisory Personnel, CMA 067285 (341) VH. EXECUTIVE COMMITTEE ACTIONS. Additional items handled by the Executive Committee and not discussed at the Board of Directors meeting, included the following: (a) Perkin Centennial. It was agreed that the Association would include the sum of $5,000 in its 1956-57 budget to assist the Arrangements Committee in financing the Perkin Centennial celebration during the week of September 10, 1966. This is in accordance with a request directed to the Association by the Centennial Committee Treasurer, Mr. H. F. Herrmann, (b) Washington Reception. It was the consensus that the Association should not schedule a Government-industry reception in Washington during February, 1956. This is for the reason that the successful reception for General Hull, last month, was attended by many Government officials who were on the invitation list last year. (c) Air Pollution Foundation. Dr. Lauren B. Hitchcock, President, Air Pollution Foundation, Inc. has invited MCA to nominate a chemical industry representative for membership on the Foundation's Board. An invitation to con tribute funds was implied. It was the consensus that MCA, as such, should not have representation on the Foundation's Board, but that the staff undertake to select a chemical industry executive from the West Coast who would be willing to accept nomination. (d) Explosives Institute. Mr. Ward reported that due to a similarity in technical activities between the Explosives Institute and MCA, there is a possibility that the Institute may be willing to consider steps leading to consolidation. This was reported as a matter of information only, and members of the Executive Committee and Board of Directors will be kept advised of further developments.
