As the API and company sponsors are aware, the present UCHSC contract ends June 30, 2007. The UCHSC bears significant expense for essential subcontractors, such as ExxonMobil Biomedical Sciences and the University of Cincinnati. The proposed agreement, Amendment NO.5 to the UCHSC contract regarding the Shanghai Health Study, does not provide for timely payment of these expenses. The first installment ($673,000) is not payable by the API until October, 2007 under this proposed addendum and the second installment ($673,000) is not payable until February 2008. I have discussed this matter with the University Grants & Contracts office. The UCHSC is reluctant to cover these expenses in the absence of funding by the API and study sponsors. I therefore, request that you modify the language of the agreement to reflect that the first payment under Amendment no. 5 be made in July 2007 and increased ($800,000) to off set our expenses for the remainder of 2007. Given that prior payments from API have been received in the later part of the month, I would also request that the second installment ($546,000) be made in January 2008. Also, as you have requested consistency in the UCHSC and Cinpathogen contracts on several prior occasions and, quite significantly, the continuing collaborative roles of the two entities as well as UCHSC subcontractors, it is necessary for the end dates for the two contracts (UCHSC and Cinpathogen) to be equivalent -- December 31,2008. API proposes to UCHSC that we will make each the next two payments 20 days after receipt of the semi-annual reports from UCHSC. According to the grant, those are due no later than Jul 21 and Jan 21. That would allow API time to check on the cash balance on hand per the grant and adjust the payments accordingly (if appropriate). Wrt the dollar amount of each payment, we do not have an issue with switching to the UCHSC proposal. Wrt to the timing, your proposal of Dec 31 would work for us. Not hearing to the contrary, we will revise the grant amendment and send it to you for signature by the UCHSC. Paragraph 1(ii), as amended, is replaced with the following: UCHSC will collaborate with Dr. Richard Irons, Cinpathogen, Inc. and Cinpathogen's subcontractor, Fudan University, for completion of the study. UCHSC will amend, as appropriate, cooperative agreements with ExxonMobil Biomedical Sciences Inc. and Cincinnati Children's Hospital Medical Center to assist in completion of the research study. Biannual reports are due the 21 8t of January and July of each calendar year. Continuance of funding is contingent upon API approval of these biannual reports. API will make the next scheduled payment within 20 days of receipt of the biannual report. If the biannual financial reports reveal more than $350,000 of the total disbursement amount to date for this amendment remains uncommitted, API reserves the right to defer disbursement of the next scheduled payment until receiving a revised financial report from Dr. Gross indicating that the balance is below $350,000. Pursuant to API policy, UCHSC shall credit interest earned on any uncommitted funds. UCHSC may pay such interest income directly to API or as a credit against API's next scheduled payment. 3. Paragraph 2 is modified as follows. The Grant shall terminate on December 31 , 2008. 4. Paragraph 5 is modified as follows: The designated API representative for work conducted hereunder is Russell White (202682-8344; e-mail: whiter@api.org). UCHSC shall send all correspondence and reports relating to this agreement to his attention at the above address. 5.
