942 MIL 241 400664 NO WARRANTY DEED OF TRANSFER, CONVEYANCE, AND ASSIGNMENT RESPECTING MISCELLANEOUS PIPE LINES, FACILITIES, AND RIGHTS FROM SUNTIDE REFINING COMPANY TO KOCH REFINING COMPANY THE STATE OF TEXAS COUNTY OF NUECES ) ) ) KNOW AIL MEN BY THESE PRESENTS THAT: SUNTIDE REFINING COMPANY (formerly named Corpus Christi Refining, Inc.), a Delaware corporation incorporated on December 29, 1980 (''Grantor"), for and in consideration of the sum of Ten Dollars ($10) and other good and valuable consideration to it in hand paid by KOCH REFINING COMPANY, a Delaware corporation ("Grantee"), the receipt and sufficiency of which is hereby acknowledged, has SOLD, TRANSFERRED, CONVEYED, and DELIVERED, and by these presents does SELL, TRANSFER, CONVEY and DELIVER, unto Grantee, its successors and assigns, subject to the provisions hereinafter set forth, all right, title, and interest of Grantor in and to the following assets (all of which are located in Nueces County, Texas): (A) Those certain pipe lines (or the portions of the pipe lines) described in the following clauses of this paragraph, together with all valves, fittings, connections, connecting pipe lines, casings, tanks, pumps, and other facilities and appurtenances incident thereto, and the Grantor's right, title, and interest in any related corrosion protection and control equipment (all of which, subject to the exceptions hereinafter described, being hereinafter collectively called the "Pipe Lines"): (1) Certain of the pipe lines (or the portions of the pipe lines) depicted on the map of Nueces County, Texas, attached hereto as Exhibit A and made a part hereof for all purposes, the specific pipe lines included in the sale, transfer, and conveyance under this Deed being those designated on the schedule attached hereto as Exhibit B and made a part hereof for all purposes under the heading "Certain Pipe Lines Depicted on Exhibit A." The designations used on Exhibit B hereto correspond with the designations used on Exhibit A hereto to identify the pipe lines depicted thereon; and (2) Those certain pipe lines (or the portions of the pipe lines) described on Exhibit B hereto under the heading "Miscellaneous Pipe Lines"; and (B) Those certain facilities maintained pursuant to the instruments listed on Exhibit C attached hereto and made a part hereof for all purposes under the heading "Miscellaneous Rights" (all of which being hereinafter collectively called the "Miscellaneous Facilities"). Exhibit A hereto shows the approximate locations of the pipe lines depicted thereon. Where multiple pipe lines are indicated on Exhibit A hereto by a single line, the Pipe Lines include only those pipe lines so indicated that are specifically designated on Exhibit B hereto under the heading "Certain Pipe Lines Depicted on Exhibit A." deed records VC':1936 229 ^.3-12 ;WIE 242 VOL 1938 - Z30 All of the Pipe Lines, in their entirety, and all of the Miscellaneous facilities, are sold, transferred, and conveyed "AS IS" and as and where located on the date hereof. Grantor expressly excepts from the sale, transfer, and conveyance under this Deed all those certain pipe lines that have been sold, transferred, conveyed, and delivered (i) unto Sun Pipe Line Company by an unrecorded deed dated the jj ^ day of fv -< , 190 (effective as of 10:00 a.m. on November 12, 1981) from Sua Refining and Marketing Company, Koch Refining Company, and Buffalo Pipeline Company, Inc., and (ii) unto Sunoco Terminals, Inc. by an unrecorded deed dated the j f day of Fyfcrw/* , 190 (effective as of 10:00 a.m. on November 12, 1981)from Sun Refining & Marketing Company, Sun Pipe Line Company, Koch Refiaiog Company, and Buffalo Pipeline Company, Inc., in each case together with all valves, fittings, connections, connecting pipe Lines, casings, tanks, pumps, interests in related corrosion protec tion and control equipment, and other facilities and appurtenances incident thereto. The deeds described in the preceding sentence are hereinafter collectively called the "Contemporaneous Pipe Line Deeds to Grantor's Affiliates." Grantor also expressly excepts from the sale, transfer, and conveyance under this Deed all hoses and other loading and unloading equipment, and facilities relating thereto, that are located on or between Dock Nos. 3, 4, and 7, or any of them, of Nueces County Navigation District No. 1. Acceptance of delivery of this Deed by Grantee shall constitute (i) an acknowledgement by Grantee that it has received true and compLete copies of each of the Contemporaneous Pipe Line Deeds to Grantor's Affiliates and that each of the Contemporaneous Pipe Line Deeds to Grantor's Affiliates has been executed and delivered prior to the execution and delivery of this Deed and (ii) an agreement of Grantee that it thereby assumes and agrees to perform and comply with all obligations of Sun Refining and Marketing Company under or by reason of each of the Contemporaneous Pipe Line Deeds to Grantor's Affiliates that accrue or arise from and after the effective date and time hereof and to indemnify and hold Grantor harmless against all damages, losses, and expenses (including reasonable counsel fees) that Grantor may sustain by reason of the failure of Grantee to perform and comply with such obligations and that such assumption obligation and agreement shall be binding upon Grantee and its successors and assigns. For the consideration aforesaid, Grantor also has GRANTED, CONVEYED, and ASSIGNED, and by these presents does GRANT, CONVEY, and ASSIGN, unto Grantee, its successors and assigns, subject to the provi sions hereinafter set forth, all right, title, and interest of Grantor in, under, and to the following (all of which, to the extent, and only to the extent, granted, conveyed, and assigned hereunder, being hereinafter collectively called the "Easements and Rights"): (a) Each of the instruments listed on Exhibit C attached hereto and made a part hereof for all purposes under the heading "Wholly Assigned Rights"; LS360Q 2 {iju942 m 243 (b) Each of the instruments listed on Exhibit C hereto under the heading "Partially Assigned Rights" INSOFAR, AND ONLY INSOFAR, as they have not been granted, conveyed, aod assigned to Sun Pipe Line Company or Sunoco Terminals, Inc. by virtue of the Contemporaneous Pipe Line Deeds to Grantor's Affiliates; (c) Each of the instruments listed on Exhibit C hereto under the heading "Miscellaneous Rights"; and (d) Any and all easements incident to the Pipe Lines, or any of them, that arise out of unidentified instruments and those that may have been acquired by prescription. TO HAVE AND TO HOLD the Pipe Lines, the Miscellaneous Facilities, and the Easements and Rights, unto Grantee, its successors and assigns, forever or, in the case of easements and rights which are based on instruments, for the respective terms and subject to the respective provisions of each such instrument. That certain pipe line sixteen (16) inches m diameter, the westerly part of which pipe line is used for the transportation of water from the Nueces River near Calallen, Nueces County, Texas, to Grantee's oil refinery near Suntide Road, north of Up River Road, Nueces County, Texas, the westerly part originating at the point of intake of said pipe line on said Nueces River and extending to a point near said refinery, and the easterLy part extending from a point near said refinery, to a point where said pipe line turns in a northerly direction on the right-of-way of the Missouri Pacific Railroad Company west of Poth Lane, Nueces County, Texas, but no part of said pipe line which lies north of said point of turn. 9. Those two (2) certain pipe Lines, one fourteen (14) inches in diameter, commonly referred to by Grantor as the "14" Gasoline Cargo Line," and one eight (8) inches in diameter, commonly referred to by Grantor as the "8" Propane Line," each having its western terminus within that certain tract of land situated in Nueces County, Texas, which is hereinafter more particularly described (the "Suntide Refinery Land"), and extending from that terminus to its eastern terminus, which is LS360Q vc: J93-9 942 Ml 248 *0L IMS . 23 approximately two hundred thirty-four (234) feet, more or less, west of the centerline of Nueces Bay Boulevard, Corpus Chnsti, Texas. At the point where they cross the eastern boundary of the Suntide Refinery Land, each of said pipe lines is located approximately one hundred (100) feet south of the centerline of the Missouri Pacific RaiLroad Company right-of-way, more or less, and at its eastern terminus each is located approximately sixty-six (66) feet south of the centerline of said right-of-way, more or less. In general, said pipe lines are located within approximately ninety-five (95) feet south of the centerline of said Missouri Pacific RaiLroad Company right-of-way, more or less, or within the right-of-way itself, along their entire route. The Suntide Refinery Land consists of that certain tract of laQd situated in Nueces County, Texas, consisting of 134.103 acres, being the same premises which Sunray Oil Corporation, by Deed dated July 16, 1952 and recorded in the Deed Records of Nueces County in Volume 561, Pages 202 et seq., conveyed unto Suntide Refining Company; 10. That limited portion of the 14" Burner Cargo Line (hereinafter defined) that is located west of the eastern boundary of the Suntide Refinery Land. The "14" Burner Cargo Line" is that certain pipe line fourteen (14) inches in diameter that is located between the 14" Gasoline Cargo Line and the 8" Propane Line and has approximately the same beginning and endiag points, aad follows approximately the same route, as said other pipe lines, the remainder of the 14" Burner Cargo Line being owned and retained by Sun Pipe Line Company. 11. Those three (3) certain pipe lioes, two (2) of which are twelve (12) inches in diameter and one six (6) inches in diameter, extending from their northern terminuses (hereinafter described) to fLanges on facilities on what is commonly referred to as the Lo Vaca Origin Station, being the pipe lines which are located partly within the Missouri Pacific Railroad Company right-of-way and partly within the rights-of-way and easements which Lo Vaca Gathering Company, by Right-of-Way Agreement dated April 27, 1976 and recorded m the Deed Records of Nueces County, Texas, in Volume 1574, Pages 733 et seq., granted to Sun Oil Company of Pennsylvania. The northern terminuses of the pipe lines (one twelve (12) and one six (6) inches in diameter) that are connected to the 14" Gasoline Cargo Line and the 8" Propane Line, respectively, are their connections to such pipe lines.
