Hucks, are Interested In entering a program comprising the Irradiating of PVC-monomer blends In pipe form. Therefore, we would like Dow to prepare an agreement covering the work to be done to determine if there Is a definite commercial Interest In this field, and the license to be completed if such commercial interest Is developed. An agreement based on the general outline you gave us at our meeting of November 18, 1965 would be agreeable to us. However, we would prefer that both agreements as covered by paragraphs 5 and 6 of your outline be prepared and agreed to at the same time. The license agreement could be Included In the Research and Development Agreement as an option and be attaohed thereto. In order to expedite the preparation of the above agreement, the following are some questions and answers which are naturally raised by the general outline you left us. In secrecy agreements of this nature, we prefer that the agreement to keep secret and confidential any Information to be transferred be limited to three years. The outline states that it is to be exclusive in the field of PVC pipe for a fixed time. We prefer that we be given an exclusive position In the field with the right reserved to Dow to enter the field Itself at any time. We are also interested In our rights in fields other than pipe. Also, It should be noted that we Intend to continue our research programs directed generally to this subject matter. Patents may be handled in the usual manner with each company keeping their own inventions, and Joint inventions being given to the company having the primary Interest in the field to which the Joint Invention is directed.
