"Exhibits A, B, E, P and B to the purchase Agreement inadvertently omitted certain assets .which the Buyer and Sellers intended should be transferred to the Buyer, and Buyer and Sellers desire to amend the Purchase Agreement to correct such omissions. B. The environmental disclosure information sec forth in Exhibit L to the Purchase Agreement'has been supplemented by t-hn Second Supplement. Environmental Disclosure Statement, dated October 22, 1SB5 (the "Second Environmental Supplement") and"the Third Supplement, Environmental Disclosure Statement, dated December 20. 1385 (the "Third Environmental Supplement"), and Buyer and Sellers desire to emend the Purchase Agreement to include the Supplements. c. Exhibit S to the Purchase Agreement contains Inaccuracies, and Boyer and Sellers desire to amend the Purchase Agreement to correct Exhibit S. 2 D. The Purchase Agreement provide?: in Section 2.4 for a post-closAag adjustment to be determined based on a Closing Dotft Balance Sheet prepared by Allied and adjusted add certified by Ptice Waterhouse {or, in circumstances set forth in Section 2.4(d), to be prepared by Buyer and certified by a 'big-eight" accounting firm selected by Buyer) and Buyer and Sellers desire to amend tbe Purchase Agreement to eliminate the requirement that the Closing Belance Sheet ha certified by a public accounting firm and to mate certain other changes with respect to the payment of the post-closing adjustment. Buyer desires to obtain from Allied, and Allied has agreed to provide Buyer with, certain rights in tbe eveat that Allied is uiwb2a to obtain the consent of the Ferguson Township Industrial and Commercial Development Authority (the "Authority*) to the Lease Agreement set forth in Schedule II to the Purchase Agreement, r. Exhibit 5. Exhibit S to the Purchase Agreement is hereby amended to add the items listed on Exhibit P attached hereto. 9- Closing Balance Sheet. Section 2.4 Of the Purchase Agreement is hereby amended to read ic full ac Callous / 2.4 Calculation of Post-Closing Adjustment- The purchase price set ""forth in Section. 2.1 will be situated EoIIovSng the Closing .Date to reflect any differences hetman the net book value of the assets to be transferred and liabilities to ha assumed as shown on the Exhibit Balance Sheet set forth in Exhibit N (the `Estimated Total Allied Set Investment") and the net book value of the assets transferred and liabilities assumed as of the Closing Date (the "Closing Total Allied *et Investment"). The Closing Total Allied Net Investment will be determined from a balance sheet (the "Cloning Balance Sheet") prepared as of the Closing Date by Allied. 2.4.1 The Closing Balance Sheet will be prepared ii in a moaner consistent with the Exhibit Balance Sheet and in accordance with the accounting practices and procedures on Exhibit 7. Buyer will give representatives of Seller* access to the Businesfl premises and to the books and records of the Business for purposes of preparing (-he Closing Balance Sheet and will cause appropriate Buyer personnel to assist Sellers ana their representatives in the preparation of the Closing Balance Sheet (which shall Include, without limitation, personnel to assist: in hiking a physical inventory), 2.4.2 Sellers will furnish the Closing Balance Sheet to Buyer not later than 30 days after the Closing Date, If Buyer notifies Allied in writing that it agree* with the Closing Balance Sheet within 45 day* after receipt thereof or fails to deliver to Allied notice of disagreement therewith within such 45-day period, the Closing Balance Sheet as prepared by Allied shall be conclusive and binding on Buyer and Sellers. If Buyer notifies Allied in writing of its disagreement with the Closing Balance sheet within such 45-day period, the Buyer and Allied shall attempt to resolve their differences with respect thereto within 3D days after Allied's receipt Of Buyer's written notice of disagreement. 2.4.3 Any disputes not resolved by Buyer and Allied within such 30dfty period regarding the Closing Balance Sheet or the Final Book value will bo resolved ay an accounting firm mutually acceptable to all parties or, in the absence of agreement, by a "bi9-eighf accounting firm selected by lat after p)tinatiag Sellers' and Buyer's outside accountants aud one additional firm designated as objectionable by each of Allied and Buyer. Tba determination of any accounting firm so selected and the Closing Balance s Sheet, with such modifications therein, if any, as reflect such determination, shall be conclusive and binding upon the parties. The teas and expanses of such accounting firm in acting under this Agreement shall be shared equally by Buyer and Allied. 2.4.i Allied agrees that it payment of the post-closing adjustment pursuant to Section 2.5 of the Purchase Agreement is not made within 115 cays following tM closing Date, Allied will pay to Heller Financial, Inc. on behalf of Buyer on such 115th day the son of 12,000,000.00. The following paragraph added at the end of Paragraph 2 A) 2) by our letter agreement of February 3,1995 shall be amended to read as fallows: "Notwithstanding the foregoing, NARCO'S responsibility to make payments pursuant to this Paragraph 2 A) 2 shall be limited to $2.6 million ($2,600,000) 'during calendar year 1996; $2.9 million (S2,900,000) during calendar year 1997; $3.1 million ($3,100,000) during calendar year 1998; $3.25 million ($3,250,000) during calendar year 1999; and $3.5 million ($3,500,000) during calendar 2000.
