(The final list may be slightly modified based on comments received from the Executive Committee.) 1. API will work with the SHS Oversight Committee chair to identify acceptance conditions for an advance payment to Cinpathogen, Inc. (Cinpathogen) to maintain the operational capabilities of the research program. Those conditions will include: 1) itemization of the "how" and over what time period the $800,000 advance payment is to be spent, 2) identification of progress milestones to be achieved in the second quarter, 2007, and 3) delineation of deliverables and milestones to be utilized in potential development of a contract with Cinpathogen. These conditions will be forwarded ASAP to Dr. Richard Irons for his acceptance. 2. Upon acceptance, and affirmation electronically to API, of those conditions by Dr. Irons, API will then wire $800,000 to Cinpathogen. 3. As part of API' s ongoing due diligence, API and the Oversight Committee will examine 1) Cinpathogen's incorporation papers, business plan and related financial statements and banking relationships, and other items as needed to best assess the company's viability, 2) the Cinpathogen proposal and any subsequent revisions thereof, and 3) any underlying agreements and contracts that Cinpathogen has established, or intends to establish, to complete this study. API will ensure that any final proposal includes tying study payments to metrics of progress towards study completion to occur no later than year end 2008. 4. The study will terminate at the end of 2008. 5. The API General Committee on Special Programs will be asked to play an active role in overseeing the SHS program to ensure its timely completion by year end 2008. 6. API, working with the Oversight Committee, will provide the Executive Committee with a risklbenefit analysis of contracting with Cinpathogen (a for-profit entity) to complete a substantial portion of the remainder of this study, as opposed to a study under the auspices of a not-for-profit organization. 7. API, working with the Oversight Committee, will provide the Executive Committee with a risklbenefit analysis for the Benzene Health Research Consortium continuing as an API Special Program with API continuing to serve as its program administrator, and a companion risk/benefit analysis of the consortium acting apart from API as a separate entity for the remainder of the program.
