Attached is our quotation covering our Union pump selection for the subject inquiry.
The prices quoted herein are net, F.O.B. Factory, Battle Creek, Michigan, with extra price for estimated freight, and does not include any Federal, State or Local taxes that may be applic able. Our terms are net, 30 days. Our Warranty and Escalation Clauses are attached and become part of this proposal. The pro posed method of shipping is motor freight.
Shipment can be effected within approximately 18 - 20 weeks after receipt of your order and all necessary manufacturing de tails, specifications and full authority to manufacture.
Our quotation includes data sheets, performance curves, dimen sional drawings, cross section drawings, bulletins, standard terms and Appendix "A".
One complete Data Book containing the above will be furnish ed with each pump. Extra Data Books are $5.00 and Maintenance Man uals are $1.00.
On the Union pump being offered we are suggesting water cooling for bearing and stuffing box. This is a borderline case due to the temperature of the product and steam turbine, and assuming this in stallation is outdoors with no shade and in direct sunlight, these conditions will generate considerable heat in the bearing housing. The mechanical seal will have an asbestos wedge and can stand the

STANDARD TERMS AND CONDITIONS OF SALE
1. Applicability and Description of Goods. These standard terms and conditions of sate are applicable to all quotations mode by or for Union Pump Company (Company), and particularly to the goods described on the data sheet attached hereto.
2. Shipment. Shipping dotes are estimates based on conditions existing on the dates quotations ore made, and ore subject to immediate receipt and confirmation of Buyer's order. The Company shall not be liable for any delay resulting from or contributed to by any circumstances beyond the control of the Compony which prevent the .Company from making shipments in the usual course of business. Goods ore sold f.o.b. point of shipment.
3. Shipment In Lots. The Company shall have the right to ship all of the goods at one time or in portions from time to time within the time of shipment herein provided.
4. Identification, Risk of Loss. Risk of loss of the goods shall pass to the Buyer os soon as the goods are identified under para graph 2-501 of the Uniform Commercial Code unless the Buyer re quests a delay in shipment, in which case risk of loss shall pass when the Buyer is notified that the goods are ready for shipment. A breach of contract shall have no effect upon the above provisions controlling such risk of loss and paragraph 2-510 of the Uniform Commercial Code shall have no effect upon a contract incorpora ting these standard terms and conditions of sole.
5. Title. Title to the goods shall remoin In the Compony until the Company has received full payment therefor.
6. Warranty. Union Pump Compony worronts for a period of one year from date of shipment that all Union products ore free from defects in material and workmanship and will have the capacities and rotings described on the Company's proposal. The Company agrees to repair or replace, f.o.b. shipping point, any goods or parts thereof which, within one year after date of shipment, ore proven to not conform to the above warranty to an extent which would affeet the reliable operation of the goods, if Buyer promptly notifies the Company in writing of the defect and promptly delivers the defective goods or ports to the factory, delivery prepaid. Any such defect is to be determined by the Company's accepted meth ods of testing. Liability for domoges caused by such defective goods or ports shall be limited to repairing or replacing the de fective goods or parts os aforesaid. No allowance will be granted for any repairs or alterations made by Buyer without the Company's written consent.
NO WARRANTY IS MADE AGAINST CORROSION, AND THE COMPANY MAKES NO OTHER EXPRESS OR IMPLIED WARRANTY, WHETHER OF MERCHANTABILITY OR OTHERWISE, WHICH IS NOT DESCRIBED ON THE FACE HEREOF, AND NO OTHER REPRESENTATIONS OR AFFIRMATIONS OF THE COMPANY, WHETHER BY WORDS OR ACTS, SHALL CONSTITUTE A WARRmNTY.
7. Price. The prices to be paid by Buyer shall be as quoted on the attached data sheet. The prices so quoted tnoy be revised by the Company on or after thirty (30) doys from the dote of the at tached quotation and data sheet, and prices on auxiliary equipment and accessories of other manufacturers as set forth in Paragraph 11 are subject to change without notice.
8. Payment. Terms ore net thirty (30) days, after Buyer it noti fied of shipment even though Buyer hot not yet inspected the goods. In the event the Buyer requests a deloy in shipment, poyment shall be made when Buyer is notified that the goods are reody for ship ment.
9. Acceptance, Rejection. After Buyer has placed an order for goods which has been confirmed by the Company at Bottle Creek, Michigan as set forth in Paragraph 12 hereof. Buyer shall accept the goods shipped under such order and shall have no right to re ject them. Acceptance sholl take place automatically upon tender of the goods to Buyer, and in the event Buyer refuses to receive the goods, the Company shat) have no obligation to resell the goods for Buyer's benefit, but may instead take whatever steps necessery to preserve their volue and to recover the full price from Buyer.
10. Supervision of Setting Up and Starting Goods. Upon request the Company will provide o superintendent of its own selection 1o supervise the setting up and storting of the goods. The Buyer

sholl poy the Compony for the services ond oil expenses of super intendent which are connected with such supervision. In providing a superintendent to supervise the setting up ond starting of the goods, the Company accepts no responsibility for material ond equipment or for the acts of men furnished by the Buyer. Except to the extent above provided in Paragraph 6, the Compony will not be responsible for the performance of goods which are not set up or started by a superintendent provided by the Compony.
11. Auxiliary Equipment and Accessories. To the extent that auxiliary equipment ond accessories of other manufacturers (e.g. prime movers and controls) are included as a port of the quotation and doto sheet attached hereto; it is understood that the Company acts only os an agent of the Buyer in making such quotations. The Company makes no warranties with respect to auxiliary equip* ment and accessories manufactured by others.
12. Orders Subject to Approval and Confirmation by Company. All orders placed by the Buyer are subject to approval and written confirmation by the Compony ot its home offiee in Battle Creek, Michigan, and there sholl be no contract between Buyer ond the Company prior to the time of such confirmation by the Company.
13. Remedies--Incidental and Consequential Damages. The Com pany ond Buyer shall have oil the remedies afforded each by the Uniform Commercial Code, except that in .the event of a breach or repudiation by the Company, the Buyer shall not be entitled to re cover any incidental damages or consequential damages os those terms are defined in paragraph 2-715 of the Uniform Commercial Code, although personal injuries shall be recoverable to the ex tent that the goods are '`consumer goads."
14. Authority of Agents. No agent, employee or representative of the Company has any authority to bind the Company to any affirm ation, representation or warranty concerning the goods described on the ottoched data sheet, ond unless an affirmation, representa tion or warranty made by an agent, employee or representative is specifically included in the written quotation of which these stand ard terms and conditions of sale are a part, it shall not be enforcible by the Buyer.
15. Interpretation, Parot Evidence. These standard terms and conditions of sale are intended as a final expression of the Com pany's quotation and as o complete and exclusive statement of terms thereof. No course of prior dealings between the Compony and Buyer, end no usage of the trade shall be relevant to supple ment or exptoin any term used herein. Acceptance or acquiescence in a course of performance rendered hereunder shall not be relevant to determine the meaning of these terms and conditions of sale even though the accepting or acquiescing party has knowledge of the performance ond opportunity for objection. Whenever a term defined by the Uniform Commercial Code is used herein, the def inition contained in the Code is to control.
16. Modifications. These terms and conditions of sale may be modified or rescinded only by a written Instrument signed by an officer of the Company.
17. Wolver. No claim or right arising out of a breach of the terms ond conditions of tale con be discharged in whole or in part by a waiver or renunciation of the claim or right unless the waiver or renunciation it supported by consideration and is in writing signed by an officer of the Company ond the Buyer.
18. Time for Bringing Action. Any ection for breoch of a contract arising from an order for goods by Buyer which hot been accepted by the Compony ot Bottle Creek, Michigon, must be commenced within two (2) years offer the couse of oction hot accrued.
19. Applicable Low. This agreement shall be governed by the Uniform Commercial Code, ond wherever the term "Uniform Com mercial Code" Is used, it shall be construed os meoning the Uni form Commercial Code os odopted in the State of Michigan.
20. Headings. The headings to the various paragraphs of these terms ond conditions of sole hove been inserted for convenient reference only ond sholl not to ony extent have the effect of modi fying, emending or changing the expressed terms and provisions hereof.
