Wormser, Consultant LiA006 64 Board of Directors Meeting Minutes 2- - March 31, 1966 The Chairman presided and called the meeting to order at 5:10 P.M. The Secretary reported a quorum was present and kept the minutes of the meeting. The Secretary presented a copy of the notice of meeting which had been mailed to each Director, as provided in Section 4.03 of the Corporation's By-Laws. The copy was ordered filed with the minutes as Exhibit "A." (Sent to Directors on March 16, 1966.) The Chairman reviewed the minutes of the previous meeting of January 20, 1966, particularly those sections dealing with the actions taken with respect to the late Robert L. Ziegfeld. A motion was made, seconded and unanimously carried to approve the minutes of the previous meeting of January 20, 1966. The Chairman reported that he had received from Mrs. Robert L. Ziegfeld an acknowledgment of the resolution passed by the Board at its last meeting as follows: "Dear Simon: To you and other Directors of Lead Industries Association I am pleased to extend ray sincere and grateful appreciation for the very generous and welcome check that has just come to me and also the very handsomely engraved resolution. In spite of my gratitude I am sure this magnanimous gesture was inspired by Bob's long and loyal devotion to the duties to which he gave his efforts so whole heartedly. He truly loved every day of the thirty-seven years he was connected with the Association. I am sure I am not being presumptuous in assuming he will be missed both for his ability and deep feeling of affection for all those with whom he worked." March 14, 1966 Fondly, Margery Ziegfeld LIA008fe^ Board of Directors Meeting Minutes -3- March 31, 1966 REPORT OF NOMINATING COMMITTEE FOR OFFICERS The Nominating Committee for Officers composed of Robert Hendricks, Chairman, A. M. Callis and P. H. Hurless, appointed by the President with the approval of the Board at its meeting on December 7, 1965, reported as follows: Under the By-Laws of the Association none of the present officers representing members are eligible for reelection, having served two consecutive oneyear terms. The Committee, therefore, places in nomination the following slate to serve until the 1967 Annual Meeting: J. R. Englehorn, President and Chairman of the Board Simon D. Strauss, Vice President Kenneth Green, Vice President Warren Trask, Vice President The Committee also nominates the following paid officers of the Association: J. L. Kimberley, Executive Vice President David M. Borcina, Secretary-Treasurer Robert Walley, Assistant Treasurer There being no further nominations, it was moved, seconded and unanimously carried that nominations be closed and that the Secretary be instructed to cast one ballot for the slate recommended by the Nominating Committee. At this point, the new President and Chairman of the Board, John R. Englehorn, assumed the chair. The new Chairman thereupon extended, with the Board's full approval, a sincere vote of thanks to the retiring President and Chairman of the Board, Mr. Simon D. Strauss, for his untiring efforts in behalf of the Lead Industries Association, Inc. A similar vote of appreciation was extended to the retiring members of the Board, Messrs. R. A. Gardiner, K. W. Green, A. H. Drewes, Virgil Murph and the retiring Vice Presidents Messrs. Robert Hendricks, John Metcalfe and H. J. Whitson. Li kOOB Board of Directors Meeting Minutes -4- March 31, 1966 APPOINTMENT OF EXECUTIVE COMMITTEE The Chairman stated that he would appoint the members to serve on the Executive Committee of the Board at a later date. REPORT OF SAFETY AND HYGIENE ACTIVITIES The Secretary reported that the Association had retained the services of Felix E. Wormser, past president of the Associa tion, to serve as the industry's spokesman, in the event one is needed, to appear before the Special Subcommittee on Air and Water Pollution, Committee on Public Works, United States Senate. A list of the members of the Subcommittee is attached as Exhibit "B." He further reported that a statement reviewing the industry's position on the effects of lead in the air is being prepared. ANNUAL MEETING DATES The Secretary reported that the Board had already approved the 1967 and 1968 location and dates of the annual meeting as follows: April 17-18, 1967 Drake Hotel Chicago, Illinois May 8-9, 1968 Le Chateau Champlain Montreal, Canada There being no further business, the meeting adjourned at 6:00 P.M.
