ASSIGNMENT OF DEBENTURE THIS ASSIGNMENT OF DEBENTURE Is dated December 31, 1973 from Tyler Corporation, a Delaware corporation ("Tyler") to Tyler Pipe Industries, Inc., a Delaware corporation ("Tyler Pipe of Delaware") and is part of the Plan of Reorganization of Tyler Pipe Industries, Inc., a Texas corporation ("Tyler Pipe"). WHEREAS, Tyler is presently the holder of the Tyler NoHub Company Debenture in the principal amount of $1, 550, 000 (the "Deben ture"); and WHEREAS, part of the Plan of Reorganization of Tyler Pipe calls for Tyler to transfer and assign all its right, title and interest in the Debenture to Tyler Pipe of Delaware. NOW, THEREFORE, in consideration of One Dollar ($1. 00), receipt of which is hereby acknowledged, and other good and valuable con sideration, Tyler hereby sells, assigns and transfers unto Tyler Pipe of Delaware all its rights, title and interest in and to the Debenture.
