Dear Mr. Hebert:
Based upon a recommendation of the Board of Directors the Active Members of the Friction Materials Standards Institute have voted to amend the Institute Constitution in two areas. The areas changed are:
o Defining the Active Member Classification to include U.S. and Canadian friction material manufacturers.
o Increasing the Board of Directors Membership from seven (7) to nine (9).
The change from Regional to Active Member Classification for Canadian friction material manufacturers has the following effects.
o Active Members can vote on all matters which come
before the Membership for action. (Regional
Members have no right to vote.)
o Active Members may serve as an Officer or as a
Member of the Board of Directors. (Regional Members cannot serve.)
The services to Members, Active and Regional are the same. The fee structure, by category participation, is the same.
Each Active Member has a vote. The Active Members generally designate a Delegate who will represent the Member at meetings or vote on topics which may be addressed with a mail ballot. In addition, most Members designate an alternate who will take the place of the Delegate should he or she be unable to attend.

At your request, we sent these to 0DP Company, and we made an exception and billed the catalogs to 0DP Company. This invoice was sent out of here on March 6, 1985. The catalogs were sent the same day. (We made an error on our invoice and dated it 05-06--85 instead of 03-06-85).
We feel payment on these catalogs is well over due. This was the second shipment to 0DP company, an earlier one having been billed to Distex and paid in early March 1985. We were most reluctant to make this shipment to a non-Member and to bill a non--Member. As y ou confirmed this order, I feel it is your responsibility to see that 0DP Company pays us. I do not intend to follow up with 0DP Company. I trust that you will follow
up with them.

Dear Mr. Nir:
I am enclosing my work sheet for the 1984-85 Corvette disc pads.
As best I can determine, the 7137--D216 was used on 1984 Corvettes. However, General Motors is now servicing the 1984 Corvettes with the same fronts as used on the 1985 Corvettes which is what you indicated.
If I were in the business, Iwould not tool for the 7137-D216. I am not so sure about the rears and the 7138-D217, but I believe they will be serviced by General Motors using the 1985 rear discs.
I do not have any absolute sources on any of this information. I am staying with my assignments the way I show them on the attached sheet. If I were in the business I wouldn't tool either the 7137-D216 or the 7138-D217. I will be including the following note in a forth coming technical bulletin:
Chevrolet is servicing the 1984 Corvette fronts (which used EMSI 7137-D216) with the EMSI 7195-D294 pads (1985 Corvette fronts). Chevrolet catalogs no longer show their number 14067582 (Which was EMSI 7137-D216) for the 1984 Corvette fronts.

On the Corvette, I have been told that General Motors is using FMSI 7195-D294 (fronts) and 7196-D295 (rears) to service all 1984 and 1985 models.
I am trying to find out if the originally released sets for 1984 (FMSI 7137-D216 and 7138-D217) were ever actually used as original equipment on these models. There could be one of two answers:
1. 7137-D216 and 7138-D217 were used on early 1984 Corvettes, and subsequently GM decided to service these earlier cars with the 7195-D294 and 7196-D295.
or
2. FMSI 7137-D216 and 7138-D217 were never used as original equipment on the 1984 Corvettes and the samples I received were pre-production samples never used in production.

2- Livraiaon et transfert de propriety.
La date de livraison portPe sur la commande est celle de I'arrivde en nos usines pour les fournitures et celle de la reception provisoire pour les
travaux d'entreprise. La date d'arrivPe des marchandises faisant foi, sera celle de leur prise en charge par nos services de reception. Nous nous
reservons la faculty de modifier la date de livraison des fournitures stipulPes dans notre commande, sans indemnity ni augmentation du prix de ce fait.
La modification sera considerpe comme tacitement accepts, si notre fournisseur n'a pas manifest^ son disaccord par Pcrit, dans le dPIai de 10 jours suivant la date de notre notification de modification de d6lai,
Que les transports soient effectuPs aux frais du founisseurou notre charge, le transfert de propriety des fournitures a lieu & la reception quantita tive et qualitative en nos usines, ou dPfaut, la livraison.
En cas de travaux accessoires, (montage, mise au point, essai, etc.) ('entrepreneur conserve, nonobstant le transfert de propriety, les risques

Les certificats de conformite, les proces-verbaux de controle doivent etre inclus dans les colis.
3- Prix
Les prix mentionnes sur les commandes s'entendent fermes et non revisables, sauf stipulations contraires.
4- Conditions de reglement Sauf indications contraires, les reglements sont effectues par cheque e 60 jours net fin de moisde livraison, ou finde moisde lafacture la derniere en date.
Le ipglement des fournitures, objet de notre commande, intervient normalement la reception ou e la livraison de la totalite desdites fournitures. Nous nous reservons le droit de ne pas payer les acomptes lies e des livraisons partielles dues e la seule initiative du fournisseur.
5- Facturation Sauf stipulations contraires, les factpres sont & etablir en deux exemplaires et doivent comporter les references de la commande correspondante. Nous nous reservons la faculte de refuser toute marchandise et toute facture y afferent, n'ayant pas fait I'objet d'un bon de commande de nos services Achats.
6- Cession de creances
Le fournisseur s'interdit de ceder la facture ou la crPance nee & la suite de I'execution de notre commande toute societe de factoringquelle qu'elle soit, ou tout tiers.
7- Fournitures dfectueuses
Le fournisseur s'engage remdier en toute diligence aux dfauts constates, ainsi qu' tout vice de fonctionnement provenant d'un defaut de conception, de matures ou d'execution.
II prend sa charge tous les frais correspondents, tels que frais de port, retouches, modifications, rebuts, demontages et remontages des elements dpfectueux de sa fourniture.
II est de plus tenu de rparer les dommages de toute nature, causes nous-memes, nos clients ou des tiers, par la fourniture dfectueuse.
Les verifications faites par nos agents chez le fournisseur ne dgagent pas la responsabilite de celui-ci, en ce qui concerne la qualite des four nitures.
Le fournisseur ne peut se prevaloir du rpglement d'une facture pour faire opposition aux contestations de qualite ou de quantites des fournitures corresponds ntes.
En cas d'incapacite du fournisseur livrer une fourniture conforme aux specifications de notre commande, nous nous reservons le droit de faire executer les travaux de mise en conformite, par un tiers, aux frais du fournisseur.
8- P6nalites de retard
Lorsqu'il est convenu des pPnalites de retard et sauf instructions contraires indiqupes sur la commande, celles-ci courent partir de la date de livraison porte sur la commande. Cette date reste de plein effet dans le cas de retouches, modifications, rebuts necessitPs par la mise en confor mity de la fourniture avec les specifications des plans, cahier des charges, et tous rpglements, normes officielles et lois en vigueur.
9- Sous-traitance
Le fournisseur s'engage ne pas sous-traiter tout ou partie de notre commande, sans un accord prPalable et Pcrit de notre part, sur le choix du soustraitant.
Le fournisseur a la responsabilitp financiere et technique des matires, produits et outillages mis sa disposition.
II est tenu de nous rembourser la valeur des matipres correspondant aux rebuts de fabrication.
Le fournisseur ayant la garde et la disposition des matPriels que nous lui confions pour travaux sera responsabledes perteset dommages de toute nature qui pourraient survenir aux matPriels en cause. compter du moment ou il les prend en charge jusqu'au moment oil il en assure la livraison nous-memes.
Si le fournisseur estime ne pas pouvoir supporter les risques definis ci-dessus, il devra prendre toute disposition utile pour les assurer.
10- Secret
Le fournisseur prendra toutes dispositions utiles pour Pviter que des renseignements commerciaux ou techniques conqemant nos commandes et nos appels d'offres soient communiques, meme fortuitement .des tiers.
11 - Contestations
Toutes contestations relatives 1'exPcution ou I'interprptation de nos commandes sont de la competence de la Chambre de Commerce Internationale.

CANADIAN DISTEX Call from Viger on 9/16/82. Asked about becoming an Active Member of the Institute. Said they now had a manufacturing operation in the United States.
1451 South Hooper Ave. Los Angeles, CA 90021 In further discussion it was noted that this Los Angeles facility does not manufacture from basic materials. That is, they do not take the resin and asbestos, etc., to form the pads. They apparently drill, rivet, or other wise attach the materials in L.A. I indicated that they had to have a facility manufacturing friction materials from the basic ingreidents. Also, they now had all the rights of Active Members except the right to vote at Meetings and serve as Officers and/or Directors. Also, to be an Active Member they would have to put up a one time $1,000 initiation fee. He noted they had 70 persons working at the Los Angeles facility.

Per your phone call of this morning, we have shipped you by Federal Express (overnight service) about 93 prints. These were the FMSI 7117 disc brake linings through 7142--all linings since 7117. In addition, we sent all the shoes (steel) from D194 through D226. This is the steel starting with 7117 lining through the end.
All were sent in one envelope for the Federal Express Overnight Pack. All these prints had been sent earlier to Mr. Mcni Mevorah at the above address. These were sent with the technical bulletins (pink and blue bulletins). We have now changed the mailing list to have you receive the prints. Mr. Mevorah will continue to receive the technical bulletins, but without the prints.
There may be some misunderstanding on the prints. Several prints
such as those from Delco-Moraine for General Motors disc brakes
have many dimensions missing--particularly on the steel. These are
the only prints we have and they are not silhouettes or preliminary
prints. They are our only prints. In several cases with the import
pads, we are not able to secure pri nts and we make up prints from
ssmples. These do not have all the dimensions needed to manufacture
the part. We usually put the OEM (Datsun, Honda, Toyota, etc.)
Part Number on these prints so that those manufacturing these parts
can secure samples from which to develop manufacturing dimensions.
The import car manufacturers do not provide us with prints, and we
are forced to provide some prints from samples.

In any event, we have provided all the sample numbers which you indicated you needed at Distex. Our billing will follow.

ibis is with reference to our phone conversation of this date on some of the disc brake linings and steel plates referred to in our BULLETIN HO. 98.
In many cases, the shoe drawings are for illustrations only, and do not have manufacturing details. The manufacturers of these 3teel shoes do not wish to give manufacturing details. Also, where the only change was in the drilling of the lining--as for example 7072A and 7072B, we do not have 9teel shoe drawings showing the new drilling. In this case one must take the shoe drawing we have, and refer to the lining drawing for the location of the drilling. Tne lining drawings all have the drilling. I don't feel there is that much difficulty in the lining tooling. The problem will be in tooling for the steel shoes. For the steel shoes, I believe you should also purchase a set of factory original equipment lined shoes from local car dealers to measure details of the steel shoes.

This concerns your phone request of July 18, 1980 asking for "all the designs for the foreign brake shoes."
I am not exactly sure of what you want. As far as foreign drum brake shoes are concerned our drawings do not have designsdetails. They are silhouettes or sketches made by illustrating the shoe, for shoe identification purposes. There is not sufficient information on these illustrations for design purposes. This is best illustrated by our copy of our Shoe FMSI 489, copy attached. If you wish copies of all the foreign drawings for these drum type shoes, this is about what you will get.
If it is disc brake shoe drawings you wish, for foreign cars, there will be about 1?.0 drawings, on which most will have most dimensions, we can provide those drawings.
We do not wish to provide you with drawings that you do not wish. So*, please advise:
1. Do you wish copies of all our drum brake shoes for foreign cars (which trill be similar to 489)?
2. Do you wish copies of all our disc brake shoes for foreign cars (which will mostly have most dimensions)?

This is to reply to your request for prints or information on the spacing of drill holes--for riveted attachment--of several lining shoe assemblies. You gave several lining-shoe assembly numbers for drum brakes. Only two of the numbers you pave had original equipment linings which were drilled for riveted attachment. The other numbers were all undrilled for bonding for original equipment. The Institute only provides drilling information where the original equipment shoe assembly was drilled for riveting. If original equipment was undrilled, for bonding, we show the undrilled lining, and do not have prints for drilled linings.

This is to advise that the Membership of the Institute voted the Canadian Distex Corporation Limited into Regional Membership in the Institute at it's June 1979 Annual Meeting. You are entitled to receive prints of FMSI linings aid shoes. While the lining prints are generally complete in detail shoe prints are most often illustrative and in silhouette form. In many cases the shoe prints do not give manufacturing details but identify the steel only.
At the recent Membership meeting we had a dues increase for the first time in 8 years. The Increase was approximately 10% and would increase the Canadian Distex annual fee from $1,700 to $1,850. There will be no billing on this difference until the last quarter of the 1979-80 fiscal year and we will apply the prepayment which you already paid as follows:

This is to advise the Membership that the Institute has received an application for Regional Membership from the Canadian Distex Corporation, Limited, of Montreal, Quebec, Canada. The application was filed by Mr. Moni Mevorah, President of Canadian Distex.
Canadian Distex manufactures disc brake lining pads for North American passenger cars and light trucks, and for imported cars. They commenced operations in 1975 and are now marketing products in the United States market as well as in Canada. Their application was received in good order along with the necessary deposit of the first year's annual fee. It is their intention to market in the United States and therefore they will be billed at the same dues level as a United States Manufacturer, in this case---at the current dues level--$1,700 for one category (Brake Linings).
Their application is now being reviewed by the Membership Committee and must be approved by the Board of Directors before being submitted to the Membership for ballot. If the necessary 75% of the Active Members are present for the annual meeting--either in person or by Proxy--this may be submitted to the Membership at that time for voting.

Gentlemen:
A few years back I had correspondence with Mr. Alexander Tabori of Canadian Distex concerning requirements for certification of linings for sale in the United States. This related to the Vehicle Equipment Safety Commission (VESC) and the American Association of Motor Vehicle Administration (AAMVA). I also gave Mr. Tabori information concerning the costs of Membership in the Institute and some of the services provided to the Members.
As I understand that Canadian Distex is now marketing disc brake pad sets in the United States perhaps you are interested in Regional Membership in the Institute. A non-United States manufacturer of friction materials can be permitted to use the copyrighted catalogs and bulletins and information therefrom, including the numbering systems and numbers, in marketing their products in the United Btates by becoming a Regional Member in the Institute. Many manufacturers find it worthwhile to use the FMSI numbers in marketing their products in the United States. Still further, FMSI and FMS are registered trademarks of the Friction Materials Standards Institute, and to secure their use a manufacturer must have the written permission of the Institute. Perhaps use of these numbers ot the FMS and FMSI trademarks even if just as cross-reference information would be helpful in marketing your products in the United States.
Assuming that Canadian Distex was marketing only onci "category" in the United States (disc brake linings) the annual fee for Membership would be U.S. $1,700 under our fee schedule for 1978-79. It could change in the future. By "Categories" we refer to the areas in which a manufacturer participates. For example, the four categories are brake linings (this includes disc brake linings and drum brake linings), brake blocks, clutch facings and new unlined brake shoes. Assuming Canadian Distex was participating in only the brake lining category the current annual fee would be U.S. $1,700.
SERVICES TO MEMBERS
The Constitution and By-laws as well as the booklets help explain activities of the Institute. However, I will try to be more specific concerning the services of the Institute.

The Friction Materials Standards Institute publishes bulletins and catalogs concerning brake linings and clutch facings used primarily gH over-the-road vehicles. The members are entitled to buy in volume any of the FMSI catalogs. By having the Institute publish catalogs at greater volume, they are able to save on their catalog cost. If there are questions concerning new releases, the Institute tries to answer the member with the best information available.
Bulletins are mailed to members as soon as information is available on new releases by the vehicle manufacturers. In addition brake lining prints are available from the Institute Office to members at $.75 per print. For orders of one or two prints, there is no charge.
We attempt to provide our members with the latest information on brake lining requirements by the various States, and to provide information on new regula tory standards, new SAE test procedures, etc. Members may also participate in a sales statistics program when quarterly data is gathered by a firm of Certified Public Accountants who prepare sales totals of disc brake linings, deum brake linings, etc. This data is considered of value in measuring market penetration, trends etc.
A primary reason for Membership has been that our FMSI Numbers and the Numbering System are copyrighted and FMS and FMSI are registered trademarks. Use of these FMSI Numbers in catalogs, price sheets, packaging, etc. by non-members is in violation of our Copyrights and use of the words FMS and FMSI infringes on our Trademarks. A manufacturer who is a member is permitted full use of the copy righted numbers and the trademarks and we may permit his customers to use them.
The Institute also represents friction materials manufacturers with the Asbestos Information Association of North America. The Institute coordinated a response that was made to the Illinois Pollution Control Board which intended to prohibit the use of asbestos in brake linings sold In the State of Illinois. We presented the Industry viewpoint on asbestos In the work place when the Occupational Safety and Health Administration (OSHA) proposed stringent new exposure levels for asbestos. We also have passed information on to our membership concerning the latest OSHA and EPA regulations as concerns asbestos.
The Institute has a Brake Performance Study Committee which, when the origlnial New York State Brake Lining Law was written, helped draft a law reasonable to both industry and the public. We met with the Vehicle Equipment Safety Commission when revisions were planned in the V-3 procedure. We have been In contact with AAMVA concerning their certification requirements for brake lining and worked out a compromise with them on "grandfathering" existing brake lining certifications.
In addition, we maintain liaison with NHTSA as concerns Federal standards on brake
lining and brake systems. We have given input to the NHTSA as regards Standard
105-75 (Hydraulic Brake Systems) and Standard 121 (Air Brake Systems). We are in
contact with those
the Department of Transportation who have been given the
assignment to write a brake lining standard for the United States replacement
market. While we have worked with regulatory people, we have also kept our in
dustry informed as to what was taking place and was likely to take place.

Dear Frank:
I recently received literature on lined disc brake shoe assemblies put out by the Canadian Distex Corporation, Limited. In their literature they indicate that certain part numbers replace FMSI numbers and they list the FMSI numbers. Similarly they put out interchange lists with FMSI numbers. In fact, their numbering system itself in certain areas worked off ours using the last three digits off FMSI numbers. I think this is an example of where I would have difficulty alledging copyright infringement where they listed us in interchange.
However, it appears that I might challenge their use of the FMSI numbers in interchange areas as a violation of our trademark. I've sent along copies of some of the pages from the Canadian Distex Corporation Catalog and perhaps you could advise me on this. I am considering sending a letter to Canadian Distex (in a friendly way) advising them of the advantages of Membership in the Institute and then indicating to them that any use of FMSI and FMS in their literature is a violation of our trademarks. I'd appreciate any comments you might be able to give concerning any wording or other for my letter to Canadian Distex. If you feel it appropriate I could draft the letter and send you a copy before releasing it.

The sample pads, I saw were D102, with a stamping on the shoe of HBIT51FF. Mr. Mevorah stated in his letter to our Buyer that 80-85% of their sales were in the U. S. Look them over, maybe they are not in violation of FMSI.

Per our phone conversation of this date. I'm enclosing data on the "Regulation V-3, Minimum Requirements and Uniform Test Procedures for Motor Vehicle Brake Linings."
A copy of the V-3 Regulation is enclosed. Also enclosed is a list of AAMVA Approved Laboratories. There are only two in the United Mates, and the Greening Testing Laboratories are specialists for brake linings.
I've also attached some of the American Association of Motor Vehicle Administrator (AAMVA) literature on requirements. Essentially, AAMVA certification tidies care of most states with brake lining laws.

In order to use the copyrighted FMS1 numbers and systems, a friction materials manufacturer must b^ a Member of the Institute. Where the use of these numbers was planned for outside of the United States (say Canada, countries in Europe, South America, etc.) membership in the Canadian Institute would suffice.

Membership in the Canadian Institute will give you the right to use the Friction Materials Standards Institute's copyrighted numbers in Canada. It would not, however, give you the right to use the FMSI numbers in the United States. In order to do this, it would be necessary for you to apply for Regional Membership in our Institute. The fee structure for a Regional Member, using the copyrighted FMSI numbers in the United States is the same as it is for Active Members (U.S. members). That is, if you were exporting one category!to the United States using the FMSI numbers on the linings, packages, or sales literature, you would pay the $1,050 basic

In order to apply for Regional Membership, one must forward the completed Application along with a check for $1,300 which would be applied toward the first year's dues. It is necessary that you be In production in "commercial quantities" of the friction materials that you intend to export to the United States, using the copyrighted numbers before you can be a Regional Member. In other words, you must manufacture before you apply.
Ordinarily, a Regional Member of the Institute pays $1,300 annual dues. For this he is entitled to most of the rights of Membership except that he does not have the right to use the copyrighted FMSI numbers for the merchandising of products in the United States. For this reason, the Board of Directors changed the fee structure so that those Regional Members using the copyrighted FMSI numbers for marketing their products in the United States would pay the equivalent dues of an American manufacturer. Should you have any questions concerning the Application Forms or the fee structure, please give me a call.
I am enclosing two booklets on the Institute, 2 application forms, one category filing form, 2 copies of our Constitution and By-Laws.
