This letter summarizes this aspect of our discussions with Michele in San Antonio. As we discussed, there are two main points to be considered. First, a contract that contains indemnity, safety and professional expertise clauses should be executed with each contractor. Norm Frost should be contacted for assistance in the writing of individual contracts. Second, the owner (Conoco) is under duty to bring the existence of any potential violation to the attention of the contractor. This should be done quickly and through the contract employees supervisor where possible. Other reasonable efforts may be necessary to abate the hazard and may include stopping the work. These steps can be taken and still maintain the independent contractor status of the contractor and it's employees. Guidance on training of contractors and supplying protective equipment to contractors will also be given to us in the near future. Please let me know if you have questions on the above. Thomas G.
