Registration Terms for Cvent Hosted EPRI Events
EPRI meetings, conferences, presentations, or other events ("Events") are hosted through Cvent, Inc. ("Cvent" ). By registering for an Event, you confirm that you understand and agree to these Registration Terms.
1.
Registration. To register for an Event, you must complete the on line registration process and pay
all applicable fees prior to any deadline as described on the Event registration page. If applicable
payments are not promptly submitted, EPRI reserves the right to cancel your registration without notice
for failure to pay. By completing the online registration, you confirm that you are over 18 years of age.
You further warrant and represent that: (1) the information you provide is true and accurate to the best
of your knowledge; (2) you have the legal authority to bind the person or entity that you are representing,
and (3) you are not in violation of any U.S. or foreign export law or regulation by registering for the Event.
2.
Cancellations or Changes. Events and registrations are subject to availability and may close earlier
than the posted deadline. EPRI reserves the right to cancel, limit, or otherwise change ("Change") an
Event in our sole discretion. EPRI is not responsible for any damages or losses, direct or indirect, resulting
from such Change. In the event that EPRI makes a Change to an Event or to your registration, and if you
are in compliance with all applicable terms, EPRI will issue a refund or other discount or credit as
appropriate.

Code of Conduct. By registering for an Event, you agree to comply with all applicable laws and
further agree not to engage in any form of disruptive, harassing, offensive, discriminatory or threatening
speech or behavior. You agree to comply with the instructions of Event staff or moderators. If we find
that Event participants are engaging in or threatening behavior that breaches the Code of Conduct, we
may ask such participants to leave the Event and may further prohibit such participants from attending
future Events. If we require you to leave an Event, you will not be eligible to receive a refund. If you
witness such behavior, please contact an Event staff member.
4.
Your Information and Privacy. If you register for an Event, we collect your name, contact
information, and other information as appropriate, in order to process your registration request and to
provide you with information and services related to the Event. We use Cvent to assist with Event
registrations, and your information will be securely transferred from Cvent to EPRI. We keep a record of
your Event registrations and may further use your information, with your consent, to notify you about
other EPRI events, products and services. The information you provide may also be used to support EPRl's
legitimate interests to tailor products and services to your interests. Please review our Privacy Policy and
event's Privacy Policy for further details.
5.
Recordings and Materials. EPRI may photograph, video record, audio record, and/or webcast the
Event in which you participate in any media ("Recordings"). This includes your voice, images, and any
chat log that you voluntarily contribute to via the Event videoconferencing platform. If you are a speaker
or presenter, you further agree that EPRI may distribute or make available to others the materials you
present, if any ("Materials"). For example, in anticipation of, during and following an Event, EPRI may
distribute copies of the Materials to Event participants and others, and/or make the Materials available
from an EPRI website, which may be accessible by the general public.
All Event participants hereby grant EPRI and its designees the unrestricted and sublicensable right with respect to Recordings and Materials, including your name, likeness, image, voice, appearance, biographical information, and performance to: (a) use, on a non-exclusive basis, in whole or in parts, in its publication(s), presentation(s), and marketing collateral; and (b) reproduce, publish, republish, transmit, broadcast and distribute in electronic and print editions in all languages and in all media of expression throughout the world. We may edit the Recordings and materials, and/or use them together with other information and allow others to use and disseminate them. EPRI or its designees shall have complete ownership of the Presentation in which you appear, including copyright interests, and you acknowledge that you have no interest, royalty rights or ownership in the Recordings or Materials or its copyright. EPRI disclaims all liability for the capture of your image by Event attendees in any format.
6. Assumption of Risk. By registering for an Event, you acknowledge and agree that your attendance and participation in the Event is voluntary. You agree to solely assume the risks associated with attending and participating in the Event to the maximum extent permitted by law.

Release of Claims. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU (FOR YOURSELF, YOUR
HEIRS, DEPENDENTS, PERSONAL REPRESENTATIVE, ASSIGNS, AND ANYONE ELSE WHO MAY MAKE A
CLAIM ON YOUR BEHALF) HEREBY RELEASE EPRI AND ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS,
OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AGENTS, SUCCESSORS, AND ASSIGNS, FROM
ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, SUITS, DAMAGES, LOSSES, DEBTS, LIABILITIES,
COSTS AND EXPENSES (INCLUDING WITHOUT LIMITATION REASONABLE ATTORNEYS' FEES AND COSTS)
THAT YOU MAY HAVE NOW OR IN THE FUTURE ASSOCIATED IN ANY WAY WITH THE EVENT,
REGISTRATION TERMS, RECORDINGS, OR MATERIALS.
8.
Limitation of Liability. IN NO EVENT WILL EPRI, OR OUR AFFILIATES AND LICENSORS, BE LIABLE TO
YOU UNDER ANY CAUSE OF ACTION OR THEORY OF LIABILITY FOR (A) ANY LOSS OF DATA, PROFITS,
REVENUES, CUSTOMERS, OPPORTUNITIES, OR GOODWILL, OR (B) INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, OR EXEMPLARY DAMAGES IN CONNECTION WITH THE EVENT. IN ANY CASE, EPRl' S
(AND AFFILIATES AND LICENSORS) AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE
EVENT REGISTRATION FEE (OR USO $100 IF NO FEES HAVE BEEN PAID). THE LIMITATIONS SHALL APPLY
TO THE MAXIMUM EXTENT PERMITTED BY LAW.
9.
Assignment. You may not assign or otherwise transfer these Registration Terms or any of your
rights and obligations hereunder, without EPRl' s prior written consent. Any assignment or transfer in
violation of this section will be void. EPRI may assign or transfer these Registration Terms, without your
consent (a) in connection with a merger, acquisition, or sale of all or substantially all of our assets, or (b)
to any affiliate or as part of a corporate reorganization. Effective upon such assignment or transfer, the
assignee is deemed substituted for EPRI as a party to these Registration Terms, and EPRI is fully released
from all of its obligations and duties to perform hereunder. Subject to the foregoing, these Registration
Terms will be binding upon, and inure to the benefit of, the parties and their respective permitted
successors and assigns.
10. Export Controls. As an Event participant, you may be exposed to confidential and proprietary information belonging to EPRI that might or might not be marked " confidential." Access to such information and any other intellectual property or technology made available through the Events is granted with the specific understanding and requirement that responsibility for ensuring full compliance with all applicable U.S. and foreign export laws and regulations is being undertaken by you as an Event participant. Please review EPRl's Terms of Use for further information relating to your obligation to comply with export laws and regulations.
11. Governing Law and Venue. Any dispute or claim arising under or in connection with these Registration Terms shall be construed in accordance with the laws of the State of California, without respect to conflict of laws principles. Each party irrevocably agrees that any such disputes or claims shall be resolved only in the federal or state courts of Santa Clara County, California, USA and agrees to personal jurisdiction in those courts. If any provision of these Registration Terms is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of the Registration Terms, which shall remain in full force and effect.

Overview
Effective Date: July 1, 2020
The following Terms of Use (the "Terms of Use") describe the terms under which You may use EPRI.com, including mobile-optimized websites, subscription to our media resources, registration on our certification sites, enrollment in meetings, event, programs, coursework and training, and accessing research results, products, and other member services, as well as off-site services to run EPRI's calendar of events or to operate our member center, program cockpits and electronic collaboration websites (the "Services"). The Terms of Use apply to Services operated by or on behalfof the Electric Power Research Institute, Inc. and its affiliates and subsidiaries ("EPRI"). The Terms ofUse include Privacy Statement and Cookie Policy, which are incorporated by reference herein. The terms "You" and "User" (and applicable variants thereof) as used herein, refer to all individuals and/or entities accessing the Services for any reason.
Your Agreement to the Terms of Use is Binding
By creating a member account with EPRI or otherwise using the Services, You--on behalfof Yourself, if accessing the Services solely in Your capacity as an individual person, or for Yourself and such entity or entities that You, in the course of Your employment, consultancy, contracting, or subcontracting for such entity or entities, may be accessing the Services-- (i) indicate that You expressly agree to the Terms of Use, Privacy Statement , and Cookie Policy and to be bound thereby; (ii) represent and warrant to EPRI that You have the right, autholity and capacity to agree to and be bound by the Terms of Use and the Privacy Statement , including the Cookie Policy (both for Yourself and such entity or entities that You, in the course of Your employment, consulting, contracting, or subcontracting for such entity or entities, may be accessing the Services); and (iii) represent and warrant that You will use the Services in a manner consistent with all applicable laws and regulations. If You do not or cannot agree to the Terms of Use, Ptivacy Statement, or Cookie Policy, do not use the Services.
General Services Restrictions, Prohibited Uses and User Conduct
You are prohibited from and agree, You will undertake no efforts or actions in furtherance of:
uploading, posting, emailing, transmitting, distributing, storing or otherwise making available any content through or to the Services that is unlawful, harmful, threatening, confidential, proprietary, abusive, harassing, to11ious, defamatory, vulgar, sexually explicit, obscene, libelous, invasive of another's privacy, hateful, or racially, religiously, ethnically or otherwise objectionable or any content that EPRI in its sole and absolute discretion does not wish uploaded, posted, emailed, transmitted, distributed, stored or othe1w ise made available through or to the Services;
impersonating any natural or legal person, including but not limited to, EPRI employees and employees or agents of any third parties; forging headers or otherwise manipulating identifiers in order to disguise the origin of any content; or otherwise misrepresenting Your identify of affiliation in any way;
uploading, posting, emailing, transmitting, distributing, stoting or otherwise making available any content through or to the Services that You do not have a right to make available under any law or under any contractual or fiduciary relationship (for example, proprietary and confidential information);
uploading, posting, emailing, transmitting, distributing, storing or otherwise making available any content through or to the Services in a manner that will infringe or otherwise violate the copyright, trademark, trade secret, confidentiality, nondisclosure, patent or other intellectual property or proprietary rights of others and/or violate the privacy, publicity or other personal rights of others;
uploading, posting, emailing, transmitting, distributing, storing or otherwise making available any material through or to the Services that contains software viruses or any other computer code, fi les or programs designed to inte1n1pt, destroy or limit the functionality of any computer software or hardware or teleconnmmication equipment or facility;

using the Services in any mam1er to provide material support or resources to (or to conceal or disguise the nature, location, source or ownership of material support or resources of) any organization(s) designated by the United States government as a foreign terrorist organization pursuant to Section 219 of the Immigration and Nationality Act or any successor law(s) thereto;
using the Services to intentionally or unintentionally violate any applicable local, state, regional, national or international law, and any regulations having the force of law;
using the Services to "stalk" or otherwise harass another; and/or collecting and/or storing personal data about other Users in connection with the prohibited conduct or
activities desclibed in the above-numbered paragraphs.
You are prohibited from and agree You will undertake no efforts or actions in furtherance of violating or attempting to violate the security of any portion of the Services, including, without limitation, security violations such as the following:
accessing or attempting to access data, information or services to which You have not been granted access or are not otherwise intended for You or Your use;
logging into or attempting to log into a server or account to which You are not authorized to access; attempting to probe, scan or test the vulnerabil ity of any system or network associated with the Services
or to breach security or authentication measures of any system or network associated with the Services, without proper prior written authorization, by any means, including, tampeling, hacking, modifying or othe1wise corrupting or breaching security or authentication measures; attempting in any manner to interfere with service to any User, host or network associated with the Services, including, without limitation, via means of a submitting a virus, Trojan horses, worms, time bombs, cancel bots, com1pted or other computer programming routines or engines to any portion of the Services, overloading, flooding, spamming, mail bombing or crashing, or otherwise engaging in any conduct that could damage, dismpt or otherwise impair or interfere with a computer's function or the operation of the Services; and/or forging or fraudulently displaying any TCP/IP packet header or any pa11 of the header information in any e-mail or newsgroup posting.
You are prohibited from and agree You will undertake no efforts or actions in furtherance of sending unsolicited mail or email, making unsolicited phone calls or sending unsolicited faxes regarding promotions and/or advertising ofcommercial products or services to any User of the Services. You understand and agree that EPRI (or any designated agent thereof) may investigate occunences which may involve any ofsuch prohibited or impermissible activities and may involve, and cooperate with, law enforcement authorities in prosecuting Users and others who are involved in such violations.
User Generated Content and Submissions
You are solely responsible for any content, fi les, messages or other information ("User Content") that You submit, publish or display (collectively, "Post") on any portion of the Services or otherwise transmit to other Users of the Services through the Services. By Posting User Content to any portion of the Services (including message/bulletin boards, forums and chat rooms), You automatically grant to EPRI and You represent and wa1Tant that You have the 1ight to grant to EPRI-an irrevocable, perpetual, fully-paid, royalty-free, sublicensable (through multiple tiers), non-exclusive right (including any moral rights) and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distlibute, communicate to the public, perform and display such User Content (in whole or in pa11) worldwide and to incorporate it in other works in any form, media, or technology now known or later developed, for the full tem1 of any rights that may exist in such User Content. You also warrant that the holder of any 1ights in such User Content has completely and effectively waived all such rights or validly and irrevocably granted to You the right to grant the license provided above. You also agree to permit any User to access, display, view, store, and reproduce such User Content for such User's use. With respect to User Content posted to any portion of the Services, EPRI acts as a

passive conduit for the distribution and publication of User Content and has no obligation (nor accepts any obligation) to screen or monitor any such User Content. If notified of Postings which alleged ly do not conform to the Terms of Use, EPRI may in its sole discretion investigate such allegation(s) and determine whether to take any action, including whether to remove or request the removal of the applicable User Content; provided, however, EPRI shall have no liability or responsibility to Users for the performance or nonperformance of such activities. EPRI may, at any time, review and delete any User Content that, in the sole and absolute judgment of EPRI, violates the Tenns of Use or any applicable law, rule or regulation, is offensive or illegal or violates the rights of or harms or threatens the safety of Users of any portion of the Services. The Company reserves the right in its sole and absolute discretion to investigate and take any legal or other action against any person in violation of the Tenns of Use, including the right to terminate and prevent access to the Services for violating the Terms of Use, any applicable law, rule or regulation and in such cases as the Company believes, in its sole and absolute discretion, that a User's actions may be creating liability for EPRI or any EPRI member. EPRI w ill terminate Your access to the Services if You repeatedly engage in copyright infringement. For information regarding sending a notice of claimed copyright infringement, please see the EPRI Copyright Policy. EPRI in no way represents, warrants or guarantees the truthfulness, non-offensiveness, accuracy or reliability ofUser Content or any other communications posted by Users or endorses any opinions expressed by Users. You acknowledge that any reliance upon User Content is and will be at Your own risk.
Site Content
The materials made available at the Services, such as text, graphics, images, logos, icons, software and other resident content (collectively, "Site Content") are protected under both United States and foreign copyright, trademark and other laws and proprietary rights. All Site Content other than the User Content is the property of EPRI, its Members or content suppliers or vendors. You may view and access a single copy of the Site Content which You are authorized to access solely for Your own use. No material from the Services may be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way without the written permission of the applicable copyright owner. Unauth01ized use of the Site Content may violate copyright, trademark and other laws or proprietary rights. All copyright, trademark or other proprietary notices contained in the original Site Content or any copy of such the Site Content must be retained. The use of Site Content on any other web site or in a networked computer environment for any pmposes is prohibited. Permission for all uses of Site Content other than as provided for in the Terms of Use, including reproducing and distributing multiple copies of Site Content, or linking to any page on our Services other than the homepage ofEPRI.com, must be obtained in writing from EPRI. Export Controls
Access to and use of Site Content and any other intellectual property or technology made available on or through the Services is granted with the specific understanding and requirement that responsibility for ensming full compliance with all applicable U.S. and foreign export laws and regulations is being undertaken by You and Your company/organization. This includes an obligation to ensure that any individual receiving access hereunder who is not a U.S. citizen or permanent U.S. resident is permitted access w1der applicable U.S. and foreign export laws and regulations. In the event you are not certain whether You may lawfully obtain access to particular Site Content or other intellectual property or technology made available on or through the Services, You acknowledge and agree that it is Your obligation to consult with Your company's/organization's legal counsel to determine whether such access is lawful. Limitations on EPRl's Liability; Disclaimers
To the greatest extent permitted under applicable law, under no circumstances, including, but not limited to, negligence, shall EPRI be liable for any exemplary, punitive, special or consequential damages that result from the use or, or the inability to use, the materials made available on and through the Services, even if EPRI or an authorized representative thereof has been infonned of the possibility of such damages.
THE MATERIALS PROVIDED ON AND THROUGH THIS SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EPRI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR APARTICULAR PURPOSE OR WARRANTIES AS TO NONINFRINGEMENT. EPRI DOES NOT WARRANT THAT THE SERVICES OR ANY PORTION THEREOF WILL OPERATE ERROR-FREE OR THAT ANY PORTION OF THE SERVICES ARE FREE OF COMPUTER VIRUSES OF OTHER HARMFUL MECHANISMS. If Your use of the Services or Site Content results in the need for servicing or repairing equipment or data, EPRI is not responsible for those costs.
Indemnity
You agree to defend, indemnify and hold harmless EPRI, its affiliates, and their respective members, officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation

reasonable legal and accounting fees, alleging or resulting from (i) any User Content or other mate1ial You provide to any portion of the Services, (ii) Your use of any Site Content, or (iii) Your breach of the Terms of Use. EPRI will make reasonable attempts to provide notice to You of any such claim, suit or proceeding.
General; Governing Law
The Services are controlled and operated by EPRI from its offices within the United States of America. EPRI makes no representations that material on the Services are appropriate or available for use in other locations. Those who choose to access the Services from locations outside the United States do so on their own risk and are responsible for compliance with local laws, if and to the extent local laws are applicable. Access to the Services from jurisdictions where the contents of the Services are illegal or penalized is prohibited.
The Terms of Use shall be governed by and construed in accordance with the laws of the State of California, without respect to conflict of laws principles. Any dispute or claim relating to or arising out of the Terms of Use and/or the Services shall be resolved only in the federal or state courts of Santa Clara County, California, USA, and You and EPRI agree to personal jurisdiction in those courts. Ifany provision of the Tenns of Use is found to be invalid by any court having competentjurisdiction, the invalidity ofsuch provision shall not affect the validity of the remaining provisions of the Terms of Use, which shall remain in full force and effect.
Changes to Terms of Use
EPRI reserves the right to change the Terms of Use at any time, such as in response to changes in applicable laws and regulations. When we update the Terms of Use, we will also update the effective date on this page and take reasonable steps to notify you of changes that are deemed material under applicable legal requirements.
Termination
The Terms of Use will remain in full force and effect while You are a User of the Services at any level. EPRI reserves the right, at its sole discretion, to pursue all of its legal remedies, including, but not limited to, deletion of Your User Content from the Services and immediate termination of Your registration with or ability to access the Services and/or any other services provided to You by EPRI. Even after You are no longer a User of the Services, certain provisions ofthe Terms ofUse will survive, including those under the headings "User Generated Content and Submissions," "Site Content," "Limitations on EPRI's Liability, Disclaimers," and "Indemnity."
Certain Written Agreements will Supersede these Terms of Use
Notwithstanding the foregoing provided under these Terms of Use, with respect to the use, application and distribution of any authorized downloads of EPRI products, rep011s, software and other products and publications from the Services to which an EPRI Member or other legal or natural person is provided pursuant to a separate written agreement between said Member or other legal or natural person and EPRI, the terms of such written agreement shall control and supersede any conflicting provision contained in these Terms of Use with respect to the use, application and distribution of such materials, related intellectual property and proprietary rights, disclaimers, warranties and indemnities.
