(593) MINUTES of the eighty-seventh meeting of the Directors of the Manufacturing Chemists' Association, Inc., held at the Union Club, New York City, on March 10, 1959, at 11:00 d.m. (EST). He called the meeting to order at 11:00 a.m., welcomed the alternates and guests who were present and invited them to enter actively into the discussion. I. MINUTES OF FEBRUARY 10, 1959, MEETING. The Minutes of this meeting were duly approved as submitted to the members. II. REPORT OF THE EXECUTIVE COMMITTEE. General Hull stated that several items had been discussed at the Executive Committee meeting held earlier that day and that they would be taken up in their respective places on the Board agenda. C/WA 067616 1 III. REPORT OF THE TREASURER. (594) Financial Report, June - February 1959. The financial report for the nine months ending February 28, 1959, was reviewed in detail. ON MOTION duly made and seconded, it was VOTED: That the report be accepted and placed on file. The Treasurer stated that a meeting of the Finance Committee would be held in New York City on March 25 to prepare budget and financing recommendations for sub mittal to the Board of Directors, probably at its April 14 meeting. IV. BOARD OF DIRECTORS. (a) Appointment of Alternate. General Hull advised that the following Board member had requested the appointment of an alternate: Board Member R. C. McCurdy Alternate and Company George W. Huldrum, Jr., Shell Chemical Corporation ON MOTION duly made and seconded, it was VOTED: That the appointment be approved. (b) Membership Committee. In the absence of Chairman Thon>as, the Secretary reported that a meeting of the Membership Committee had been held on February 10 to consider an application submitted by Catalyst Development Corporation, a newly formed subsidiary of Scientific Design Company, Inc. Because of questions raised, the Committee recommended that all pending applications, and applications received prior to May 31, 1959, be held in abeyance pending a review of the eligibility requirements of the By-Laws and a possible amendment of same. General Counsel reported that he had drafted proposals in keeping with the Membership Committee's recommendations and that these had been discussed at the Executive Committee meeting held earlier that morning. These proposals will be trans mitted to Board members within the near future in order that they may be considered by the full Board at the April 14, 1959, meeting. (c) Trade Policy Advisory Committee. In accordance with action taken at the February 10 Board meeting, letters were sent by the staff to the Chairmen of the Senate Foreign Relations and House Foreign Affairs Committees reiterating the Associa tion's policy on sale and/or exchange of chemical know-how and facilities to the Soviets and suggesting that our Government urge other Western nations to follow a similar policy. Copies of these letters were sent to the Secretaries of the State and Commerce Depart ments, as well as individual members of the Senate and House Committees, and others. The Association has received a substantial number of acknowledgments, most of them expressing agreement with MCA policy; a few noncommittal, but none expressing an opposite point of view. CMA 067617 (595) Following discussion, it was agreed that there was nothing further to be done with this subject for the present. (d) Policy Study Committee. Chairman Frederick reported that his Com mittee would be in position to report to the Board of Directors at its April 14 meeting. (e) 1959 Spring Regional Directors Meeting. The Directors have received an invitation from St. Louis members to hold the April 14 Board meeting in that city. ON MOTION duly made and seconded, it was VOTED: That the invitation be accepted, with thanks. Headquarters hotel will be the Park Plaza. It was agreed that the Executive Committee meeting would be held at 5:00 p.m. on Monday, April 13; that the group reception and dinner be held at an appropriate club immediately thereafter. At 9:00 a.m on Tuesday, April 14, the group will be conducted through the new Monsanto office and research facilities; the Directors meeting will be held at 10:30 that morning on the Monsanto premises, and luncheon will be scheduled at 12 Noon in the Monsanto dining room. Following luncheon, transportation will be provided to the new Mallinckrodt uranium purification facilities at nearby Weldon Springs. Program will be formalized shortly and will be transmitted by the Secretary to all Directors and alternates and to the Executive Contacts of member firms with headquarters in the Middle Western Area. (f) Fall Regional Meeting. In behalf of the Association of Canadian Chemical Manufacturers, Mr. Ross cordially invited the Directors to schedule their October 1959 Regional Meeting in Canada, He suggested possible dates and locations, as well as program possibilities. ON MOTION duly made and seconded, it was VOTED: That the invitation be accepted,with thanks, and that details be arranged by the officers with Mr. Ross and his Canadian associates. (g) 87th Annual Meeting, June 11 - 13, 1959. Messrs. Gillis and Nichols reported that Mr- O.' V. Tracy had accepted the assignment as principal speaker at the Annual Business Session on the morning of June 11 and that Dr. Milton S. Eisenhower, President, Johns Hopkins University, had agreed to speak at the Annual Banquet the next evening. The Secretary stated that he had conferred with The Greenbrier manage ment and that arrangements had been concluded to the Association's satisfaction. It was agreed by those present that the Directors meeting should be held, as in the past, on Wednesday evening, beginning with cocktails and dinner, at 6:30 p.m. A short meeting of the Directors will also be convened immediately following conclusion of the Annual Meeting the next day in order to appoint an Executive Committee CMA 067618 (596) The official notice of the meeting, together with reservation and transportation forms, will be mailed to member representatives on March 11. COMMITTEE REPORT. Mr. R. W. Ball, Chairman of the Association's Patent Committee, spoke for approximately eight minutes on the activities and program of his group. A summarization of Mr. Ball's remarks had been transmitted to the Directors in advance of the meeting. Mr. Ball recommended that his Committee be authorized to prepare and file a statement before the appropriate Houses of Congress opposing the institution of maintenance fees and recommending instead that realistic increases be applied to filing and final fees in order to provide the additional revenue required by the Patent Office. ON MOTION duly made and seconded, it was VOTED: That the necessary authorization be granted for the filing of such statement. CMA 067619 (597) VII. STAFF REPORT AND MISCELLANEOUS ITEMS. (a) Public Relations. Those present were handed copies of a brief public relations progress report, as well as background memoranda on the new food additives law. Reference was made to the Association's annual construction survey, completed by the Information Service and released to press media by the Public Relations Depart ment. Preparations are now under way for Chemical Progress Week (April 13 - 17) and for the handling of press contacts at the forthcoming technical symposia of the Association. (b) Education. A progress report was handed to those present covering new aid-to-education proposals, nominations for the 1959 College Chemistry Teacher Awards, and the twcnew films under preparation. (c) Legislative Program. A brief summarization of current legislative activities of the Association was distributed. The Association has been joined by five other national organizations in sponsoring a Federal Hazardous Substances Labeling Bill which was introduced in both Senate and House on March 9. Hearings on S. 11, the bill to amend Section 2(b) of the Robins on-Patman Act to limit the "good faith" meeting of competition defense to a charge of price discrimination, will begin March 17. MCA testimony will again be presented by General Counsel. Mr. A. H. Eustis, Chairman of the Board, Virginia Smelting Company, will also present testimony in opposition to the bill, speaking in the role of a small chemical company representative. Two weeks ago, the Ass-ociation filed a short statement with the House Ways and Means Committee expressing MCA's support of H. R. 5, to amend the Internal Revenue Code of 1954 to encourage private investment abroad. (d) Technical Program. 1, Smithsonian Exhibit. General Hull reported that the Association had been invited by the Smithsonian Institution to provide a pilot plant or scale model of a ^ chemical processing plant for permanent display in the Institution's new Science Exhibit Hall. He suggested that an ad hoc committee of the Board be appointed to look into the proposal and to report back to the Board at a subsequent meeting. This suggestion was affirmed by those present. 2. Conferences and Symposia. The Secretary reported that the schedule of MCA sponsored technical conferences for the balance of the fiscal year was as follows: (a) Boiler and Machinery Insurance - Chicago - March 17. (b) National Air and Water Pollution Abatement Conference - Cincinnati - March 18 and 19, (c) Transportation and Packaging Symposium - Cleveland - April 29 and 30. (d) Regional Safety Workshop - Chicago - May 21. 3. State Legislation. A brief report was made on pending or proposed state legislation in the fields of labeling and pollution abatement. C/W4 067620 (598) 4. Hearings and Statements Filed. It was reported that the Association had recently filed a supplemental statement with the Secretary of the Treasury recom mending certain additional changes in the Antidumping Regulations; also, that the original MCA statement to the Tariff Commission with reference to new tariff classifica tions on chemical and allied products had been supplemented by two additional statements recently filed. Transportation. MCA Traffic Counsel will appear before the Inter state Commerce Commission shortly to present testimony on rail-truck (piggyback) service requirements. Later this month, five members of the Traffic Committee will appear before the House Committee on Merchant Marine and Fisheries to present state ments on steamship dual rates applicable to exports of chemical products. 5. Business and Defense Services Administration. The Secretary reported that Chas. Pfizer & Co., Inc., had nominated Mr. Thomas V. Cartolano to serve as Administrative Adviser to BDSA's Chemical and Rubber Division, U. S. Department of Commerce, effective July 1 next, succeeding Mr. Martin H. Fritch, the present incum bent. Wyandotte Chemicals Corporation has agreed to nominate an incumbent for service beginning January 1, I960. 6. National Executive Reserve Program. The latter part of February, Ithe Association was informally requested by BDSA officials to assist the Government Jn building up its roster of National Executive Reservists from its present chemical and allied products roster of 62 up to a ceiling of approximately 140. This request was endorsed by the Association's Washington Advisory Committee. The Secretary stated that Mr. William C. Truppner, Director, Office of Industrial Mobilization, U. S. Department of Commerce, would be present at the luncheon, immediately following con clusion of the Directors meeting, in order to present the Government's proposal in detail. Later, following Mr. Truppner's presentation (see below), ON MOTION duly made and seconded, it was VOTED: That the Association's staff be authorized to assist the U. S. Department of Commerce as requested. There being no further business to come before the meeting, it was unanimously resolved to adjourn. Following conclusion of the luncheon, Mr. William C.
