President, to negotiate for the acquisition of all of the
outstanding shares of stock of Edgar Plastic Kaolin Company
in exchange for 27,000 shares of National Lead Company common
stock and the assumption of outstanding senior security

stock of a market value of $77,000, subject to obtaining

Upon motion duly made, seconded and carried, it was
RESOLVED, That Mr. A. W. R. Thomas of York House, 199 Westminster Bridge Road, London, S.E. 1., be and he hereby is authorized to represent National Lead Company and to attend and vote at the Annual General Meeting of Kronos Titanium Pigments Limited to be held on August 12th, 1968, or at any adjournment therefore.

RESOLVED, That effective as of July 31, 1968, Archer D. Sargent, Treasurer of National Lead Company, or John H. Watt, Officer Manager, Treasurer's Depart ment, be and either one is authorized jointly with the President or a Vice President or the Secretary or an Assistant Secretary of the Company, two individual officers to be required for the purpose in all cases, to have access, subject to the rules and regulations of The Chase Manhattan Safe Deposit Company, to the safe-deposit box standing in the name of this Company and located in the vaults of the said The Chase Manhattan Safe Deposit Company at 1 Chase Manhattan Plaza, Basement 5B, New York, New York 10015.

Harry W. Siefert be and he hereby is appointed a member of the Pension and Life Insurance Board in succession to George A. Dewey.
Upon motion duly made, seconded and carried, it was
RESOLVED, That the Chase Manhattan Bank, N.A., Transfer Agent, be and it hereby is authorized to transfer Certificate No. C0261250 for 53 shares and Certificate No. C258455 for 100 shares of the common stock of this Company, each registered in the name of Charles N. Risler, deceased, to his surviving heirs and legatees, namely, - Jeanette May Lundgren, daughter; George A. Risler, son; Ruth Elaine Reuter, daughter; and Florence Anne Schaull, daughter, - without requiring evidence of probate or administration proceedings on the estate of the said Charles N. Risler, deceased, and in accordance with the provisions of an "Agreement For Settlement of Estate Without Administration", dated May 21, 1968, executed by the abovenamed surviving heirs and legatees, provided, however, that prior to effecting the transfer of the aforesaid Certificates, there shall be first furnished to the Company and to The Chase Manhattan Bank, as Transfer Agent, all such documents, including a Bond or Indemnity Agreement, as shall be necessary or appropriate to protect the interests of this Company and The Chase Manhattan Bank, N.A., as Transfer Agent; and provided further, that the said transfer will not be effected until the Transfer Agent shall receive written instructions from the President, any Vice President, the Treasurer or the Secretary of this Company stating that the documents furnished are satisfactory.

(EXECUTIVE COMMITTEE - JULY 31, 1968) Company, in compliance with the laws of the United States heretofore or hereafter enacted and with regulations legally issued pursuant thereto: Applications for Permit to Use Specially Denatured Spirits; Applications and Withdrawal Permits of User to Procure Specially Denatured Spirits in connection with the business of this Company at said Branch's various plant's and laboratories in such quantities as may from time to time be required; applica tions for renewals of such permits; any and all bonds or other documents required in connection therewith; applica tions for permits to purchase under such basic permits and any and all reports required in connection therewith.
The Committee ratified and approved the investments made during the weeks ended July 1st, July 8th, July 15th, July 22nd, and July 29th, 1968, as set forth in the lists attached to and made a part of these minutes.
The Committee ratified and approved the sale, during the week ended July 15th, 1968, of the security set forth in the list attached to and made a part of these minutes.
