Following breakfast at 8:30 a. m. (EST), the meeting was called to order by Chairman Gerstacker.
e^c 1. Report of the Secretary-Treasurer. Mr. Carnes reported that in come for the first eight months is $1, 548,655, or 961% of the estimated income for the fiscal year of $1,600, 000. Net revenue from the 17th-Semi Annual Meeting of $14,494 brings the income from general meetings to $71,920, ex ceeding the budget estimate by $1,920. Expenditures for the eight-month period have been $851, 713, or 79. 5% of the prorated budget for that period. The expenditures of all staff departments continue within their prorated budgets.
Approximately two-thirds of the membership have submitted confiden tial "chemical sales" data for 1967. Reminders will be sent to those not re porting by February 21 but sufficient data is anticipated by the end of February to permit a reasonably accurate forecast of income from membership fees for fiscal 1968-69. There have been four member company resignations this fiscal year, including three Canadian members. Six members have been lost through consolidation and at least two more such losses are anticipated. Four new members have been acquired and two other applications are pending.
2. West Coast Regional Meeting of Directors, March 11-14, 1968. Mr. Carnes reported that detailed plans for the West Coast Regional Meeting at San Francisco and Pebble Beach on March 11-14 have been completed. Invitations were sent on January 17 to Directors and to the Executive Contacts of member companies having chemical manufatituring facilities in the three West Coast states, with the invitation extended to Directors' Alternates and to the West Coast Managers of invitees. The"meeting will begin with a dinner in San Fran cisco on the evening of ^Monday, March 11. On March 12, registrants will be
transported by private aircraft to Pebble Beach where a program of business and social events has been arranged. At the conclusion of the meeting on March 14, return air transportation to San Francisco will also be provided.

3, Washington Regional Meeting of Directors, April 8-9, 1968. General Decker reviewed plans for the April meeting of the Directors in Washington, D.C. At 12 Noon on Monday, April 8, member^ of the Executive and Finance Commit tees will meet at The Madison to consider budget and finance proposals for fiscal 1968-69. On Monday evening at 6:00 p. m. the annual reception for members of the Congress and government officials will be held at the Army-Navy Club. In vitations will be sent to the Directors on February 19 and will be accompanied by a list of congressional invitees. At 8:30 a, m. on Tuesday, April 9, the Board of Directors will meet at The Madison for a breakfast meeting. A block of sleep ing rooms has been set aside at The Madison and Directors should write to the hotel direct for individual accommodations from this block.
4. 96th Annual Meeting Arrangements. Mr, Carnes reported that he had recently conferred with The Greenbrier management to finalize plans for the 96th Annual Meeting. The Greenbrier has committed approximately 900 spaces for the meeting, the same number as last year, which will again make necessary the careful allotment of accommodations as in previous years.
Registration forms and meeting information will be mailed to Executive Contacts of member companies during the first week in March. The formal program will begin with a meeting of the Executive Committee at 5:00 p. m. on Wednesday, June 5, to be followed by the Directors' dinner and meeting at 6:00 p. m. The Annual Business Meeting will be held at 9:45 a. m. on Thursday, June 6, and the Annual Banquet will be held on the evening of Friday, June 7. The remainder of the program will follow the pattern of last year's meeting. The Program Committee is actively engaged in seeking speakers for the two main addresses and it is hoped that the commitment of a prominent government figure as speaker for the Annual Banquet will be obtained within the next week or ten days.
5. Ad Hoc Committee on Balance of Payments. General Decker reported the formation on an urgent basis, after conferring with the Chairmen of the Board and of the Executive Committee, of an Ad Hoc Committee on Balance of Payments to study the impact on the chemical industry of regulations and proposed legis lation in the program to strengthen the U. S. balance of payments, announced by the President on January 1, 1968, and to recommend such action by the Associa tion as is deemed advisable. The ad hoc committee is preparing position papers on proposed regulations and legislation to implement the President's program which, when completed, will be circulated to members of the Board of Birectors. Following discussion, it was agreed to recommend to the Board of Directors that the formation of the ad hoc committee, its terms of reference, membership and officers be ratified.
6. Air Quality Committee Proposal Concerning Implementation of Air Quality Act of 1967. Transmitted to members prior to the meeting was a pro posal by the Air Quality Committee to reprogram $10, 000 provided in the current budget for a project on the fate of chemicals in the atmosphere, which has not materialized, to augment $10, 000 provided for a project for the review of air quality criteria. It is also proposed that Resources Research, Inc., be retained by the Association to maintain close liaison with the Department of HEW and state air pollution control authorities for the purpose of reviewing proposed air quality criteria and to provide supporting data for use at both the Federal and state levels in connection with the adoption of such criteria and subsequent actions leading to adoption and enforcement of air quality standards.
Following discussion, it was agreed to recommend approval of the pro posal by the Board of Directors. It was also agreed, as recommended by Mr. Symington, that the draft memorandum of understanding with Resources Research, Inc., be revised to insure that the development and presentation of testimony challenging proposed standards or regulations will be carefully con trolled by MCA staff and counsel.
7. Administrative Matters. General Decker reported that James D. Kittelton has resigned as a member of the staff effective February 16 to join the National Air Pollution Control Center, and that the position of Secretary to the Water Resources Committee has not yet been filled.
Mr. Logan reported that, as the result of discussions with General Decker concerning possible inequalities in distribution of workload and the prospective loss of members of the staff through retirement, there appears to be a need to restudy the objectives of the Association with a view toward possibly redefining them and rearranging the staff organization for accom plishing them. Following a discussion in which it was noted that mergers with related trade associations might also be considered, if timely and not likely to unduly delay completion of the study, it was agreed that Mr. Logan, Dr. Gerstacker and General Decker should confer and recommend a special committee of Directors to conduct such a study.
In response to Mr. Logan's inquiry as to progress in compiling the results of the air, water and solid waste disposal survey, General Decker reported that the process of collating is starting and the staff is looking into means, possibly automatic data processing, whereby the results may be ob tained as quickly as possible.
