Hayes-Albion Corporation Dear Mr. Carlton: I represent Friction Materials Standards Institute, Inc. (hereinafter FMSI). Hayes-Albion Corporation (hereinafter Hayes-Albion) owes FMSI the sum of $850, the balance due on Hayes-Albion's member ship fee of $1,700 to FMSI for the Institute's fiscal year of July 1, 1977 to June 30, 1978. While your company, a member of FMSI since 1975, attempted to withdraw from FMSI (citing your withdrawal from the automotive aftermarket) in late January 1979, Hayes-Albion was then, and remained, liable for the full $1,700 fee for that fiscal year. Mr. Drislane, executive secretary of FMSI, sent you copies of Article IX of the Institute's constitution, providing that: "Cessation of Participation. Any Member, Regional Member or Licensee may withdraw from participation in the Institute at any time upon payment of its annual fees for the current year and all rights to participate shall cease as of such date." No member shall have the right to resign from the Institute while in debt for dues or assessments." Your company became bound by those rules when in 1975 it chose membership in FMSI by your Mr. Voorhees.* Mr. Drislane also has sent you a copy of the application form whereby your company agreed to be bound to the above. I also point out to you that FMSI membership is on the basis of annual, not semi-annual, dues. The annual fee can be paid in semi-annual installments purely for the convenience of members. Had Hayes-Albion paid the annual fee in one payment in July, would it (wholly apart from its legal obligation under the Constitution and by-laws) have asked for a rebate when it decided to terminate membership? Moreover, I point out that Hayes-Albion did not drop out during the first half, or even at the mid-point of FMSI's calendar year (July 1 to June 30). Rather it continued nearly a full month into the second-half of that calendar year before terminating. On all the above counts, therefore, your company owes FMSI $850. While the amount is not large, the principle is to FMSI and I've been instructed to do what is necessary to collect that sum. I am prepared to, and will, do so. Before suit is instituted, I earnestly ask that you recon sider prior refusals, and promptly send me a check for $850 to the order of FMSI. I enclose a return envelope for that purpose. Carlton Hayes-Albion Corporation 1999 Wildwood Avenue Jackson, Michigan 49202 Dear Mr. Carlton: This is in reply to your letter of August 24, 1978 concerning our correspondence requesting Hayes-Albion's payment of the balance of the annual fee for its Brake Systems Division's membership in the Friction Materials Standards Institute. As explained in earlier correspondence, the annual fee is for membership in the Institute for the fiscal year July 1 through June 30. While I understand that Hayes-Albion may have closed down its Brake Systems Division nearly ten months ago we did provide Hayes-Albion Corporation with services from July 1, 1977 through January 1978. We were not advised of Hayes-Albion's intention to with draw until we received your Mr. Rysso's letter of January 17, 1978, copy attached. I am enclosing a copy of our Invoice #2431 dated July 1, 1977, billing the annual fee for the 1977-78 fiscal year. As you will note on this invoice the full year annual fee is $1,700 and half only was billed and paid by Hayes-Albion at that time. The other half was then billed on January 1, 1978, which is the invoice that we consider open. On Mr. Voorhees* signed application you will note that the applicant upon election to the membership agreed to accept the Constitution and By-Laws of the Institute. I've excerpted from our Constitution and By-Laws and you may wish to refer to those enclosed excerpts. The Constitution specifically states that the Institute's fiscal year is from July 1 through June 30. It also states under Article IX Fees and Assessments, that any member may withdraw from participation in the Institute at any time upon payment of its annual fees for the current year. Those annual fees were $1,700 of which Hayes-Albion Corporation paid $850 in July 1977. I'm enclosing an additional copy of the application form signed by your Mr. Voorhees in September 1974. In correspondence I had with Mr. Marcus Gudema of Hayes-Albion in 1973-74, I specifically indicated that our fiscal year was July 1 through June 30. We consider Mr. Voorhees' application, his acknowledgment of receipt of copies of the Constitution and By-Laws, and his agreement to be bound by these Constitution and By-Laws sufficient evidence that the full, annual fee for the fiscal year July 1, 1977 to June 30, 1978 would be due if a Member participated in Membership anytime during that fiscal year. Carlton Hayes-Albion Corporation 2- - August 30, 1978 We received no notification of the Hayes-Albion intent to withdraw from the Institute until Mr, Eysso's letter of January 17, 1978. Prior to that time in our 1977-78 fiscal year we had sent prints, technical bulletins and other information to Hayes-Albion. I had correspondence with Mr. Ryaso a*d Mr. Adams during the early part of that fiscal year. We automatically provided prints of new brake linings and shoes as they were released along with teehnieal. bulletins and our services continued up until the time that we received Mr. Rysso's letter. Based on the payment by Hayes-Albion of all fees and billings during the 1975-77 period, that should certainly be acknowledgment by Hayes-Albion Corporation of its intention to participate as a member of the Friction Materials Standards Institute. If there is additional information you need I would be pleased to send It to you. In the meanwhile, as Indicated in my letter of August 16, 1978, the Institute considers the $850 on Invoice #2583 to be a valid receivable, and we again ask for its payment. Some shoe manufacturers insist on blocking out dimensions when they provide usewlth drum brake or disc brake shoe information. Essentially, they provide drawings for identification only. However, the D-122 Inner shoe is the same as the D-52 Inner shoe except for the location of the depression shown by section AA on the D-122 Inner drawing. 1 do not have the location and dimensions for this depression. I suggest that you go to a dealer and purchase the D-122 lining-shoe assembly and measure this depression and its location. I feed this to our members. The members who sell in the aftermarket are beat qualified to tell what is interchangeable, or shat numbers they can consolidate to ratface the proliferation of parts. As I understand that you can gat technical and market assistance from Afaex, I suggest you contact Mr* Phil Grim or others in his department at Aba*Winchestor. I am not in a position to say that one part interchanges with another for after-market use. tf 1 did say so, and it did not work out, perhaps I'd be on the bed and of a law suit. The regulation you are referring to concerns the Defect notification requirements proposed by Docket 75-10, to take effect on September 1, 1975. I am enclosing: (1) Federal Register May 6, 1975, NHTSA Defect Notification Requirements (2) Overview by DOT dated May 15, 1975 (3) Overview by ASIA dated May? 12, 1975 As you will note there are no specific requirements to establish a system to trace equipment. Also, it covers all equipment--brake linings, brake blocks, etc. The traceability is inferred, not mandated. For example. If a customer has a lining failura, the manufacturer should study it, and perhaps--if the evidence indicates--commence notification. If he has a second failure, and then a third failure, it would be getting a little warm, and notifica tion might be thrust on him. Now. who do you notify? How much of your material is suspect? The NHTSA can say all is suspect and you must make a complete notification and recall all the "defective Equipment." However, if your data could indicate the failures were only on a certain batch, or on lining produced with certain date codes, you could limit your notification and recall to that material. While batch or date coding is not mandated, it is to the manufacturers advantage, to be able to identify batches or dates manufactured# so that he might limit a notification dr a recall to that specific material. J. 07652 BULLET I N N 0. 5 1 5 October 25, 1974 HAYES-ALBI ON CORPORATION - APPLICATION FOR MEMBERSHIP An application for Active Membership was received from Hayes-Albion Corporation, Jackson, Michigan. The application was received in good form with the required one-time initiation fee of $1,000. The Membership Committee recommended accept ance of this application and it is now being reviewed by the Board of Directors. The Hayes-Albion entrance into the friction materials field is somewhat unique. Illinois Central Industries, parent of the Abex Corporation, was ordered by the FTC to form a new friction materials competitor as a result of the ICI acquisition of Mi das-International. Hayes-Albion, an established manufacturer of automotive parts, will be the new friction materials manufacturer. Hayes-Albion will finish their factory in Johnson City, Tennessee in December 1974. They expect to start production in the February-Apri1 1975 period. For this reason, they are not currently qualified for Membership, since a Member must actually be manufacturing friction materials in commercial quantities. Because of the uniqueness of their entrance into this industry, the Membership Committee recommended approval of their application, with the condition that their Membership will start when they are actually manufacturing friction materials in commercial quantities. Your Board of Directors is now reviewing the Committee's recommenda tions. No action is called for by the Membership at this time. This is strictly to keep the Membership posted on this application. REQUIREMENTS The basic requirement for Active Membership in the Institute is that applicant must be a U.S. resident, and be manufacturing friction materials in "Commercial quantities." While the definition of "commercial quantities" may be elusive, it aims at a factory type operation rather than a part-time garage type operation or a rebuilder type operation. By "friction materials," we mean all types that are used to either brake a load (automotive, rail, industrial, aircraft) or transmit torque as a dutch facing (dry or wet - automotive, industrial, or off-road - asbestos, paper, metal, etc.). Of course, most members are in the automotive market, because that Is where the Institute provides the most services. If you were to apply, you would complete one copy of our Application Form. On the second page of this Form the applicant agrees to accept and be bound by the Constitution and By-Laws. Enclosed are two copies each of our Application Form and Constitution and By-Laws. I believe the requirements of Membership are spelled out in the Constitution and By-Laws. COSTS Were you considering applying for membership, there is a $1,000 one-time initiation fee. (This would accompany your Application.) If, for soma reason, you were to withdraw your Application, or the Institute were not to vote you into membership, this $1,000 would be returned. Other than this one-time fee, there is a regular annual fee which is based on the number of "categories" in which you might be involved. I have enclosed a copy of our Category Filing Dedaratlon which all the members fill out every year. Our present dues structure is a basic fee of $1,050 annually, plus $650 x the number of categories. For example, were you just in the brake lining business as such (according to our category definitions) the annual fee would be $1,700 per year ($1,050 + $650), Were you engaged in two categories, for example brake linings and brake blocks, the fee would be $2,350 per year. While this dues structure has been unchanged for the past three years, it may be increased if the budget so dictated. If one were selling his products strictly in the aerospace field, or in the industrial market, he might very well qualify for membership, but there might be little advantage in that membership. We publish catalogs that are widely used in the after-market, and because they are so widely used the price to Members is less than if they made their own catalogs. Bulletins are mailed to the members as soon as information is available on new releases by the vehicle manufacturers. From an overall industry viewpoint, we provide input to the regulatory authorities on problems concerning our industry, and we keep our Membership informed on these problems. The Institute represents the brake lining manufacturers and clutch facing manufacturers with Asbestos Information Association of North America. The Institute coordinated a response that was made to the Illinois Pollution Control Board which intended to prohibit the use of asbestos in brake linings sold in the State of Illinois. Our Asbestos Study Committee has given Input to the Asbestos Information Association as regards asbestos problems in the friction materials business. We also have passed Information on to our membership concerning the latest OSHA and EPA regulations as concerns asbestos. The Chairman of our Asbestos Study Committee is one of the industry representatives on the Advisory Board that debated the asbestos regulations before they were issued. The Institute maintains a Brake Performance Study Committee which, when the original New York State Brake Lining Law was being written, helped draft a law What was reasonable to both Industry and the public. We have been consulted with by the Vehicle Equipment Safety Commission when revisions were planned in the V-3 procedure. We have been in contact with AAMVA concerning their certification requirements for brake lining and worked out FMSl 07855 Hr. We attempt to keep the industry posted on the progress of the various regulatory authorities as regards brake linings. In addition, we maintain close liaison with HITSA as concerns Federal standards on brake lining and brake systems. We have given Input to the NHTSA as regards the new FMFSS #105a (Hydraulic Brake Systems) and FHFSS #121 (Air Brake Systems). We are in touch with those in the Department of Transportation who have been given the assignment to write a brake lining standard for the replacement market. While we have worked with the regulatory people, we have also kept our industry Informed as to what was taking place and was likely to take place, COFTRIOBT If you have seen the FMSI catalogs over the years, you will note that all FMS numbers and the contents of the catalogs are copyrighted. In order to use the copyright in one's catalogs, price lists, packaging, etc., a manufacturer must belong to the Institute. If, for example, you are a distributor, jobber, or other link in the distribution chain, ordinarily you would secure the right to use the copyrighted numbers from the member of the Institute who sells his lining to you. If, however, you are the manufacturer of friction materials, no member can give you the right to use the copyrighted numbers on the products you manufacture. He can only give you permission to use the FMS nunbers on the products you purchase from him. Many manufacturers consider the FMS numbering system to be of considerable value in merchandising heir products. If a company does not plan on using the copyrighted FMS numbering system, there is no compelling need as such to join the Institute. However, there are several members of the Institute who now are in that position but feel that other benefits which the Institute gives them directly and which are generated indirectly by the Institute contacts with Washington, makes membership desirable. OTHER I have added the "COPYRIGHT" section, although it might be classed as one of the benefits, because several members are members solely because of the need to use our copyrighted numbers in their marketing of brake linings and clutch facings Intthe automotive after-market. As sort of a general answer, we do not provide services on a fee basis. Ordinar ily, all our work is done for our members who pay annual dues and, of course, we give information to the field to assist them in the proper selection and installation of friction materials. Generally speaking, the brake lining manufacturers and clutch facing manufacturers who make up the membership of the Institute decide what Information will be developed and distributed. They do this through committees which study various problems that the industry faces. For example, we have a Data Book and Technical Committee which works on the gathering and dissemina tion of data as to what is installed on the brakes and in the clutches of various fehicles. We provide a common numbering system for the Industry. We publish catalogs concerning what lining goes on what vehicle and provide information to help identify brake shoes and brake blocks. To specifically answer your questions, I will take the first one concern ing how a company becomes a member. According to our Constitution and By-Laws, any person or corporation who is manufacturing friction materials in commercial quantities is eligible to become a member. Generally speaking, manufacturers who get into production of friction materials do so by entering a specialty side of the market. We do not have any membership classification for those who are not actually manufacturing friction materials. As regards your question on the amount of sales of brake friction materials for automotive aftermarket use, we do have what we call an Historic Sales Program. This presents the sales in units of brake linings, brake blocks, clutch facings, and disc brake linings. This data is submitted by our members to a certified public accountant who assembles the data and issues reports. This datatis only available to members of the Friction Materials Standards Institute. I know of no other place where you can gather this data., I am enclosing a list of the Active Members of the Friction Materials Standards Institute. While some of these members may manufacture clutch facings, just about all of them manufacture brake linings. Your next question concerned state vehicle brake inspection requirements. I am sending a tabulation which shows what the inspection requirements are in the various states. This is in sumary form. However, I question whether this is exactly what you want and wish to advise that there are several states that have specific requirements to certify that a brake lining meets certain basic friction requirements. As the states with these certification requirements are fairly populous and have been leaders in automotive safety legislation, almost any manufacturer must certify their linings before sale in the following states: Kentucky, Massachusetts, Rhode Island, Maryland, North Carolina, New Jersey, New York, Ohio and Pennsylvania. There are certain friction machine tests which must be run and certified by an Independent laboratory. There are fees involved and 1 could give you more information if this is what you want rather than vehicle brake inspection requirements. Technical information concerning the design, manufacture, and composition of brake linings is not available from the Institute. If you consider that the Membership of the Institute is made up of manufacturers,you can understand why they are not giving publications in areas that they would consider proprietary, which in effect would help create competition. I would suggest that you have a 14b#0*r.rrv search made and a search of the patent literature that Is available concerning friction materials. As regards your last question concerning the trends that are affecting the market, there are two major ones that are apparent. The first is that American passenger cars are gradually moving from the drum brakes to the disc brakes on the fronts of just about all models. This would mean that when discs become standard on the fronts, they will have gathered 50% of the passenger car market. Further, it is expected that disc brakes will gradually be used on both the fronts and rears of most domestic passenger cars. Already the Corvette is disc front and rear and the Imperial is going front and rear in the 1974 model year. This will be a gradual change-over which would Indicate that discs would be used on all fronts by 1980 and on perhaps 50% of the rears by that time. Further, disc brakes are moving into the truck field and are currently on most of the light truck models. This year disc brakes are going on the medium and on what some would call the heavy models. Because of legislation in Washington, it may be necessary to move disc brakes onto many truck models that heretofore were considered completely unsatis factory with drum brakes. This switch to disc brake from the drum brake is the biggest trend affecting the market right now. Another problem facing the market right now, that may or may not be a trend, is the fact that 98% of the friction materials use asbestos. Asbestos has been declared a hazardous material in the workplace and there are stringent requirements being set up by OSHA^that make working with asbestos a problem. As a matter of fact, i,\100% ban on asbestos was put into effect, which is unlikely at this time, it would present quite a problem to the industry.
