A meeting of the Board of Directors of the Lead Industries Asso ciation vas held on Wednesday, April 22, 1959* at the Drake Hotel, Chicago, Illinois.

The meeting vas called to order at 4:30 P.M., with Mr. Bradley in the Chair.
The minutes of the previous meeting of December 1, 1956 vere approved.
REPORT OF THE NCMUtATIRG COMTEEE
The report of the Nominating Committee for officers vas submitted as follows:
The Nominating Committee, appointed by the President and approved by the Board of Directors at its meeting on December 1, 1956, in accordance with Article V, Section 4, of the By-Laws of the Lead Ihdustries Association, recommends the reelection of the present officers to serve until the i960 Annual meeting, as follows:

There being no further nominations, it was regularly moved,
seconded and carried that nominations be closed and that the secretary
be instructed to cast one ballot for the slate recommended by the
Nominating Committee.

APPOINTMENT OF EXECUTIVE COMMITTEE
Die secretary then was requested to read the names of the
present members of the Executive Committee and it was regularly moved,
seconded and carried that the Executive Committee be appointed, sub
stituting Mr. Simon D. Strauss for Mr. K. C. Brownell, and that
Mr. Bradley be designed Chairman of the Ccmnittee. The Executive Com
mittee is as follows:

METHOD OF MEMBERSHIP ASSESSMENT
The treasurer reported that a number of members find the method of assessment used by the Association since its inception to be inconvenient because they can not estimate closely at the beginning of the year what their assessment will be. He suggested, therefore, that when the budgets are established for the ensuing year a rate per ton be fixed, based on estimated production with some allowance for error, and that that rate be adhered to without adjustment in July as is customarily done. This method was approved.
SIMPLIFICATION OF ACCOUNTING PROCEDURES
The treasurer then brought up the subject of simplification of accounts under the Industry Development Fund and the various promotional funds. Action on this was postponed but the treasurer was instructed to mail to the Board samples of present methods of accounting and the method that he suggested so that action could be taken either through letter
ballot or at a later meeting.

Resignation--United Park City Mines Company
The Secretary presented a letter as follows, dated April 6, 1959, frcm Mr. S. K. Drouby, vice president and general manager of United Park City Mines Company, resigning frcm the Association:
regret.
"United Park City Mines Company wishes to suspend membership in Lead Industries Association for the follow ing reasons:
"1. Ve are an independent mining company who sells our ore to custom mills and smelters. Companies owning these mills and smelters are prominent members of L.I.A.
"2. The depressed prices for lead and zinc caused by low-cost imports has caused three consecutive years of economic hardship.
"3. Two prominent company members of L.I.A. are substantial stockholders in our Company. We will call on them to represent the interests of United Park City Mines Company.
"

The secretary was instructed to accept the resignation with
Status of Euston Lead Company
The secretary reported that the Glidden Company was no longer operating its lead pigment manufacturing subsidiary, The Euston Lead Company, through which it held membership in the Association and con sequently had submitted its resignation as no longer being eligible for membership. However, he further reported that he had discussed the matter verbally with officials of the Glidden Company in Cleveland, who had indicated a desire to continue seme sort of membership in the Asso ciation because of their interest in the consumption of lead pigments, particularly red lead in the manufacture of paints, and their activity on the Lead Pigments Technical Committee over the years. He had sug gested to them that they would be eligible as a consumer of lead products for associate membership. Although no formal request had been received from the Glidden Company to change their status to associate membership, the Board accepted their membership on the associate basis subject to receipt of formal application.

From Mrs. Rebecca R. Crane--"My daughter and I greatly appreciated the beautifully worded tribute to my husband. It is such things as these that make it possible to go on."

EXCHANGE OF TECHNICAL DELEGATIONS WITH RUSSIA AND POLAND
Discussion then took place an the request of the Department of State, East-West Contacts Staff, regarding exchange of technical delegations with Russia and Poland. Unanimity of opinion was still lacking and no further action was taken.
1960-1961 ANNUAL MEETING DATES
In order to avoid a conflict with the annual meeting of a member of the American Zinc Institute in i960, it was decided that the Lead Industries Association meeting in that year would open the program, with the American Zinc Institute's meeting following, the dates being April 6-8 in St. Louis.
Hie secretary reported that to avoid a conflict with the annual meeting date of an important member of both the L.I.A. and A.Z.I., the _ - Drake Hotel had offered to change the dates for the 1961 annual meeting from April 26-28 to May 1-3* The Hotel pointed cut that since they had a large convention coming in on the last day of this meeting it might be preferable to have the American Zinc Institute, with its larger attendance, meet first so that the members could better be taken care of by the Hotel. The Board approved the new dates,and left it to the secretary of L.I.A. and the executive vice president of A.Z.I. to deter mine the order of meeting.
Meeting adjourned at 6:00 P.M.
