Chrysler CorDoration December 12. 1997 TO: ALL CHRYSLER CORPORATION DEALERS In order to improve efficiencies and reduce administrative costs Chrysler Corporation is forming a new wholly owned subsidiary to be named Chrysler Motors Corporation. Chrysler Motors Corporation will be the business entity responsible for the distribution, sale, warranty and servicing of motor vehicles, parts and accessories and other products marketed in the United States under the Chrysler, Plymouth, Dodge, Jeep, Eagle and Mopar trade names or marks. As a result, effective April 1, 1998 Chrysler Corporation will assign its contracts to Chrysler Motors Corporation. Chrysler Motors Corporation will thereafter succeed to the position of Chrysler Corporation in all agreements it has with its dealers. Those agreements include, but are not limited to, all Direct Dealer Agreements and Sales and Service Agreements, together with all other agreements, contracts, leases, etc. (collectively "Agreements") to which:your dealerships, owner-principal and/or affiliates are parties. Effective April 1,1998, all references to Chrysler Corporation or CC in the Agreements are deleted and replaced with Chrysler Motors Corporation or CMC, respectively. Most Chrysler Corporation forms and billing documents will continue to be used until current stocks have been exhausted. This change will not alter any of the rights or responsibilities of your dealerships. All of the terms and conditions of the Agreements are not affected and remain in full force and effect.
