resolution was unanimously adopted:
RESOLVED, That the action of D. A. Merson, Vice President and J. J. Morsman, Jr., Treasurer, in making, signing and delivering in the name of and on behalf of this Company the following Promissory Notes:
1. One promissory note, dated July 2, 1958, in the amount of $28,333.33 payable one year after date to the order of Southern Oil Service and Supply Company, Inc. with interest at the rate of 5% per annum.
2. One promissory note, dated July 2, 1958, in the amount of $28,333.33 payable two years after date to the order of Southern Oil Service and Supply Company, Inc. with interest at the rate of 5% per annum.

RESOLVED, That the proper officers of this Company be and they hereby are authorized and directed to make, execute and deliver on behalf of this Company that certain Agreement and a Special Warranty Deed, re spectively agreeing to convey, and conveying 2.609 acres of land in Section 36, Bradford County, Florida to the State of Florida, in consideration of the sum of $966.00, in lieu of contesting condemnation pro ceedings instituted by the State of Florida for the widening of State Highway 200 in said Section 36, Bradford County.

resolution was unanimously adopted:
RESOLVED, That the President or a Vice President of this Company be and he hereby is authorized and directed to make, execute and deliver in the name of and on behalf of this Company, that certain Right of Way Agreement between Tri-County Electric Association, Inc. and this Company, covering the SW-1/4 of SE-1/4, and NE-1/4 of SE-1/4, Section 12; and NW-1/4 of NE-1/4* Section 13; all in Township 47 North, Range 64 West of the 6th Principal Meridian in Weston County, Wyom ing; and that the Secretary or an Assistant Secretary be and he hereby is authorized and directed to affix the seal of this Company to such document and to attest the same.
