ARTICLE II Purpose t The purpose of the Association shall be the pro. | motion of the interests of the chemical manufactur. ! ing industry of the United States of America. I ARTICLE III Membership Section 1. Members of Constituent Corporations All members of the constituent corporations in good standing at the date of consolidation shall be admitted to membership in the Association without the formal application, payment of entrance fee, and notice of election hereinafter provided. Section 2. Qualifications for Membership Any other individual, partnership, corporation or division of a corporation, actively engaged in the operation of a chemical manufacturing plant within the United States of America, or the Dominion of Canada, and selling to others a substantial portion of the chemicals produced in such plant, is eligible to membership in the Association. Section 3. Application for Membership Application for membership in the Association shall be made in writing on a form approved by the CMA 126488 Board of Directors which shall be signed by the applicant, and by two members of the Association as sponsors, and shall state: (1) (a) if the applicant is an individual: his name and address; (b) if the applicant is a partnership: the name and address of each partner; (c) if the applicant is a corporation (or a division thereof) : its name, address and place of incorporation; (2) the locations of the applicant's chemical plants in the United States of America, or the Dominion of Canada; (3) the kinds of chemical products manufactured by applicant; (4) that the applicant regularly sells a substantial portion of the chemicals produced by it in the United States, or Canada, to individuals, partnerships or corpora tions not affiliated with applicant; and (5) that applicant accepts and agrees to abide by the Certifi cate of Consolidation and the By-Laws of the Asso ciation. Section 4. | Election of Applicants The Membership Committee shall consider each application for membership and submit to the Board of Directors its report on the eligibility of the appli cant. After the Membership Committee shall have reported that an applicant is eligible for member ship, such applicant may be elected to membership by a majority vote of the members present at any meeting of the Association at which there is a quo rum, or, if thirty days' written notice has been given to all members of the Association of the applicant to be acted upon, and no objection to such applicant has been received, by a majority vote of all mem bers of the Board of Directors. Following election to membership, notice thereof shall be mailed to the applicant by the Secretary and upon payment of the entrance fee and membership fee the applicant shall become a member of the Association. Withdrawal Any member may, upon payment of any unpaid obligations to the Association, withdraw from mem bership at any time by giving at least thirty day8' advance written notice thereof to the President ot t the Secretary. Section 6. | Suspension or Expulsion Any member, after having been provided with a copy of the charges against him and granted a rea- - sonable opportunity to be heard, may, by a two. | thirds vote of all the members of the Board of Direc. | tors, be suspended for a limited time or expelled \ from membership for violation of the By-Laws or ^ for conduct prejudicial to the best interests of the ( Association. j Section 7. | Termination Unless expressly waived by a two-thirds vote of all the members of the Board of Directors, the mem. ) bership of any member, and all rights and privileges thereof, shall immediately terminate in the event { such member shall cease to meet the qualifications j' for membership prescribed in Section 2 of this Ar ticle. It shall be the duty of each such member to I give prompt notice in writing to the President or ' Secretary of any change in ownership or activities affecting the qualifications for membership of such I member. i ARTICLE IV Fees l Section 1. | Entrance Fees Each member-elect upon receipt of notice of elec tion shall as a condition of membership, pay an en- CMA126490 trance fee of $100.00 in addition to the annual mem bership fee hereinafter provided. Section 2. | Annual Membership Fees 11 After June 1. 1955, each member shall pay an annual membership fee as determined by the Board of Directors within such maximum and minimum limits as it shall prescribe and based upon the actual or estimated total chemical sales of Ihe member for the preceding calendar year, provided that the ' annual membership fee of any member elected sub sequent to December 1 of any year shall be half the amount otherwise due for that year; and pro vided further that administrative interpretations of I the application of this Section shall be issued upon approval of the Board of Directors. Section S. | Arrears Any member failing to pay his entrance or an nual membership fee within thirty days from the time it becomes due, shall be notified by the Secre tary, and if payment thereof is not made within the , succeeding thirty days, such member shall be re| ported to the Board of Directors as in arrears, and, if so ordered by the Board, shall be dropped from , membership and thereupon shall forfeit all rights and privileges of membership. *> ARTICLE V ft Board of Directors Section 1. | Functions and Powers The business and affairs of the Association shall be managed by a Board of Directors consisting of the Chairman of the Board, the Chairman of the Executive Committee, the President, two Vice-Pres- CMA 126491 4?_ idents, the Treasurer, and twenty-one (21) tional Directors. It shall be the duty of the B<w of Directors to establish and direct the policy of the Association, to control its property and ope^ tions, to be responsible for the expenditure of it, funds and to exercise all of the powers of the Asao. ciation, except as otherwise provided by law or by these By-Laws. ^ Section 2. | Eligibility The Directors shall be chosen from among the in. dividual members, the partners of the partnership members and the executive officers of at least vice, presidential rank or its equivalent of the corporate members and corporate division members, provided that not more than one Director shall be chosen from any two or more members of the Association controlled by the same interests, by stock owner ship or otherwise. No Director who has served a full three-year term shall be elected to a second consecutive three-year term, but may be re-elected after an interval of one year. Section 3. | Election The Directors shall be classified in respect of the time for which they shall severally hold office, by dividing them into three classes. Except in the case of vacancies as set forth under Section 4 of this Article, Directors shall be elected for a tern of three years. At each Annual Meeting, the suc cessor to the Directors of the class whose term shall expire in that year shall be elected to hold office for the term of three years and until their respec tive successors have been elected or appointed, ex cept as otherwise provided in Section 4 of this Article. CMA126492 * *9 Section 4. | Vacancies Any vacancy among the members of the Board of Directors may be filled until the next Annual Meeting of the Association by the Board or, if not filled by the Board, by the members of the Associa tion at a special meeting. The term "vacancy" as used in this Section shall include any directorship which is unfilled as the result of the death, resigna tion, removal or disqualification of a Director, or of an increase in the number of Directors occurring by amendment of these By-Laws between Annual Meetings of the Association, or of any other cause. Section 5. | Meetings The Board of Directors shall hold regular monthly meetings on such day of each month as it may de termine from time to time, except in the months of July and August, and special meetings when called by the Chairman of the Board, or by the President, or by written request of three members of the Board. Meetings of the Board shall be held at such place within or without the State of New York as it may determine from time to time. Section 6. [ Quorum A majority of all the members of the Board of Directors shall constitute a quorum, and when a quorum is present, except as otherwise provided by law or by these By-Laws, action may be taken by the affirmative vote of a majority of those present. Section 7. | Compensation of Directors Each Director of the Association shall serve with out compensation, but may be reimbursed for rea sonable expenses incurred in attending meetings of the Board. CMA 126493 Section 8. Committees Executive Committee. The Board of Director may appoint an Executive Committee of not W than five of its own members, including the Chair man of the Board, the Chairman of the Executive Committee, and the President of the Association The members of the Executive Committee other than the elected officials heretofore named shall serve during the pleasure of the Board. Other Committees. The Board of Directors may appoint such other committees with such duties and functions as it may from time to time determine. Rules and Regulations. Each committee appointed by the Board of Directors may, unless otherwise directed by the Board, adopt such rules and regu lations for the conduct of its affairs as it may deem desirable. Such rules and regulations as may be adopted shall be those that are appropriate for the conduct of the committee's affairs, consistent with the policy of the Association and subject to review and approval by the Board of Directors in those instances where the Board may deem such review and approval desirable. Section 9. | Minutes The Board of Directors and the Executive Com mittee, respectively, shall keep minutes of its pro ceedings and after each meeting shall transmit to the Secretary of the Association, for permanent filing among the records of the Association, a copy of the minutes of such meeting signed by the Secre tary of the meeting and certified as correct by the presiding officer. Section 10. | Special Provisions with Respect to the President and the Treasurer Notwithstanding the other provisions of this Arti cle V, one Director (who may be nominated and elected to serve as President of the Association) may be chosen from the public at large. There shall be no limitation of time with respect to the number of consecutive terms that such Director may serve, either as Director or as President. CMA 126495 Section 1. | Number and Election I The Officers of the Association shall consist of a Chairman of the Board, a Chairman of the Execu- t tive Committee, a President, two Vice-Presidents, f a Treasurer, and a Secretary, each of whom, ex- I cept the Secretary, shall be a member of the Board I of Directors. The Officers shall be elected annually I at the Annual Meeting of the Association. No person shall be eligible to the offices of Chair man of the Board, or Chairman of the Executive Committee, for more than three consecutive years. Each of the Officers shall hold office until the next Annual Meeting of the Association and until their respective successors are chosen and qualify. Va cancies among the Officers of the Association may be filled by the Board of Directors until the next Annual Meeting. Section 2. I The Chairman of the Board The Chairman of the Board shall preside at all meetings of the Board of Directors; shall be a mem ber ex officio of all committees; shall have general supervision of the Association's affairs and business, under the direction of the Board of Directors and Executive Committee; and shall have such other CMA 126496 powers and duties as the Board shall from time to time prescribe. Section 8. I The Chairman of Hie Executive Committee The Chairman of the Executive Committee shall preside over meetings of that Committee and shall have such powers and perform such duties as may be delegated to him by the Chairman of the Board or the Board of Directors. In the absence or disability of the Chairman of the Board, he shall perform the duties and exercise the powers of the Chairman of the Board. Section U- | The President There may be elected as President, an executive who will devote his full time to the affairs of the Association. The President, if full-time, shall not be limited with respect to the duration of his service either as President or as a member of the Board of Directors. The President, in the absence of the Chairman of the Board and the Chairman of the Executive Committee, shall preside at all meetings of the Board of Directors. He shall also perform such other duties as are incident to the office of President, or as may be designated by the Board of Directors. Section 5. I The Vice-Presidents Each Vice-President shall have such powers and perform such duties as may be delegated to him by the Chairman of the Board or the Board of Direc tors. In the absence or disability of the President, any Vice-President designated by the President shall ( perform the duties and exercise the powers of the President. Section 6. | The Treasurer The Treasurer shall be the chief financial and ac- A CMA 126497 Section 7. counting officer of the Association and shall charge of all funds of the Association and cause such funds to be deposited to the credit ^ the Association in one or more banks designated hi the Board of Directors. Such funds may be draw? only over the signature of such person or pers<) as may be authorized by the Board of Directors The Treasurer may be required, at the expense 0f the Association, to give a bond forjhe faithful dig. charge of his duty in such amount and with such conditions as the Board of Directors may require The Secretary The Secretary shall be appointed by and shall hold office during the pleasure of the Board of Dj. rectors. He shall have the custody of the books and ( papers and the Corporate Seal of the Association' shall keep a correct roster of all members with their last known addresses; and shall maintain a proper record of all dues, fees and contributions received which he shall transmit to the Treasurer, taking a proper receipt therefor. The Secretary shall give notice of and attend all meetings of the Association and of the Board of Directors, and shall keep minutes of such meetings. He shall notify the Officers and Directors and mem bers of the Association of their election, and com mittee members of their appointment. In case of the absence or disability of the Secre tary, the President may appoint an acting Secretary. Notwithstanding the other provisions of this Ar ticle VI, the Secretary of the Association may, in i the discretion of the Board of Directors, be desig nated to serve as the Treasurer of the Association in which event the provision of Section 1 hereof whereby the Treasurer is required to be a Director shall not apply. CMA 126498 Section 8. | Additional Officers In addition to the officers above mentioned, one or more Executive Vice-Presidents, Assistant Treasurers, Assistant Secretaries and other officers and agents who need not be members of the Board of Directors, may from time to time be elected by the members of the Association or appointed by the Board of Directors, each of whom shall have such title, powers and duties as shall be prescribed. ' ` Section 9. 1 1- 1 i Compensation of Officers The Chairman of the Board, the Chairman of the Executive Committee, the Vice-Presidents and the Treasurer shall serve without compensation, but shall receive such allowance for their expenses as may be authorized by the Board of Directors. The President (if full-time), the Secretary, any officers and agents elected or appointed under Section 8 of this Article, and all other employees of the Asso ciation shall receive such compensation as may be determined by the Board of Directors. ARTICLE VII Meetings Section 1. | Annual Meeting The Annual Meeting of members of the Associa tion for the election of Officers and Directors and other purposes, shall be held during the month of June each year, at such time and place, either within or without the State of New York, as may be fixed by the Board of Directors. At least fourteen days' written notice of the Annual Meeting shall be given by the Secretary to each member of the Association. Section 2. | Special Meetings A special meeting of the Association may be called CMA 126499 by the Chairman of the Board of Directors or President at any time, and shall be called by ^ President upon the written request of ten member to transact only such business as shall be specif in the notice thereof. At least seven days' written notice shall be given to each member of the Associa. tion of any such special meeting. Section 3. | Quorum -- One-third of the members of the Association in i good standing, present at a meeting in person or by duly authorized representatives, or by proxy, shall constitute a quorum for the transaction of business except as otherwise provided by law or by these ) By-Laws. Section . | Voting L Each member of the Association in good standing shall be entitled to one vote only at any Annual or I special meeting of the members of the Association, which shall be exercisable either in person, or by I duly authorized representative, or by proxy, pro vided that any proxy shall be duly executed in writ l ing within thirty days of the meeting at which it is to be used. A proxy given for any meeting shall, unless notice of revocation is delivered to the pre siding officer thereof, be valid for any adjournment of that meeting. ( [ ARTICLE VIII Miscellaneous Section 1. I Fiscal Year and Budget l. The fiscal year of the Association shall be from June 1 to May 31, inclusive. The Board of Directors shall present to the members of the Association CMA 126500 at their Annual Meeting, a budget for the fiscal year of the Association, which budget shall have been approved by at least two-thirds of the Directors. No expenditures not provided for in such budget shall be made except upon an affirmative vote of two-thirds of the Directors. Section 2. | Notices and Waivers Thereof Whenever any notice whatever is required by these By-Laws or by law to be given to any member, Director or Officer, such notice may, except as other wise provided by law, be given personally, or be given in writing by depositing the same in a Post Office or in a regularly maintained letter box, in a post-paid, sealed wrapper, addressed to such mem ber, Director or Officer, at such address as appears on the records of the Association, and any notice so given by mail shall be deemed to have been given when it shall have been thus mailed. If given in writing, such notice need not be manually signed. A waiver of such notice in writing signed by such member, Director or Officer, or by his duly author ized attorney whether before or after the time stated therein, shall be deemed the equivalent thereof and the presence at any meeting of any such member, Dirctor or Officer, shall be deemed a waiver of such notice to such member, Director or Officer. Section 3. | Reports The Board of Directors and the Officers shall render such reports at the time and in the manner required by law. Officers and committees shall ren der such additional reports as may be required by the Board of Directors. CMA 126501 ARTICLE IX Seal The Corporate Seal of the Association shall be as follows: ARTICLE X Offices The Association shall maintain an office in the City, County and State of New York, and may maintain an office in Washington, D. C., or at such other place or places as may from time to time be author ized by the Board of Directors. XI Amendments These By-Laws may be amended or repealed, in whole or in part, at any time at any Annual or Spe cial Meeting of the members of the Association, by affirmative vote of two-thirds of the members pres ent in person or by duly authorized representatives, or by proxy, provided that such proposed amend ment or repeal shall have been set forth in the no tice of such meeting, and may be amended at any meeting of the Board of Directors, by affirmative vote of two-thirds of all members of the Board, pro vided that such proposed amendment shall have been set forth in the notice of such meeting and shall not 1 conflict with any provision of the By-Laws previ- I ously adopted by the members of the Association.
