MINUTES OF MEETING MCA EXECUTIVE COMMITTEE The Madison, Washington, D, C. Monday; April 8, 1974 Following lunch at Noon, the meeting was called to order by Chair man St. Clair. There were present: Jack B. St. Clair, Chairman Frederick L. Bissinger Werner C. Brown William J. Driver Carl A. Gerstacker James E. Magoffin (for Harry D. McNeeley) Robert L. Mitchell George W. Best, Secretary-Treasurer For the presentation and discussion of the first two items of the minutes to follow, the meeting was conducted jointly with the Finance Com-mittee, the following members of which were present: E. E. Chipman James H. Gardner John R. Hall James A. Hughes Harry T. Marks For the joint meeting only, the following members of the MCA Staff were present by invitation: Marjorie V. Campbell Albert C. Clark Victor H. Peterson William M. Stover 1. Financial Report for Ten Months Ended March 31, 1974 Mr. Best reported the information shown in Exhibit A, attached hereto. 2. Proposed Budget and Financing for Fiscal Year 1974-75 In the absence of the chairman of the Finance Committee, Mr. Driver re ported on the meeting of that committee (Messrs. Chipman, Gardner, Hughes, and Marks) earlier in the day to review the proposed budget and financing for fiscal year 1974-75 as prepared by the Association's management and mailed to members of the Executive and Finance Committees on March 29. This review resulted in no suggestions for change, and a recommendation for ac ceptance. CMA 012688 -4- Members were complimentary about Mr, Driver's letters of March 27 to thT"Board and April 1 to Executive Contacts, and requested further communication to the latter to inform them concisely on MCA's adopted course (stated above) and the reasons therefor, also to include re porting to them, as information becomes available through the legal liaison, on suits entered and chemicals covered, 4. Petrochemical Energy Group Proposal for Public Relations Program Distributed in advance with the tentative agenda was a Petro chemical Energy Group proposal for its proposed public relations program to be incorporated into MCA's, specifically to provide for the production of 12 television film clips to show the pervasiveness of chemistry in everyday life, estimated to cost $50, 000. In view of MCA's having set aside use of general media for possible future consideration, it seemed consistent not to make provision for such television materials at the present time. 5. Education Activities Committee Comments on Proposed Con structive Policy Regarding Professional Employees Pursuant to the pre sentation by the chairman of the Industrial Relations Advisory Committee at the February 12th Executive Committee meeting, the draft paper (Employer/- Employe Relations with Professional Employes and Suggested Philosophy of Exempt Employe Management) was reviewed by the Education Activities Com mittee, whose members gave general endorsement but recommended certain editorial and language changes. There was full concurrence with the earlier recommendation that no official policy or position on this matter be adopted and no final papers thereon be prepared, distributed, or released. It was left that, with the benefit of the Education Activities Committee members' suggestions, mem bers of the Industrial Relations Advisory Committee might use the substance of the suggestions contained in the draft concerning fair and progressive company relations with professional employees as they individually see fit if questions in this area are directed to them. 6. Administrative Matters (a) Vinyl Chloride Regulations Mr, Driver reported as follows: On April 5, the Occupational Safety and Health Administration pub lished an emergency temporary standard establishing a maximum vinyl chloride exposure level for the workplace of 50 ppm. A proposed permanent standard establishing a "non-detectable" limit (1 ppm) is expected within days. Last week, MCA was requested to convene a meeting of executive representa tives of vinyl chloride and polyvinyl chloride producers for the purpose of ex changing information and coordinating efforts to establish a safety standard CMA 0X2689 -5- with respect toitLnyl chloride and polymer manufacturing operations. The re quest was denieji because it called for consideration of an activity beyond the approved purpose of the vinyl chloride research project MCA is administering "to provide information to clarify the status of vinyl chloride (monomer) in reference to carcinogenicity. " Only animal exposure and epidemiological studies were proposed and these are in progress. Also, the meeting would involve a standard-making activity concerning a single product which is po tentially sensitive from an antitrust viewpoint. Mr. Symington further emphasized the undesirability of any such consideration in respect of antitrust restrictions. (b) MCA Procedures Referring to the question of MCA organi zation and procedure for dealing with environmental regulations and similar urgent matters involving legal or quasi-legal considerations, Mr. Driver men tioned MCA's Joint Subcommittee on Environmental Law, in existence since 1971, had not considered the EPA effluent guidelines and standards problem which led to the actions referred to in Item 3 of these minutes. He assured that this matter is under his study, and he will report on it to the Executive Commit tee at a future time. (c) Nominations Dr. Gerstacker, chairman of the Nominating" Committee, gave a preliminary report of candidate selections for the Director and Officer slates for election at the Annual Meeting, and expressed confidence of being fully prepared to report these slates at the May meeting of the Board. (d) June Executive Committee and Board Meetings Mr. Best drew attention to the Kane Subcommittee's recommendation, in its report of last year, to schedule the June meetings a half-hour earlier than heretofore. It was agreed this would not be necessary, and the timing was re-approved as set forth in the preceding Executive Committee meeting minutes. Certified correct: t/ Jack B.
