Notice is hereby given that an Extraordinary General Meeting of Members of the above Coapany will be held at Ho. 1 O'Connell Street, Sydney, in the State of New South Vales on Monday, the 18th day of December 1944, at 10.00 o'clock in the morning. The business of the Meeting will be to consider and if thought fit to pass the following resolution as a special resolution. Resolution. "That the Capital of the Coapany be inereased from 100,000 to 200,000 by the creation of 100,000 Ordinary Shares of 1 each and that suoh shares be issued at smoh times and to such persons upon suoh terns and conditions and with such rights and privileges as the Directors shall from time to time determine but subject in all respects to the Articles of Association of the Company." The Chairman announced that all holders of deferred shares had agreed to waive the requirements of Article No. 51 of the Companyfs Articles of Association insofar as they oslls* for 21 clear days notice of a meeting at which a Special Re solution was to be dealt with and had signified their willingness that the meeting be held on the date mentioned in the eoappKlng notice. The Chairman announced that he held proxies from The Colonial Sugar Refining Co. Limited, Mr. 7.L. Tucker, and Mr. E.E.T. Layton; that deferred share-holders representing not*less* than one-half of the deferred share capital of the Ccmpaiy were thus present in person or by proxy and that the meeting was duly constituted.
