By direction of the Chairman, and in accordance with notices of October 31, and November 20, 1967, a meeting of the Board of Directors of the Lead Industries Association, Inc., was held the afternoon of December 5, 1967 in the Association's Board Room, 292 Madison Avenue, New York, N.Y.

Chairman Englehorn presided and Mr. Borcina served as Secretary.
(1) CALL TO ORDER
The meeting was called to order at 2:00 P.M.
(2) ATTENDANCE
The presence of eight Directors and two representatives of Directors constituted a quorum for the transaction of business.
The Secretary presented a copy of the notice of meeting and agenda which had been mailed to each Director, as provided in Section 4.03 of the Corporation's By-Laws. The copy was ordered filed with the minutes as Appendix "A" (Sent to Directors on November 20, 1967)
(3) MINUTES OF PREVIOUS MEETING
In the absence of comments, the minutes of the meeting of the Board of Directors held on April 17, 1967 in Chicago were ordered approved as circulated.
(4) HEALTH AND SAFETY ACTIVITIES "Faces Bulletin cn Lead and the Atmosphere"
The Secretary reported that LIA's bulletin "Facts about Lead and the Atmosphere" was now ready for the printers, that it had been approved by the Board's Public Relations Committee for Health and Safety, reviewed by interested members, and the comments received had been incorporated in the manuscript. He further stated that detailed discussions had been held on the ways and methods of distribution. He requested the Chairman to call on Hill and Knowlton's representative to describe how LIA proposes handling the initial distribution.
Mr. Thompson then presented the suggestions for initial distribution of the "Facts Bulletin," as per Appendix "B" attached. This was acceptable. The Executive Vice President stated that timing the distribution as outlined was of utmost importance and would be given careful consideration.

The Director of Health and Safety reported that Hill and Knowlton had also strongly recommended the issuance of a "Facts Bulletin on Lead and Pediatrics" with which he was in full agreement.

The Automobile & Air Pollution"
The Secretary distributed copies of the U.S. Dept, of Commerce bulletin "The Automobile and Air Pollution: A Program for Progress." He stated the bulletin was published in October, 1967 and was a Report of the Panel on Electrically Powered Vehicles submitted to the Dept, of Commerce Technical Advisory Board. He then read one pertinent section of the report as follows: "Rec ommendation 5 -- The Federal Government should immediately establish standards for the lead content in gasoline which will prevent any further increase in the total quantity of lead emitted to the atmosphere. The Department of Health, Education, and Welfare should begin an intensive study of the long-term health effects of lead in the atmosphere to determine requirements for future action."
During discussion it was brought out that the panel was selected on the basis of determining the feasibility of the electric automobile. The area of activity of the Panel was then broadened however, to include the auto and air pollution without expanding the panel to include knowledgeable persons in this field.
Ethyl Corp. representatives stated that they have filed a statement relative to this report with the Secretary of Commerce and that copies will be made available to the Board at an early date.
It was also reported that a Governmental Committee had been appointed to implement the report and that extensive hearings by the Senate Subcommittee on Air and Water Pollution (the Muskie Committee) may be expected in the Spring of 1968.
The Executive Vice President then stated that the Chairman of the Panel which prepared the Dept, of Commerce report, Richard S. Morse, was on the program of the annual meeting of the
Society of Automotive Engineers at Detroit scheduled for January 8,
1968 to specifically discuss the report's concludions and recom mendations. Neither API, Du Pont, Ethyl nor LIA plan a formal rebuttal to the SAE presentation but all will be present during the discussion period.
(5) FUNDING FOR PROMOTIONAL ACTIVITIES IN DEVELOPING AREAS OF THE WORLD
The existence of a fund administered by ZDA/LDA in London since July 1, 1966 and carrying through June 30, 1968, was

reviewed. Also considered was a proposal that the activity suggested by this Fund should be continued but, starting July 1, 1968, basic funds should come through the several Associations.
The tabulation below shows in percentages how the effort has been financed to date, as well as the proposal for the future, arranged after discussion, suggested in an October, 1967 London Meeting attended by Messrs. Freeman and Stubbs, for ZDA/LDA, Wolfe and Radtke for ILZRO, Alexander, Englehorn and Kimberley for AZI/LIA. Mr. Hanley, for Australia, was considered a member of a group appointed as an Ad Hoc Committee in London to prepare a proposal and agree on a new formula for submission. The Ad Hoc Committee to consist of Stubbs, Radtke, Hanley and Kimberley.

Several points were specifically made including the
ILZRO's contribution will be in service and material -- it having been decided by the ILZRO board that funds for research should not be diverted into promotional efforts.
Existing contributions to the fund, as presently from Africa and India, should not be dropped.
When promotional material from the Associations is used in any of the developing areas by local producing companies, this material should be paid for by those companies.
A complete statement of the proposal should be circulated to the LIA Board with such refinements as can now be incorporated. The matter should be reconsidered at the time of Annual Meeting in April at Montreal.
It was reported to the Committee that Stubbs and Kimberley proposed a preliminary survey of Latin America to establish what action might be appropriate in that area.
This matter will be reported in detail to the Board in advance of any request for funds and has no present bearing on the 1968 Budget Proposal.
(6) THE BUDGET REVIEW
The Executive Vice President and the Secretary, at the request of the Chairman, then presented the budget proposal for 1968 in detail.
The Secretary reported that the Industry Development Committee at its meeting on November 3, 1967 had approved the proposed 1968 budget as per the minutes of that meeting. Appendix "C" attached. (Sent to Directors on November 20, 1967) Also, that it was the Industry Development Committee's recommendation that the unexpended funds of the Health and Safety Public Relations Program be set up as a reserve at the end of 1967 and that 1968 expenditures be made against this reserve.

(7) BUDGET APPROVAL AND 1968 ASSESSMENTS
On motion made, seconded and carried without dissenting vote, the 1968 budget and rates per ton as recommended by the Industry Development Committee and as covered in Appendix "C" were approved with the proviso that the 1968 rate per ton for pig lead sales in the U.S. are subject to re-examination at the annual meeting in April if the assessable tonnage base (1967) proves significantly lower than currently estimated.
(8) REPORT ON EXPANSION OF BOARD
The Chairman reported that at the Board meeting of April 17, 1967, action was taken to increase the size of the Board from 15 maximum to 21 maximum with the understanding that 17 would be the actual number for the near future. Under the By-Laws, he reported, the Board has the authority to make such changes but he recommended that, as long as there is no immediate urgency, the matter be brought before the members for action in April. The recommendation of the Chairman was accepted.
(9) NOMINATING COMMITTEES FOR DIRECTORS AND OFFICERS
With the approval of the Board, the Chairman announced that he would appoint individuals to serve on these committees in the near future. Members of the Board will be informed just as soon as the appointments are made and accepted.
(10) REPORT OF THE STATISTICAL COMMITTEE
The Secretary reported that the Statistical Committee appointed by the Chairman, Messrs. K. H. Brownell, Asarco, J.J. Jennings, National Lead Co. and L. K. Wheelock, St. Joseph Lead Co. met on August 31, 1967 and reviewed the various statistics issued by the Association. Their recommendations which in most instances have already been put into effect resulted in the discontinuance of six monthly reports, the modification of two and the continuance of two.
The Chairman requested the Secretary to extend to the Statistical Committee the Board's appreciation for its efforts.

(11) REPORT ON THE BUREAU OF MINES ACCEPTANCE OF LIA's FILM " THE LEAD MATRIX "
The Secretary reported that LIA's film "The Lead Matrix" revised as per the Bureau of Mines suggestions had proven acceptable and that the delivery of 250 prints to the Bureau is now essentially finished. The Bureau is arranging for their release and promotion through its regular distribution channels.
(12) REPORT ON MEMBERSHIP
New Member: The Secretary reported the election by letter ballot of the Board of Directors of the K W Battery Co., 3555 Howard Street, Skokie, 111. K W is a manufacturer of leadacid industrial type batteries and Robert C. Cragg, President, is their official representative.
Resignation: The Executive Vice President reported that a letter of resignation had been received from the Firestone Tire and Rubber Co., Akron, Ohio, a member since 1943.
On motion made, seconded and carried without dissenting vote the resignation of the Firestone Tire and Rubber Co., was accepted with regret.
(13) APPROVAL OF AUDITORS
The Executive Vice President stated that in the past LIA and AZI have had separate auditors. In view of the joint accounting department now in operation, he felt that it would be economically advisable and functionally desirable to have one firm audit the 1967 accounts of both organizations.
On motion made, seconded and carried without dissenting vote, Peat, Marwick, Mitchell & Co. was approved as auditors for the 1967 accounts.

The Executive Vice President suggested and the Board approved the location and time of future annual meetings as follows:

(15) CONSOLIDATION OF LIA AND AZI - PROGRESS REPORT
The Executive Vice President reported continued steady progress in the consolidation of those areas of activity where duplicate facilities or activities were encountered. For example, he reported, a joint library has been effected and joint filing is being studied. Also, consideration is being given to the use of a single outside publicity agency for handling both organizations 1 publicity efforts, and exploring the savings that may be inherent in using one film distributor for all of the LIA and AZI films. Where practical, joint purchasing of magazine advertising space has been effected, thus giving each of the Associations a lower cost per page.
(16) LIA - ILZRO PUBLICATIONS REVIEW BOARD
The Executive Vice President requested the appointment of an IDC Subcommittee to pass upon matters involved in the promo tion of ILZRO Reports, Papers and Results if and when there is question on the part of LIA that promotional activities would be productive within the framework of the LIA Program.

suggested to the Chairman of the Industry Development Committee that he appoint a three-man Program Review Board from among the members of his Committee.

SUGGESTIONS FOR INITIAL DISTRIBUTION OF LIA BOOKLET, "FACTS ABOUT LEAD AND THE ATMOSPHERE"
It is suggested that the booklet initially be distributed as follows:
1. All key members of the lead industry with memos as to its purpose and use.
2. Personal placements with selected:
A. Key members of the U.S. House of Representatives and Senate.
B. Officials of HEW (PHS), Department of Commerce, Interior Department.
C. Members of the panel responsible for the report, "The Automobile and Air Pollution."
3. Mailing, with a covering letter, to selected air pollu tion commission officials in selected states.
4. Personal placement with science editors and writers who have written about lead or are known to be interested in the leadhealth area.
5. Discussion and placement with "trade" writers such as The Wall Street Journal's metal reporter, American Metal Market, McGraw-Hill publications, etc.
6. American Mining Congress. Consideration should be given to having LIA spokesman at the Congress' meeting in January to explain to members briefly the purpose of the booklet.
7. The booklet also should be made available to the secre taries of various state mining associations for their information and possible use.
8. Discussion of booklet and its availability is proposed as part of The Staff Report at the LIA 1968 annual meeting in April.
