A nesting of the Board of Directors of the Lead Industries Association,Inc. vas held at 50 P.M. on Tuesday, April 10, 1962, at the Chase-Parte Plaza Hotel, 9t. Louis, Mo.

The secretary reported a quorum vsa present.
The chairman of the retiring Board presided and the Secretary kept the minutes of the meeting.
The minutes of the previous meeting of December 5, 1961, were approved.
INCREASED REPRESENTATION CW E.R.P. EXECUTIVE COtCTTEB
The chairman reported that a suggestion had been made to increase the voting representation on the Expanded Research Program's Executive Committee from three, as now constituted, to five.

The Executive Vice President stated that this could be done by simple action of this Board inasmuch as a previous Board had established the E.R.P. Executive Comnlttee, to consist of the presidents of L.I.A. and A.Z.I. and one representative of a foreign producer as voting members and as ex-officio members, the Executive Vice Presidents of both Associ ations.
A motion vas thereupon made, seconded and unanimously approved that the Expanded Research Program's Executive Committee be Increased from three to five voting members and that the tvo additional members be appointed, one to represent the foreign producing companies and the other, the domestic producers.
ASSOCIATE MEMBERS' REPRESENTATION ON BOARD OP DIRECTORS
The Chairman stated that he had been requested to place before the Board for their consideration the suggestion that perhaps three repre sentatives of associate members of the Association serve on the Board with full voting privileges.
At the request of the Chairman, the Executive Vice President reported that he bad discussed informally with the attorneys who handled our Incor poration and drew up the new By-Laws the question of legality in placing foreign Associate members on an equal basis with domestic members so far as voting rights are concerned. The attorneys, the Executive Vice Presi dent reported, advised him that they see no legal objection to such an arrangement.
The Executive Vice President pointed out, however, that tvo amend ments to the By-laws would be necessary and would have to be adopted by majority vote of the membership. The first of these amendments would be to amend the section which gives associate members all the privileges of membership except the right to vote. The second would be to increase the size of the Board from 15 to 18.
It vas the general consensus that the Association should not proceed too precipitously in this matter and that the Chairman should appoint a comnlttee to study all of the ramifications of such action.
REPORT OF NOMINATING CCMCETTEE FOR OFFICERS
The Nominating Committee for Officers composed of D. R. Carter, Chairman, F. H. Hurless and C. G. Rice, appointed by the President with the approval of the Board at its meeting on December 5 19^1, recommended the election of the following officers:

There being no further nominations, it was regularly moved, seconded and unanimously carried that nominations be closed and that the Secretary

be Instructed to cast one ballot for the slate recanaended by the Nominat ing Ccmnittee.
It vas further moved, seconded and unanimously approved that Robert L. Ziegfeld be reelected Executive Vice President, Secretary and Treasurer of the Lead Industries Association, Inc.
At this point, the new President and Chairman of the Board, Charles R. Ince, assumed the chair.
The new Chairman thereupon extended, with the Board's full approval, a sincere vote of thanks to the retiring President and Chairman of the Board, Mr. Jean Vuillequez, for his untiring efforts in behalf of the Lead Industries Association.
APPOINTMENT OF EXECUTIVE COMMITTEE
It vas regularly moved, seconded and unanimously carried that the following be appointed members of the Executive Committee of the Board of Directors, and that Mr. Ince be designated chairman of that Committee:

MEMBERSHIP
New Members: The Executive Vice President reported the election by letter ballot of the Executive Conmittee of the following two companies:

Resignation: The resignation of Imperial Type Metal Co. was pre sented and accepted with regret.
ANNUAL MEETING DATES
A motion was made, seconded and unanimously carried to confirm the location and dates of the next two onmiAi meetings as follows:
April 29-30, 1963 at Chicago April 21-22, 1964 at St. Louis

work, an the continuous sheet lead casting machine at a cost of $9*000 for one year's effort had been received. He stated that the proposal had been reviewed and approved by the Technical Steering Committee and the Industry Development Committee.
A motion was thereupon made, seconded and unanimously carried approving the Committees' action authorizing the use of $9,000 from the Undesignated Research Fund for this purpose.
PRINTING OF BI-LAMS
The Executive Vice President reported that the By-Laws of the Asso ciation had not yet been printed and that in view of the possible changes discussed at this meeting, he would delay printing until such time as the suggested changes were acted upon.
HEALTH AND SAFETY REPORT
The Executive Vice President requested the Board's permission, which was granted, to call into the meeting the Health and Safety Director, Don Fowler. Mr. Fowler then presented a brief report of his activities with public and private organizations in the field of lead toxicology with relation to automobile exhausts and smog.
L.I.A. STAFF INSURANCE
The Executive Vice President reported that the Association hadr in creased the life insurance coverage for some staff members along with certain medical benefits at an additional cost to the Association of less than $25 a month. He further stated that the plan had been adopted in cooperation with the American Zinc Institute and had been authorized by the Presidents of the two Associations.
GAS TURBINE ENGINE
The question was raised as to the effect of the gas turbine auto mobile engine cm the future consumption of lead for TEL. Mr. Costello answered by reporting that there appears to be no immediate threat inasmuch as General Motors has reported that the cost of the metal alone for the gas turbine engine is greater than the present Chevrolet motor completely built.
There being no further business the meeting adjourned at 5**45 P.M.
