Richard Flammer with a round of self-introductions. II. APPROVAL OF MINUTES OF FEBRUARY 27.1991 EXECUTIVE BOARD MEETING It is in order to ratify the minutes of the last Executive Board Meeting held in Houston, Texas on February 27, 1991. A copy of these minutes can be found under Tab A. Motion: "I move that the minutes of the Vinyl Institute Executive Board Meeting held on February 27, 1991 be approved as received." Following a second to this motion, a vote should be taken. III. FINANCIAL REPORT A. Status of Expenditures Through April 30, 1991 A financial statement giving the status of Vinyl Insti tute expenditures through April 30, 1991 can be found under Tab B. The Executive Director will highlight significant expenditures, budget variances and will answer any questions concerning this statement. B. Proposed Budget For Fiscal Year 1991-1992 A proposed budget for the fiscal year starting June 1, 1991 through May 31, 1992 can be found under Tab C. This proposed budget was reviewed with the Executive Committee of the Vinyl Institute on May 7, 1991 and represents the budget they have agreed to. The Executive Director will present the highlights of this budget and answer any questions. Motion: "I move that the Vinyl Institute budget for the fiscal year starting June 1, 1991 which is found under Tab C of this Board Briefing Book be approved." ELECTION OF EXECUTIVE BOARD OFFICERS As Executive Board members and company representatives were advised by letter on May 6th (see Tab D) , the Nominating Committee comprising of John L. Russ, Borden Chemicals and Plastics, Erv Schroeder, Shintech Inc. and William Shoun of Dow Chemical USA have recommended the following slate for officers of the Executive Board for a two-year term starting June 1, 1991: Chairman: Vice Chairman: Secretary: Treasurer: John L. VI. REPORT ON MEETING WITH "CHLOR/ALKALI FEDERATION11 On May 6, 1991 members of the Executive Committee met with Brad Lienhart of Dow and Dr. Robert G. Smerko, President of the Chlorine Institute to discuss the concept of a "Chlor/Alkali Federation" and to explore areas of mutual cooperation and coordination. As a result, there was agreement to continue the high level of cooperation and coordination that has already been established between the Chlorine Institute and the Vinyl Institute on their communications/outreach programs and to explore further cooperation on the following items either between the Vinyl Institute and the Chlorine Institute or the "Federation": Transportation (VCM Emergency Response) State Legislative and Regulatory Activity Implementation of Responsible Care Life Cycle/Ecobalance Analyses and Dioxin Studies Mr. Flammer or others attending the meeting may wish to comment further on this meeting at the Executive Board Meeting. A concern was expressed by some of the Vinyl Institute Executive Board about over-linking of vinyl plastics with other chlorine derivatives that are perceived or known to have environmental problems, viz emitting chlorinated solvents or CFCs. The Chlorine Institute, as part of its planned outreach program, is going to produce a video largely modeled after one produced in England by ICI entitled "Living with Chlorin ." This video which is nine minutes in duration will be shown at the Board Meeting and comments from the attendees will be CTL007702 4 solicited regarding it so they can be given to and considered by the Chlorine Institute staff before their video is under taken. MEETING 1990 EXECUTIVE BOARD Mr. Shoun moved that the minutes of the December 12, 1990 meeting of the Vinyl Institute Executive Board as contained under Tab A of the briefing book for this meeting be approved as submitted. The motion was seconded by Mr. Russ and approved by voice vote. III. FINANCIAL REPORT A. Status of Current Expenditures Dr. Gottesman reviewed the principal elements of the cash basis statement for the period ending January 31, 1991, the first 8 months of the current fiscal year, as included under Tab B. He noted that expenditures are on target, with the monthly variance of both direct and indirect projects being no more than $2,800. Dr. Gottesman further noted that there remains $103,000 in unreceived income from the second half assessments, which were mailed in December 1990. In response to a question from Mr. Patient regarding the investment income from the VI fund balance, Dr. Gottesman stated that all income is invested by The Society of the Plastics Industry on behalf of the divisions and that interest generated from those investments is retained in the general SPI account. Mr. Flammer noted that the issue of interested on division funds had previously been discussed by the Institute's Executive Board. B. Final Current Year Budget (FY 1990-1991) Dr. Gottesman reviewed the elements of the final budget for the current fiscal year (the period June 1, 1990 May 31, 1991), as included under Tab C of the briefing book for this meeting. Dr. Gottesman further noted that this budget incorporates all expenditures approved as the December 12, 1990 Executive Board Meeting, as noted in the items marked by an asterisk. Lastly, he noted that the projected fund balance at the end of the fiscal year of $90,974 assumes that no money would be spent this fiscal year on the implementation of the strategic plan. C. Development of Preliminary Budget For Fiscal Year 19911992 Mr. Flammer noted that the Executive Committee of the Board had discussed at its February 26, 1991 meeting guidelines for the development of a proposed budget for Fiscal Year 1991-1992. At this meeting, Dr. Gottesman was asked to work with committee chairmen to develop a CTL0077 06 3 proposed budget based on the assumption of level total assessments for current members with the same membership base. Dr. Gottesman noted that he will be asking committee chairmen to provide budget requests with projects noted by priority. This proposed budget will be considered at the Executive Committee's May 7, 1991 meeting and presented for approval at the Board's May 29th meeting. IV. SPECIAL ISSUES A. Research and Strategic Plan to Manage Anti-PVC/"No Chlorine" Issues 1. Presentation of Plan On February 14th, Ketchum Public Relations present ed to VIGOR its final research report and proposed strategic plan. This material was reviewed and discussed at the February 15, 1991 meeting of the Communications Committee. Mr. Reynolds, Chairman of the Communications Committee and Mr. Krause, Chairman of the Vinyl Institute Group on Recycling, presented the proposed strategic plan. A complete copy of the presentation material used by Mr. Reynolds is attached to the minutes of this meet ing. Mr. Krause's presentation focused on the need to demonstrate to various audiences including govern ment and customers that vinyl is not only recycl able, but that it is actually being recycled. He stated that more than general industry-wide activi ty is needed to demonstrate this commitment. Mr. Krause noted that demand for post-consumer material is escalating. He noted other pressures on the plastics industry, such as the recently released labeling regulations of the Northeast Recycling Coalition and proposed legislation such as Con necticut Bill HB 6435, which would limit the use of polymers used for packaging. Within the four elements of recycling (collection, sortation, reclamation and market availability), Mr. Krause reviewed the progress being made. In the area of collection, he noted that some of the major waste collectors are now beginning to move toward all rigid containers. In the area of sortation, he commented that the VI projects at The Center For Plastics Recycling Research using the ASOMA instru ment with singulator and at National Recovery Technologies are helping to provide solutions. In the area of reclamation, he noted that the work at CTL007707 4 Dev Tech approved at the last Board meeting is probably a year away. He commented that the major issue in this area is the development of a melt filtration system to remove contamination. In th area of markets, Mr. Krause noted that the Univer sity of Toledo study shows that markets are avail able and that demand is escalating. He noted that VIGOR believes that, while companies are pursuing their own programs, there is an opportunity to buy additional time. He recommended that one applica tion be selected with a national impact. He noted that the most pressure is in the bottles-to-packaging recycling area, but that the strength of the industry for the long term is in the bottles-todurables area. 2. Board Discussion At the conclusion of Mr. Krause's presentation, Mr. Flammer commented that pipe remains an obvious, long term durable for the use of recycled material, but that due to a two-year ASTM code process, we would have to look at non-code applications. Mr. Kelly commented that in the durables area (siding) there have been recycling programs in place for the past 5 years targeted at material returns from the application site. Mr. Patient noted that based on recent meetings with waste management companies he believes that there is a substantial amount of research on collection and sortation already under way. Dr. Gottesman noted that by scaling back some of the pro-active marketing programs of the Institute, and with the completion of some technical programs such as the work at National Recovery Technologies and at the Center For Plastics Packaging Research at Rutgers, some $475,000 might be available from next year's budget for the implementation of the strategic plan. He further commented that a meet ing is planned with Edward Howard and Company during the week of March 11, 1991 to discuss their thoughts regarding the implementation of the plan and projected costs to initiate the necessary programs. Mr. Reynolds noted that part of this discussion will include the implementation of the issues management portion of the strategic plan, with the possibility of expending $40,000-50,000 this fiscal year. CTL007708 5 Mr. Flammer noted his concern that a scale-back of the pro-active programs might cripple efforts to date if the strategic plan is implemented within current budget levels. Mr. Schiffer noted that the proposed strategic plan really contains no surprises and that he believes there is general consensus on what needs to be done, although there may not be agreement on the audiences that need to be reached. Mr. York ques tioned whether there was consensus on whether activities suggested should be on behalf of the industry at large or whether they were more appro priately company-specific initiatives. In response to a question from Mr. Flammer regarding the role of the VI versus specific companies. Dr. Gottesman noted that recycling as a business must be viewed as a company role. Mr. Patient noted that he believes that the issue is that pressures being felt by the packaging industry are bringing the question of efficacy of vinyl as a product to other markets. He noted that recycling is a minor part of the issue and that the plastics industry needs to work with these compa nies in cooperative programs. Mr. Stickel stated that the reclaimed water market is perhaps a potential to pursue in the pipe area. Following a lengthy discussion, it was the consen sus of the group that work should proceed in both the bottles to durable and bottles to packaging areas. On the bottles to durables area, it was agreed that Mr. Krause would chair an effort to identify a specific pipe application to which the industry could demonstrate that recycling is hap pening. Representatives of PW Resin and CertainTeed agreed to cooperate in this activity. Mr. Schiffer noted that the key to making the project a success is the need to demonstrate the product identified as "distinct". In the bottles-to-packaging area, Mr. Patient noted that melt filtration technology would be the final step in helping to put this element of a recycling program together and that if industry works cooper atively BFGoodrich is willing to share the work it has done to date in this area. Mr. Krause noted that this might require another $100,000. Follow ing discussion it was agreed that Mr. Krause would organize a project team to identify a specific application and initiate a bottles to packaging CTL007709 6 program. He was asked to work with representatives of Occidental Chemical, Georgia Gulf, and well as supporting members Klockner Pentaplast and American Mirrex. B. Solid Waste Management 1. Vinvl Institute Group on Recycling (VIGOR! In addition to the presentation made by Mr. Krause under Item IV.A., he provided an update on projects as referenced in the background material under Tab D. He noted that the installation at XL is now likely to be in the March 1st period. Mr. Krause commented that Dev Tech has now finalized arrange ments with Carpco to be their equipment supplier and that a contract between the Institute and Dev Tech and between Dev Tech and the Council For Solid Waste Solutions is imminent. 2. European Developments Mr. Prinselaar updated the Board on recent develop ments in Europe affecting the PVC industry and noted that copies of an update prepared by Mr. Buhl of his company had been distributed previously to members of the Executive Board. He noted that the Parliament in Holland has recently defeated two proposals; one which would have imposed a chlorine tax on manufacturers, and another which would hav banned PVC in short term packaging applications. He also updated the Board on recent activities in Germany, Italy and Switzerland. Mr. Prinselaar summarized recent initiatives under taken in Europe by the Plastics Waste Management Institute including activities related to ecobalances, incineration research, university research on mixed plastics and a communications program on the development of a code conduct related to adver tising/environmental claims. Lastly, he updated the Board on activities of the European Council of Vinyl Manufacturers as well as activities specific to the European Vinyls Corporation. C. Lifecycle Analysis - "Ecobalance prrtaranm - status R port Mr. Bush expanded on the Ecobalance Task Force report as included in the Technical Committee report under Tab E. He noted that at the February 7th project review meeting that the methodology was established; a group of environ mentalists were reviewed for potential involvem nt in CTL007710 7 project review activities; and that data for the modules is being assembled. (The 3 packaging areas to be covered include bottles, rigid sheet, and flexible film.) Dr. Bush commented that the project is on track for a draft report to be completed during May and that it is hoped that a presentation on the study could be made during the Annual meeting. Dr. Bush noted that it is the feeling of the task force that additional studies in other market areas should be undertaken next fiscal year. During discussion following Dr. Bush's report, Mr. Patient expressed his concern regarding the comparative materials selected by Chem Systems and expressed his sensitivity to plastics vs. plastics issues. Dr. Gottesman noted that SPI is extremely sensitive to this issue. Dr. Bush noted that Dr. Fishbein of Borden has been asked to look at other competitors in the film area. Mr. Schiffer suggested that paper/cardboard be looked at in the rigid sheet area. At the conclusion of the discussion, Dr. Gottesman noted that he would have discussions with principals of Chem Systems regarding the inclusion of non-plastics comparitors. D. Proposal to Form Vinvl Chloride-Specific Mutual Aid Network: Ad Hoc Task Force Report To Board At the December 12, 1990 meeting of the Executive Board, agreement had been reached in principle regarding the formation of a vinyl chloride specific mutual aid network. The Board had asked the task force to reconvene to address specifically the issues of projects and their projected costs under either a VI or CMA framework. Mr. Borrelli noted that the task force met on January 9th and their work product of anticipated projects had been previously circulated to the Board and was also included under Tab F. He summarized the activities and presented the cost figures that had been generated by the VI and by CMA. During the discussion following Mr. Borrelli's presenta tion, Mr. Patient noted his preference for the project to be pursued as a CMA activity. Mr. Flammer inquired whether non-membership in either the VI or CMA would inhibit participation. Dr. Gottesman noted that for safety-related initiatives membership in either of the organizations was not considered a criteria. Mr. Borrelli noted that if the program were initiated as a VI activity, there might be some positive benefits from a pro-active position, but that the group could be effec tively organized in either location. During discussion, representatives of BFGoodrich, Vista and Georgia Gulf noted the interest from their transportation staffs in CTL007711 8 seeing the project being carried out under the CMA umbrella. Mrs. Scheck was asked to follow-up with the task force chairman John Coburn of Occidental and with Dr. Spurlock of CMA to have the proposed mutual aid network organized under CMA. V. TASK FORCE REPORTS AND RELATED ITEMS A. Electrical Materials Council Mr. Rick Smith, Chairman of the Electrical Materials Council updated the Board on recent activities, including discussions held at the Council's February 26th meeting. He noted that additional background information was included under Tab G of the briefing book. Mr. Smith specifically noted the completion of the "10 Reasons" brochure and plans to print it on recycled vinyl paper courtesy of Klockner; presentation of the cost/benefit study at the Spring 1991 meeting of the Construction Specifier's Institute; plans for a presentation on vinyl to the Southern Building Codes Congress. Mr. Smith also detailed the decisions made at the February 16th meeting of the National Electric Code. Mr. Smith noted that there is no consensus on whether a video is needed, but that there is agreement that the Ketchum plan does not address at this time the needs relative to changing perceptions in the electrical marketplace. Mr. Flammer noted that he has reviewed the wealth of information assembled by the Council and believes that some work needs to be done to make the information more "user friendly". B. Pipe Issues 1. Pipe Resource Organization On behalf of the task force chairman Mike Barish, Dr. Gottesman noted that the group has not met since the last Executive Board meeting. A report on activities underway is included under Tab H of the briefing book for this meeting. Dr. Gottesman noted that this material includes background infor mation on action taken by the Southcoast Air Quali ty Management District in California on the issue of restricting volatile organic compounds in sol vent cement for joining PVC pipe. Dr. Gott sman noted that the Plastics Pipe and Fittings Associa tion has scheduled a special meeting on Saturday, March 2nd in California to discuss the issue. Dr. Gottesman stated that he will attend this meeting. CTL007712 9 2. California Environmental Impact Report (EIR) Status Report Dr. Gottesman noted that as previously recommended by the Board, Mr. Flammer wrote to SPI President Larry Thomas explaining the Vinyl Institute's position regarding further funding needs related to the completion of the EIR for plastic pipe. Mr. Thomas understands the vinyl industry's view and directed Mr. Freeman, Vice President of Government Affairs for SPI to discuss this issue with other interested SPI members. Dr. Gottesman updated the Board on discussion Mr. Freeman had with representatives of Dow and Monsan to. Relative to the EIR document itself. Dr. Gottesman stated that a draft document was forward ed to the State Attorney General's office on Febru ary 4th, whose responsibility it is to review the document and to enable developing of costs neces sary to complete the document at SRI. C. Packaging Issues 1. Vinvl Packaging Council On behalf of the Vinyl Packaging Chairman D'Lane Wisner, Mrs. Scheck briefly summarized activities underway including the bottled water market cam paign, the January 16-17 media tour with the verti cal trade press, the completion of the second Vinyl in Packaging Awards Program, and the completion of the benchmark research. Background information is included under Tab I of the briefing book. Mrs. Scheck also reviewed on behalf of Mr. Wisner, a "first cut" at what a budget for the Council might look like next year if the Institute is to try to fund the implementation of the strategic plan without additional revenue. In response to a question from Mr. Flammer regard ing the views of the Supporting Members of no programs being initiated in the film and sheet area, Mrs. Scheck noted that it is her understand ing that those members believe the most important issue to their market is recycling and that pro grams in this area would meet their needs. This issue is to be discussed at the Council's next meeting. CTL007713 10 VI. ORGANIZATIONAL ISSUES A. Mamhft-rqhip of Exxon Chemical USA Mr. Russ moved that the membership application of Exxon Chemical USA as an affiliate member of the Institute be approved effective January 1, 1991 by the Board. The motion was seconded by Mr. Schroeder and approved without objection. B. Executive finmwijttee Report Mr. Flammer noted that the Executive Committee of the Board met on February 26, 1991 for the purpose of interviewing candidates for the position of Associate Director of the Institute. He noted that a package is to be put together during the next several weeks and that he is hopeful that a candidate will be on board by April I, 1991. Mr. Flammer further stated that the Executive Committee had discussed the issue of attendance at Board meetings. It was agreed that Dr. Gottesman would notify members of the following criteria for attendance at Board meetings. The Board member or their designated representative, committee chairman and guests only with the approval of the Executive Director. Mr. Flammer noted that the Executive Committee has scheduled its next meeting for May 7th at which time it intends to review the proposed budget and project priorities for the next fiscal year. Mr. Flammer suggested that if anyone has specific input to this process to contact Dr. Gottesman or one of the officers prior to the meeting. C. NominaHwg ffommlttee In accordance with Article VIII a.a. of the by-laws, Mr. Flammer stated that it was necessary to appoint a 3member nominating committee to prepare a slate of officers for terms of two years. Mr. Russ was appointed to serve as chairman of the nominating committee. The other members appointed were Mr. Shoun of Dow and Mr. Schroeder of Shintech. Mr. Flammer stated that if anyone is interested in either serving as an officer or nominat ing a potential candidate to the Nominating Committee that they contact a member of the committee as soon as possible. Finance <V>winii ttea Mr. Flaituner noted that the Finance Committee will be composed by the members of the Executive Committee with the responsibility of chairing this activity to be the VI Treasurer's. Annual Meeting/Mav 29-31. 1991 - Four Seasons Hotel Dr. Gottesman briefly reviewed the proposed format of the VI Annual Meeting as included under Tab O and noted that he hoped that this revised format would be acceptable. Mr. Flammer commented that he believe that this format would allow Board members to choose to participate in all of the committee activities or to limit their attendance to activities related to the Annual Meeting and Awards dinner. Dr. Gottesman also highlighted his thoughts regarding content of the Annual Meeting resulting from the survey he conducted during January. B. Proposed Meeting Date/Location for September 1991 Board Meeting Dr. Gottesman noted that the program for this meeting recommends that the September meeting of the Executive Board be held on September 11, 1991 in either Washington, D.C. or Atlanta. Following a brief discussion, it was agreed that a Washington, D.C. location be pursued. VIII. TECHNICAL. REGULATORY AND LEGAL UPDATE (Note: Due to timing, each of the following reports was brief.) A. Technical committee Report In addition to the material previously discussed on the status of the lifecycle analysis and the developments on recycling technology discussed by Mr. Krause, Dr. Bush noted other activities of the Technical Committee as incorporated in the committee's report under Tab E. He specifically noted recent visits with the Rhode Island Department of Environmental Management and research underway in Europe on the issue of incineration. Dr. Bush noted that Dr. Richard Magee, who serves as a consultant to the VI is also serving as a member of the steering committee on the Norwegian and Swedish incinera tion studies. CTL007715 12 A. Safety and Env*ronmeTifc committee Mr. Borrelli, Committee Chairman, noted that background information resulting from the committee's January 24th meeting is included under Tab L of the briefing book. He noted that the forms for the awards given in conjunction with the VI Annual Meeting have been mailed. C. Legal C^mm-i fcfr-ee/Leqal Counsel1 a Report Mr. de la Cruz highlighted activities noted in the Legal Counsel's Report included under Tab J of the briefing book for this meeting, including the status of the OSHA PEL issue as it pertains to EDC; a presentation before the January 30th meeting of the National Air Pollution Control Techniques on the consideration of a NESHAP for hazardous organics; the work underway by the unit risk factor subcommittee; recent discussions with Mr. Buzz Hoffman of the FDA concerning the status of the EIS; and oral arguments before the New York Court of Appeals in the Suffolk County issue. Mr. Borrelli noted that he wished to express special thanks to Mr. de la Cruz and his colleagues for the preparation of comments filed during the holiday season with the Louisiana Department of Environmental Quality on a proposed ambient air standard for vinyl chloride. D. Legislative/Regulatorv Report Mrs. Scheck noted that Mr. Krause had already commented on certain legislative activities that she had intended to report. She further noted that she would prepare a monthly update on legislative activities of interest. IX.
