MINUTES OF MCA EXECUTIVE COMMITTEE Americana of New York, New York City Tuesday, November 26, 1963
Following breakfast, the meeting was called to order by Chairman Klipstein at 8:45 a.m.

The regularly scheduled November 25 Executive Committee and Directors meetings were cancelled in view of the assassination of President Kennedy. Copies of the Board agenda which was to have been considered the previous day, plus the monthly financial report, were distributed to those present. The agenda was reviewed briefly, and those items on which special attention was devoted are as follows:
1. Report of the Pension Committee. On November 14 copies of the final revision of the Employees Pension Plan, as proposed by the Pension Committee, were sent to Directors for their advance consideration. In the absence of Chairman Williams, Mr. Wood briefly explained the major changes which had been made. Two resolutions, prepared by the Trustee for Board consideration, involving approval of the amended Plan and authorization to the President or other appropriate official to enter into contracts to purchase policiesJto make payments as required by the carrier in order to fund the amended Plan, effective December 1, 1963, were considered. It was unanimously agreed that a favorable recommendation should be made to the Directors with respect to both resolutions and that an emergency meeting of the Directors should be called immediately following luncheon on that day in order to finalize the matter, in view of the impending effective date.

2. Economic Facts Study. Mr. Hannan reported that due to cancellation of the meeting of his Committee the previous day, it would be necessary for him to defer the final Committee report until a later meeting of the Directors.
3. Environmental Health -- Future Organization. General Decker presented a staff proposal that a permanent steering committee be authorized and set up, such committee to include one representative from each of the pertinent functional committees, plus four or five additional members, the latter to be either Directors of MCA or individuals selected on the basis of competence and broad experience in the field. He stated that in selecting the latter members, consideration might well be given to personnel who served on the previous Ad Hoc Planning Committee, plus a Board member to act as liaison. The new committee, although reporting directly to the Board, would not be directly affiliated with the functional committees nor interfere with the reporting procedures already established whereby such functional committees also report directly to the Board.
Following discussion, it was unanimously agreed that the proposal should be recommended to the Board of Directors for adoption. Further, that the staff be instructed, with the aid of counsel, to prepare terms of reference and to propose names of possible members for consideration by the Board.
4. Traffic Committee -- Change in Name. The Traffic Committee has recommended that its name be changed to "Transportation and Distribution Committee" and that the present Physical Distribution Subcommittee be renamed "Research and Development Subcommittee". Applicable terms of reference were distributed to the Directors on November 4.
Discussion brought out questions and differences of opinion relative to the use of the term "Distribution" in the title of the parent Committee. Hence, the matter was remanded back for further consideration by the staff and the Committee.
5. Program Committee -- Nov. 26 Semi-Annual Meeting. Messrs. Wood and Crass reviewed arrangements, program, and probable attendance for this over-all meeting. In the face of a record advance enrollment of approximately 1150 registrants, there is no question but that attendance will suffer as an aftermath of the President's death and the period of mourning announced.
6. Proposed ABA Project on Reinforced Plastics. The Mechanical Technical Committee requested Board consideration of its proposal that MCA request and support work by the American Standards Association directed at developing national standards in the area of reinforced plastics. Considering present practices and probable growth trends, annual savings to the chemical industry through greater utilization of chemical resistant reinforced plastics in the industry are estimated by the Committee to approximate $10 million per year.

Following discussion, the matter was remanded back to the staff and the Committee for further study and the providing of additional information.
7. Water Resources Research -- Biodegradability of Organic Chemicals. The Water Resources Committee has proposed that a$30, 000 provision be made in the budget for fiscal 1964-65 for a research project on the biodegradability of organic chemicals. An explanatory memorandum had previously been furnished members of the Board. The proposed research project would be funded to the same extent and take the place of the current Franklin Institute project on Taste and Odors in Water, which is scheduled for completion at the end of the current fiscal year, Messrs. vonFrank and Rook were called into the meeting at approximately 9:15 a. m. to discuss the matter in detail. Following presentation, the two gentlemen were excused in order that the Committee could discuss the matter in closed session.
It was the consensus that recommendation should be made to the Board of Directors that the first step of the project -- involving search of the literature and preparation of a bibliography --be incorporated into the new budget and that next year the matter be reappraised in the light of further research which, in the opinion of the Committee, might be required.
8. West Coast Regional Directors Meeting. The Secretary read a letter from a West Coast Arrangements Committee, chairmaned by Ernest Hart, inviting the Directors to hold the March 1964 meeting at Pebble Beach, California. Events would get under way with a dinner in San Francisco on the evening of Monday, March 9, at which Christian de Guigne would be the host. Registrants would then be transported to Pebble Beach the next morning.
It was the consensus that the invitation should be accepted and that a recommendation to this effect be made to the Board of Directors.
9. Miscellaneous Matters. General Decker discussed recent Association activities relating to a number of subjects, including Federal legislation, the pending tariff negotiations, regulations for safety and health standards under the Walsh-Healey Public Contracts Act, and others.
There being no further business to come before the meeting, it was resolved to adjourn at 10 a.m. in time for those present to attend the first panel sessions of the Semi-Annual Meeting.
