April 6*7, 1972 The Annual Meeting of mejnbers of the Lead Industries Association, Inc, was held on Thursday and Friday, April 6-7, 1972, at the Queen Elizabeth Hotel, Montreal, Canada. Those who were in attendance are listed in Appendix *A** (List previously sent to members) (!) REPORT OF NOMINATING COMMITTEE FOR DIRECTORS a. The Secretary reported a quorum was present or represented by proxy. b. The Nominating Committee for Directors composed of S. D. Strauss, Chairman, Henry J. Whitson, Dennis Taylor, William P. Wilke, XU, and Paul C. Henshaw, recommended the following slate to serve as Directors for the coming year and placed their names in nomination! Members Representing J. ELECTION or PI RECTORS There were no nomination* from the floor, and it was moved, seconded, and unanimously approved that the nominations be closed and that the Secretary be instructed to cast one ballot for the slate as presented by the Nominating OoosRittee. (2) BUSINESS SESSION The regular session was held Friday morning, April 7, 1972, a. The Secretary presented a copy of the Notice of Meeting and Agenda which had been mailed to each member, as provided in Section 2,04 of the Corporation1 By-Laws. A copy was ordered filed with the Minutes as Exhibit "A" (sent to members on March 9, 1972). b. The Secretary reported that the Minutes of the previous meeting, April 5-6, 1971, had been circulated and no consents received. A motion was made, seconded, and passed to approve the Minutes as circulated. c. In the absence cf LIA's treasurer, Mr. R. J. O'Hara, his report and review of the Association's financial operations for year 1971 was presented for the members approval by Philip E. Robinson, Executive Vice President. (A copy of the audit prepared by Peat, Marwick, Mitchell t Co. will be sent to any member upon request). d. It was announced that the Board of Directors, at its meeting Thursday, April 6, 1972, had elected the following officers to serve until the next Annual Meetingi President & Chairman of the Board Vice Presidents - D. BORCINA The following resolution was proposed by John L. Kimberley for adoption by the members, officers, and directors of the Associationi Whereas David M. Borcina departed this life on December 19, 1971 having been affiliated with the Lead Industries Association for 37 years - starting in 1934, and progressing through ability, and diligence, to the posts of Secretary and Treasurer in 1966, and. Whereas he contributed so generously and effectively during these years to the conduct of the Association and of the Industry from the knowledge, experience and understanding gained from a lcng and distinguished career in the metal industry, therefore, be it Resolved that Members, Officers, and Directors cf the Lead Industries Association record their cherished remembrance of their friend and colleague, and express to Mrs. Borcina and her family their deepest sympathy, and be it Further Resolved that this resolution be made a part of the Association's permanent records with a copy for Mrs. Borcina. The Resolution was unanimously approved by the members.
