August 20, 2009 11 a.m. CDT Suggested Additions to Proposed Statement While Monsanto shares the name and the history of a company that was founded in 1901, the Monsanto of today is focused on agriculture and supporting farmers around the world in their mission to feed, clothe and fuel our growing world. We are an agricultural company. Monsanto Company was first incorporated as a subsidiary of Pharmacia in 2000, and then spun off as a separate company in 2002. PCB's were a chemical widely used for decades as safety fluids to insulate and cool heavy-duty electrical equipment. They were made in Anniston from 1929 to 1971. When concern arose about these materials, the plant stopped making them eight years before the U.S. Congress banned any further manufacturing of PCB's in 1979. The Anniston, Alabama, manufacturing facility was part of the specialty chemical businesses that became part of Solutia Inc. when Solutia was spun off from the former Monsanto in 1997. Solutia is currently involved in the PCB clean-up efforts in Anniston. In connection with September, 2000, transfer to the current Monsanto of the operations, assets and liabilities of Pharmacia's agriculture products business, we agreed to indemnify Pharmacia for any liabilities that Solutia assumed from Pharmacia in connection to the 1997 spin-off to the extent that Solutia fails to pay, perform or discharge those liabilities. Today Monsanto is committed to the protection of the environment and the health and safety of our employees, contractors, guests and neighbors. The impact we have on the communities in which we do business is addressed explicitly in our Code of Business Conduct, which applies to Monsanto businesses and subsidiaries worldwide and applies to all Monsanto officers, directors, and full time and part time employees. Most of the clean-up efforts have been completed. The current Monsanto paid a large portion of a $650 million settlement in 2003 that addresses the issues. Among activities funded by Monsanto is a health clinic for residents in one area of the community and educational grants for programs such as Headstart for children.
