Washington, D.C. 20037 Dear Mr. Van Vlack: As the CMA Executive Contact for my Corporation I am forwarding to you our Company's proxy statement in accordance with your instructions, since I will be unable to attend the CMA meeting on October 30th in New Orleans, Louisiana. I think it is important to explain to the Association our Company's rationale for opposing the proposed Bylaw addition of Section 5 to Article III of the Bylaws. While Witco Corporation management and its employees certainly en dorse the principles outlined in the Associations Responsible Care Program and to the best of our knowledge practice the elements of responsible care in the conduct and operation of our businesses. We do, however, object to a trade association, to which we pay dues to be a participating member, im posing as an obligation of membership strict adherence to a proposed code of conduct. Should the Responsible Care initiative be approved at the October 30th membership meeting, we as a Corporation will have to evaluate what our position will be in the future.
