MINUTES OF THE NOVEMBER l8, 1981 MEETING On motion by Mr. Frieder, seconded by Mr. Dahl and carried, the Minutes of the November 18, 1981 General Membership Meeting were approved as previously distributed. 4. REPORT -ON MAY 9TH BOARD OF TRUSTEES MEETING Vice Chairman of the Board Robert M. Edmiston briefed members on the major actions taken by the Board of Trustees at their meeting on May 9, 1982. He indicated that the Board carefully reviewed the audited DKS 162 -3- Financial Statement for the Fiscal Year ending March 31, 1982 and approved the Budget developed by the Executive Committee for the 1982-1983 Fiscal Year. He also indicated that the Board received a report'on plans developed to expand the existing office space. Mr. Edmiston noted that an additional 1,200 square feet of office space immediately adjacent to the existing office has been obtained effective June 15, 1982. He noted that the new office space will enable the Association to once again have a Conference Room and will be able to accommodate an additional secretary/receptionist. Mr. Edmiston pointed out the Board accepted with regrets resigna tions from Rubin Brothers, Inc. and Wilkie Optical, Inc., and approved H. L. Bouton for membership in the Eye and Face Protection Group. The Board received reports from Standing Committees as well as from an Ad Hoc Educational Committee that is exploring the possi bility of sponsoring management seminars for Association members. Mr. Edmiston also pointed out that the Board approved several minor changes to the Bylaws to clarify the establishment and functioning of Product Groups. He also announced that the Board adopted Guide lines for the awarding of Honorary Membership and Distinguished Ser vice Awards. He stated that progress reports were presented to the Board on the Safety Industry Exhibitors' Council and the. Safety Equipment Institute. He went on to elaborate that the.Safety Industry Exhibitors' Council has a Committee working with the Rational Safety Council hoping to convince that organization to have exhibits as part of the Rational Safety Congress on an every-other-year basis. At the suggestion of Mr. McRamara, a straw-vote was taken at this point, and it appeared that approximately 8o/0 of those in attendance favored the idea of every-other-year exhibits at the National Safety Congress. 5. STANDING COMMITTEE REPORTS Vice Chairman Edmiston called on the Chairmen of the following Stand ing Committees for their reports which are summarized below: A. Entertainment Committee - F. D. Brink, Chairman - Mr. Brink reported that entertainment plans have been' completed for this Annual Meeting and he then introduced the members of his Committee who were responsible for the golf, tennis and fishing tournaments to be held during the next few days. B. Government Relations Committee - E. W. Merry, Chairman Mr. Merry commented on a conference which was held on December 16, 1981 involving Mr. Wilcherand Ms. Morin of the Association Staff who met with Barry White, the new Director of Safety Standards for OSHA. He noted that the conference involved a discussion of the need for a new eye and face protection standard, the need for revision of Subpart D dealing with walking-working surfaces, and an over view of the activities of the Safety Equipment Institute. Mr. DKS 163 -4- Merry also reported on a conference he held on-February 4, 1982 with Dr. Millar, the Director of HIOSH. At that conference, Mr. Merry stated to Dr. Millar that he felt the Respiratory Pro tection Group would be more than willing to work cooperatively with HIOSH on the matter of field-testing of respirators. He also indicated that HIOSH held a Public Meeting on April 27th to discuss the protocols for field-testing of respirators and that it was anticipated the Respiratory Protection Group would be responding further to NIOSH on this subject. C. Planning Committee - L. C. Bailey, Chairman - It was reported by Mr. Bailey that his Committee met on November 20th and gave con sideration to several revisions in the Bylaws dealing with the formation and functioning of the Product Groups and considered also at that time Guidelines for the Eligibility for Membership in Product Groups, and Guidelines for awarding Honorary Membership and Distinguished Service Awards. Mr. Bailey stated that his Committee has completed its work on this project, and the report of the Committee has been submitted to the Board of Trustees. D. Product Liability Prevention Committee - C. D. Pauli, Chairman Mr. Wilcher reporting for Mr. Pauli indicated that there has been no activity by this Committee, and that the Committee was still waiting to determine whether there is a possibility of re-estab lishing a Product Liability Insurance Program for the Association. It was noted the Committee plans to meet later this Summer with the agent who has been handling the insurance program. E. Program Committee - L. P. Frieder, Jr., Chaizman - It was re ported by Mr. Frieder that his Committee believes that members will find the program for this, the 49th Annual Meeting, to be very worthwhile. He also indicated that the Committee will soon begin work on program plans for the Mid-Year Meeting to be held in November, 1982. F. Public Relations - D. E. Houston, Chairman - Mr.. Houston elaborated in considerable detail on the ongoing'Public Relations Program for the Association. He pointed out that stories are continuing to appear in the trade press regarding the establishment of the Safety Equipment Institute. He also indicated that additional news releases will be issued during the coming year, and media contacts and feature stories will also be a part of the program during the coming year. He also announced that his Committee approved plans for the development of a promotional piece titled "ISEA in the Hews". He pointed out that this would be an imagebuilding item that should be useful in membership solicitation work. He also'pointed out that his Committee has developed a recommended Public Relations Program for the Safety Equipment Institute. DKS 164 -5- G. Quality Assurance Committee - N. G. Friesenborg, Chairman - Mr. Friesenborg state! that his Committee plans to meet later this Summer and give consideration to developing Guidelines for Recall Procedures which could be used by all participants in the SEI Certification Programs. He noted that in his discussions with the SEE Quality Assurance Auditor that it was learned that a, number of manufacturers have deficient programs for recalls. Mr. Friesenborg also pointed out that his Committee hopes to estab lish an additional Seminar this Summer on quality assurance in general and with particular emphasis on the matter of recalls. 6. FINANCIAL REPORT - 1981 - 1982 Mr. Wilcher presented the attached Audited Financial Report for the fiscal year which ended March 31, 1982. Following several questions on the Financial Report, Mr. Brink introduced a motion which was seconded by Mr. Fierle and carried that the Financial Report be approved as submitted. 7. BUDGET - 1982 - 1983 The attached Budget for the fiscal year ending March 31j 1983 as devel oped by the Executive Committee and approved by the Board of Trustees was presented to the Membership for consideration. On motion by Mr. Frieder, seconded by Mr. Clauson and carried, the Budget as presented was approved. In the discussion of the Budget, it was noted that there would be no need for an increase in dues during the coming Fiscal Year. 8. ELECTION OF OFFICERS AND TRUSTEES Keith Mercke, Chairman of the Nominating Committee announced that his Committee has met and.proposed for the coming year that K. F. Keefe be re-elected as Chairman .of the Board; R. M. Edmiston as Vice Chairman of the Board; with D. C. Dahl and 0. R. .Kronberg being selected as Trustees for 3-year terms; R. M. Thomas a Trustee for 2-years; and, L. E. Goldstein a Trustee for 1-year. There were no additional nominations from the floor, and the Report of the Nominating Committee was accepted with the slate unanimously elected following motions by Mr. Mercke, seconded by Mr. Friesenborg and carried. 9- ADJOURNMENT There being no further business to come before the meeting, a motion to adjourn was adopted.
