AMENDMENT TO ARTICIE VI--BY-LAWS Amendment to Article VI, Expenses and Assessments, of the ByLaws, circulated to the Board on November 14, 1958, was approved. BUDGET--1959 Research--With respect to the budgets for 1959* the president asked the research director to outline the research program. In doing so, the 1958 appropriations and activities, and recommendations approved by the Industry Development Committee for 1959* were reviewed. In addition, the need for establishing patent policies and procedures was emphasized and in this connection it was suggested that the Patent Committee, consisting of Messrs. Simon Strauss, chairman, Jean Vuillequez and J. A. Costello, would meet with the research director soon and also represent the American Zinc Institute in establishing these Board of Directors Meeting Minutes -2- December 1, 1958 The research director also outlined his plans for reports which would keep members and cooperating outside agencies, such as government departments, informed on our progress periodically, together with re ceiving final reports of all projects. It was regularly moved, seconded and carried that the re search budget recommended by the Industry Development Committee and totaling $306,000 be approved. Industry Development--The president then asked the secretary-treasurer to review the budget recommendations of the Industry Development Committee totaling $294,500, which he did, attached as Exhibit "A." After considerable discussion it was decided that the budget should be reduced by $35,000, both as to expenditures and subscriptions. It was, therefore, regularly moved, seconded and carried that the In dustry Development Fund be approved at $260,000 expenditures and $208,000 subscriptions for 1959, the difference to be drawn from reserves, as pre viously suggested, and that the $35>000 reduction be subject to further study by the Executive Committee of the Association as to the specific areas in which the reductions should be made. In this connection, it was suggested that an Executive Committee meeting be arranged for seme time during the week of January 19, 1959* Ordinary-Health and Safety-Pension Funds--It was regularly moved, seconded and carried that the Ordinary Fund, Health and Safety Fund, . .and Pension Fund be approved as submitted. Mewmont Mining Corporation --The secretary reported that membership applications had been received from Delco-Remy Division of General Motors Corporation and the Hewmant Mining Corporation, and had been approved by letter ballot of the Executive Committee. Lucky Friday Silver-Lead Mines Co. -- It was further reported that the resignation of the Lucky Friday Silver-Lead Mines Company had been reconsidered and that t^iat Company was continuing its membership. LI A00653 Board of Directors Meeting Minutes -3- December 1, 1958 Resignations of: E. I. du Pont de Nemours & Co., W. P. Fuller & Co.. Hudson Smelting and Refining Co., Sipi Metals Corp., Western Electric' Co.--The resignations of the above companies were submitted v?re accepted vith regret, with instructions that the secretary approach the du Pont Company again with the hope that they would reconsider as a result of the reduction in manufacturer's subscriptions effectuated by the By-Law amendment adopted earlier. Letter from Imperial Type Metal Co.--The secretary also pointed out that a letter from Imperial Type Metal Company had been received questioning the advisability of its continuing membership at subscription rates charged in the past and he was instructed to inform this Company of the new rates. ANNUAL MEETING--1960 The secretary reported that the Board had approved, by letter ballot, a change in the annual meeting dates for i960 from the week of May 2 to April 6-8 at the Chase-Park Plaza Hotels, St. Louis, Mo. GROUP LIFE INSURANCE The president reported the approval, by letter ballot of the Executive Committee, of a group life insurance plan identical with that of the American Zinc Institute, which became effective September 1, 1958, and which was estimated on the present staff to cost the Association around $1,200 per year. MILES METAL CORPORATION The suggestion of the Miles Metal Corporation that brokers be permitted to become members of the Lead Industries Association was ordered placed on file. NCMCNATING COMMITTEE FOR BOARD OP DIRECTORS The president then appointed, with the approval of the Board, the Nominating Committee to present a slate for members of the Board of Directors at the annual meeting in April, 1959, as follows: J. Brownell's untimely death during the summer, the Board adopted the following resolution and instructed the secretary to send copies to his family, friends and associates. WHEREAS, Kenneth Cooke Brownell took an active part In the affairs of the Lead Industries Association for many years and served as an officer, as a member of Its Board of Directors and Executive Com mittee, thus contributing unselfishly of his time, visdan and ability toward its growth and success, nov, therefore, be it RESOLVED That the Board of Directors of the Lead industries Association, on its own behalf and that of the entire membership, express to his family, friends and associates sincerest sympathy in their loss due to his untimely death and their appreciation for his invaluable contributions to the lead industry and for his friendship and unswerving integrity of purpose. CLINTON H. CRANE The Directors, being informed of the death of Clinton Hoadley Crane just prior to the meeting, unanimously ordered that the following memorial be made a part of the minutes of this meeting and that the secretary send a certified copy thereof to his family, friends and associates together with an expression an behalf of each member of this Association of sincerest sympathy over their loss: IN MEMQRIAM Clinton Hoadley Crane was instrumental in the founding of the Lead Industries Association. He was its first President. He also served as Chairman of its Executive Committee and as a member and Chairman of its Board of Directors. For nearly twenty years he served it with distinction, giving unselfishly of his time, wisdom and ability, and lending to it his personal prestige and the weight of his position. His invaluable contribu tions were in large measure responsible for its successful growth and present effectiveness. His vise counsel, guidance, unswerving purpose and, above all, his warming friendship and personality will he greatly missed by every member of this Association. His accomplishments stand as shining and challenging monuments in the sight of those he left behind. STORAGE BATTERIES Attention of the Board was directed by Mr. Green towards a recent development that alternators would soon be used on some automobiles which would reduce the necessary battery capacity by about 40 per cent. He had no suggestion as to what might be done but felt that the matter deserved attention. While expressing regret that no positive action had been taken towards a program to encourage the use of lead acid industrial batteries in competition with other types of batteries and gasoline and propane power, he felt that this should be considered an educational program rather than an advertising campaign. -- Meeting adjourned at 4 P.M. Sepretary LIA00655 BOARD OF DIRECTORS MEETING Exhibit "A" December 1, 1958 In submitting the budget data as finally approved by the Industry Development Committee last Tuesday, November 25th, I would like to call your attention to the principal changes made in the data originally submitted. The total Industry Development expenditures were reduced by $10,500 by deferring the reprinting of the Plumber's text book for one year, amount ing to $4,500; by reducing the advertising on Pigments and Chemicals by $5,000; and by reducing the amount to be spent for publicity by $1,000. This makes recommended expenditures $294,500 instead of $305,000. The Executive and Industry Development Committees have already approved exhibiting at the Design Engineering Show in 1959 and using up to $5,000 of Industry Development Fund reserves for this purpose. In addition, the Industry Development Committee recommended using all reserves which have accumulated in the various industry develop ment operating funds, as follows: Metallic Lead Products Pigments & Chemicals Ceramics Radiation Shielding $11,000 7,500 1,400 1,600 $21,500 They further recommended drawing $25,000 from Industry Develop ment Fund reserves during 1959, which had accumulated during 1958. Thus a total of $51,500 would be drawn from reserves and make the necessary subscriptions $243,000 as compared with recommended ex penditures of $294,500. This would leave estimated reserves in the Industry Development Fund at the end of 1959 at approximately $26,000 as ccmp>ared with $17,000 at the beginning of 1958 and would leave the operating funds with no reserves. The Industry Development Committee recamended approval of the $26,000 fund intended for the promotion of lead-acid industrial storage batteries but asked the secretary to present to it a revised program before using these funds.
