Since his term expires in October 1984, he has asked that I review with you the following: Whether APCI should continue to participate; and In the event APCI does continue, who, other than himself, should he suggest as APCI's representative to AIHC's Board? To facilitate the transition, the decisions on the above should be made in sufficient time so that APCI's proposed representative has an opportunity to attend the next board meeting on May 17, 1984. Please find attached a Background Summary, an Updated Board Membership List, and an AIHC report to the board membership. Please let me know when it is convenient for you to discuss the above. AJD:csb Attachments: Background Summary AIHC Board of Directors AIHC Report to the Board Membership (3201 AP00037076 Background Summary AIHC was organized in 1977. Its role is institutionalizing "the use of sound science in the development of national chronic health hazard policies". It has an operating budget of about $1.5 mil 1ion/annually contributed by approximately 70 member companies. AIHC is Incorporated as a tax exempt 501(c)6 organization. It has no permanent staff of Its own or offices, but utilizes SOCHA's resources. AIHC functions by utilizing task forces and committees composed of member company experts. The Board members propose and set policy for AIHC. Their is an Executive Committee of 5 board members including the Chairman. Indications are the organization is effective in delivering its message to the administration and certain legislators. APCI was one of the organizers of AIHC. Dick Flemming was a Charter Director,i977 to 1980. APCI's contribution for 1984 was $25,000. In 19bo, it will increase to $30,000. Edward Donley is currently a board member whose term expires October 1984, who chooses not to continue as a Director. A director's term is for three years. However, he may choose to be re-elected. The Board of Directors meet four times a year--February, May, August, and November usually in Washington, D.C. In 1984 the remaining dates are May 17, August 30, and November 29. AIHC's Executive Committee meets about seven times a year--February, March, May, July, August, October, November. The nominating committee selects new board members and proposes them to the November Board. However, new candidates for existing directors may be proposed prior to this time.
