Currently, AACPP's Board of Directors consists of one (1) appointed representative from each Regular Member company with annual dues for FY 81 assessed as follows: Membership Classification Regular Member (United States) Regular Member (North America) Associate Member Dues Assessment $ Budgeted x % Shipments $15,000 $5,000 A 7/7/81 report of the Ad Hoe Committee on Membership/Dues Structure did not address the composition of the Board of Directors but did recommend in part (a) no change in the formula for assessing Regular Member company annual dues. (b) annual dues for Associate Members be assessed at a flat corporate rate according to the following schedule: $5,000 $4,000 $3,000 One (1) company per country Two (2) companies per country Three (3) or more companies per country. Nonetheless, discussion at the 10/1/81IAC meeting coupled with the attached S/14/81 inquiry from Asociacion Mexicana relative to Mexican company participation suggest more fundmental changes in AACPP's Membership/Dues Structure may be in order. If so, 1 would offer for consideration the following restructuring proposal: 1. Eligibility requirements (Article III, Section I) in bylaws be amended to allow participation of a. Associations as Regular Members b. Association and worldwide corporate affiliates as Associate Members. 2. The composition of the Board of Directors (Article IV, Section I) be changed so that the Board of Directors would consist of five (5) voting and one (1) non-voting Directors with representation as follows: Membership Classification Regular Member-United States Regular Member-Canada Regular Member-Mexieo Associate Members Directors 3 1 1 ,i Voting Status Participant Participant Participant Observer CAPCO JEN 0032476 2- - 3. A majority of the participant Directors would constitute a quorum for the transaction of business (Article IV, Section 9). 4. The Executive Committee (Article IV, Section 12) would be constituted of the Chairman and Vice Chairman of the Board of Directors and the following Officers of the Association (Article V, Sections 1,2,3): President/Secretary Treasurer 5. Annual dues for FY 82 be assessed according to the following schedule: Membership Classification Regular Member (United States) Regular Member (North America) Associate Member Dues Assessment $ Budgeted x % Shipments $15,000 + (N-l) $3,000 $5,000 + (N-l) $1,000 Where: N = The number of eligible companies in a country or association, or corporate affiliates of an Associate Member. If properly worded and implemented, I believe the proposal outlined above will resolve several contentious issues while also providing an opportunity for the Association to expand its membership.
