Prices dp not include sales, use, excise, or other taxes or customs duties which, if applicable, shall be the sole liability of and shall be paid by Purchaser. Unless otherwise specified, payment shall be in cash in United States funds acceptable at par in New York, N. Y., U.S.A. and delivery shall be f.o.b. point of shipment. Purchaser assumes the risk of and Pfaudler shall not be liable for any loss or damage after such delivery but will cooperate with Purchaser in prosecution of claims against the carrier. Purchaser shall be liable to Pfaudler for anyunpaid balance of purchase price irrespective of any loss or damage after such delivery. * 2. Warranty, Liability; Upon return freight prepaid to such factory as Pfaudler may later designate, Pfaudler will repair or replace at its option f.o.b. such factory, any part or parts of the equipment described herein which are manufactured by Pfaudler and are found, upon inspection by it, to be of defective workmanship or material, provided such parts (a) are returned within a reasonable time not exceeding one year after delivery and (b) are still owned and possessed by Purchaser. Purchaser shall not return any such defective parts without Pfaudler's prior written approval. Pfaudler also warrants title and that the equipment will be of the kind described herein. It makes no other warranty, express or implied. Specifically and not in limitation of the above, Pfaudler does not warrant the corrosive resistance of stainless steel or other metal parts for any purpose whatsoever. Pfaudler shall under no circumstances.be liable for any special, indirect or consequential damages. The above undertaking to repair or replace does not apply to equip ment purchased and not manufactured by Pfaudler. Purchaser, however*- reserves all rights against the manufacturer, of such equipment. Purchaser hereby waives any right to damages for breach of warranty in the event of rescission by it. 3. Delivery: Delivery is subject to and Pfaudler shall not be liable for delay directly or indirectly resulting from or contributed to by any circumstance beyond Pfaudler's control and/or, without limitation, from or by an act of God; war or national emergency; fire; flood; explosion; inability to obtain necessary materials; or any labor dispute, difficulty or practice, however caused, or export, import, dollar exchange or other governmental regulations or restrictions. Purchaser may not cancel because of any such delay or for any other reason not the fault of Pfaudler. 4. Miscellaneous. Orders are subject to approval of Pfaudler's Credit Department. No employee, agent or representative of Pfaudler except an executive officer has authority to vary any. term hereof or to make any agreement or representation not incorporated herein.
