E. 49 Midland Avenue Paramus, New Jersey 07652 Gentlemen: Reference is made to the License Agreement and Sales Agreement concerning CoalingaType asbestos, dated November 30, 1973, (the "Agreements") entered into between Sybron Corporation ("Sybron") and Union Carbide Corporation ("Union Carbide"). Sybron has recently requested Union Carbide's consent to the assignment of the Agreements by Sybron to The Permutit Company, Inc., a wholly owned subsidiary of Sybron ("Permutit"). Union Carbide hereby consents to such assignments provided that such assignments are ef fectuated in accord with the terms and conditions set forth in the forms of assignment at tached hereto as Exhibit A, and for only as long as Permutit remains a wholly owned sub sidiary of Sybron. In the event that Permutit shall cease to be a wholly owned subsidiary of Sybron, the Agreements will automatically terminate unless Permutit has received prior written consent of Union Carbide to so continue such assignments. All other terms of the Agreements remain unchanged. If the foregoing is acceptable to Sybron and Permutit, both should execute the duplicate copy of this letter attached hereto and return to the undersigned.
