"Remedial Action11 shall mean such actions as are re quired by Environmental Laws, by Government Authority pursuant to Environmental Laws, or otherwise taken as necessary to com ply with Environmental Laws, to (i) clean up, remove, contain, treat or in any other way address or remediate any Hazardous Substances in the Environment; {ii) prevent the dispersal of Hazardous Substances in the Environment so that they do not migrate or endanger public health or safety or the Environment; or (iii) perform studies, investigations, monitoring, or oper ation and maintenance functions in respect of any such matter. Section 8.2 Representations and Warranties Regarding Environmental Matters. Except with respect to Retained Assets, the Mahwah Facility Site (other than with respect to subsec tions (a), (b) and (h) below) or as set forth in Schedule 8.2: (a) To Seller's Knowledge, the Division is in com pliance in all material respects with applicable Environmental Laws as currently in effect; (b) The Division possesses all Environmental Permits required pursuant to Environmental Laws as currently in effect which are material to the Business (which are set forth in Schedule 8.2), and, to Seller's Knowledge, is in compliance in all material respects with the terms and conditions thereof; -152-
