A meeting of the Board of Directors of the Lead Industries As sociation was held on Friday, May 9, 1947, at 2 P.M., at the WaldorfAstoria Hotel.

Mr. Crane occupied the chair.
The minutes of the previous meeting held on April 26, 1946, were approved.
ELECTION OF OFFICERS
The Chairman stated that it was in order to elect officers of the Lead Industries Association.
WHEREUPON, the following nominations were made, and there being no further nominations, the Secretary was Instructed to cast one ballot for the election of these nominees and they were declared elected:
Clinton H. Crane, President
F. W. Rockwell, Vice President X. C. Brownell, Vice President
ELECTION OF EXECUTIVE COMMTTTFF.
The Chairman stated that it was in order to appoint an Executive Committee.
WHEREUPON, with the consent of the Board, the Chairman appointed the following as members of the Executive Committee:

CHANGES IN CONSTITUTION AND BY-LAWS
The Executive Committee at its meeting on March S, 1947, recommended that certain suggested changes to the Constituion and By-Laws be made relating to the eligibility for membership and the basis of assessment, which were submitted for consideration. It was pointed out that no formal action could be taken at this meeting as two weeks notice is required.
The members of the Board present at this meeting recommended that the amendments be submitted to the entire Eoard for a letter ballot and recommended their adoption.
APPOINTMENT OF SECRETARY AND TREASURER
The next order of business was the selection of the Secretary and Treasurer to succeed Felix E. Wormser, whose resignation had been accepted as of June 9, 1947.
It was moved, seconded and carried that Robert Lindley Ziegfeld be elected Acting Secretary and Treasurer at a salary of $11,000.00 per year.
METAL POWDER ASSOCIATION
Mr. V.'ormser stated that the Metal Powder Association had made substantial progress under the wing of the Lead Industries Associ ation -and that the Board of Directors of the Metal Powder Associ-ation desired to continue arrangements in force and that the Metal Powder Association Board had selected Mr. Ziegfeld as Acting Secre tary to succeed Mr. Wormser.
It was moved, seconded and carried that the Lead Industries As
sociation continue to assist the Metal Powder Association, with the proviso that the Metal Powder Association shall reimburse the Lead Industries Association for rent, services and salaries, rather than to make payments directly to the Lead Industries Association personnel for services performed.
RESOLUTION IN APPRECIATION OF FELIX E. WORMSER1S SERVICES
Mr. K. C. Brownell moved that the Board of Directors express its deep appreciation to Felix E. Wormser for the efforts he had made on behalf of the Lead Industries Association from its very beginning and for the outstanding record of accomplishment of benefit to the industry and the public, brought about through his administration, and the fol lowing resolution was moved, seconded and carried:

Y7HEREAS Felix Edgar 7/ormser has resigned as Secretary and Treasurer of the Lead Industries Association after more than 18 years of service in that capacity, and
VJHEREAS the Association has grown under his guidance to a position of great prestige and respect not only in the metal industries but in all private business and'public circles with which it has come in contact,
BE IT RESOLVED TEAT the Board of Directors of the Lead Industries Association expresses its deep appreciation for Mr. Wormser's long, efficient and inspiring service as administrative head of the Association and for his unwavering efforts in behalf of the industry he so ably represented.
The meeting adjourned at 3:00 P.M.
