TRADEMARK ASSIGNMENT TO ASSOCIATED:: LEAP THIS AGREEMENT, made as of t^he ^ day of October, 1979, by and betweeq: N L INDUSTRIES, INC., a corporation organized, and existing under the,laws of the State of New Jersey, United States. o:f America, having a place of business at 1230 Avenue of the Americas, New York, New York 16020, (hereinafter referred to as "NL",) and ASSOCIATED LEAD, INC., a corporation organized and existing under the laws of the State of Delaware, United States of America, having a place of business at 25^5,Aramingo Avenue, Philadelphia, Pennsylvania, ("Buyer"), WITNESSETH: WHEREAS, NL, to the best of its present knowledge and belief, is the owner of the entire right, title and interest in and to the trademarks and tradenames listed in the annexed Schedule together with the goodwill of the business associated with said trademarks and tradenames; WHEREAS, Buyer desires to acquire the entire right, title and interest in and to the aforesaid trademarks and tradenames together with the goodwill of the business asso ciated with said trademarks; NOW THEREFORE, for good and valuable consideration, receipt of which is hereby acknowledged, NL has sold, assigned and transferred and does hereby sell, assign and transfer unto Buyer, the entire right, title and interest that NL has in and to the trademarks and tradenames listed in the annexed Schedule, together with the goodwill of the business associated with the NL 000039400 said' trademarks and tradenames, as wfell as. the right to remover for past infringement of said trademarks and tradenames and the said registrations thereof as listed in the Schedule .annexed, hereto; the samp to be held and enjoyed b,y- Buyer the same as they would have been held and enjoyed by ML if this Assignment had not been made.
