A meeting of the Director# of this Company was held at #601 Canal Hoad, N. W., Cleveland, Ohio, at 10;00 A. U., Saturday, November 8th, 1919, the following being present:

On motion of to. F. E. 'Goff, seconded by to. E. U. Richardson and unanimously adopted, it was -
RESOLVED? Shat the depreciation on Plant and on Raw Material be approved as
% submitted to the meeting by the President.
On mo tion unanimously adopted, it was -
RESOLVED: That the President's report of progress regarding the sale of the
interests of The Sherwin-Williams Company of Cleveland, Ohio, U. S. A., in The Sherwin-Williams Company (of Canada) Limited, and in Lewis Berger & Sons (Australia) Limited, be accepted, and
Farther on motion unanimously adopted, it was -
RESOLVED: That the resolutions of Directors' meeting. May 21st, 1919, regarding
the sale of said interests,be and hereby are affirmed and it is the judgment and desire of the Directors that the sale should be made at as early a date as possible.
On motion of to. S. P. Fenn, seconded by to. J. C. Beardslee and -adopted, it was -
RESOLVED* That the President, to. W. E. Cottingham, be authorised to complete
present negotiations with the Acme White Lead & Color Company for acquiring its business, according to his best judgment.
