THIS AGREEMENT entered into this first day of July, 1952 by and between JOHNS-MANVILLE PRODUCTS CORPORATION, a Delaware Corporation (hereinafter called "Johns-Manville") and ASBESTONE CORPORATION, a Louisiana corporation (hereinafter called "Asbestone").
WITNESSETH THAT:
WHEREAS Johns-Manville is now, and has for many years been engaged in the business of manufacturing and selling asbestoscement shingles manufactured by the so-called dry process at its plant at Marrero, Louisiana; and
WHEREAS Asbestone desires to engage in the business of manufacturing and selling shingles manufactured by the aforesaid dry process; and
WHEREAS Johns-Manville is willing to make available to Asbestone certain technical information and drawings relating to said dry process, subject to the conditions and agreements herein after set forth;
NOW THEREFORE in consideration of the premises and of the mutual covenants and conditions herein set forth the parties herein agree as follows:
1. Johns-Manville agrees to deliver to Asbestone the draw ings and/or purchasir^g specifications for the items of equipment set forth on Schedule ''A",, hereto attached and made a part hereof, all relating to the manufacture of asbestos-cement shingles by the dry process.
2. Johns-Manville agrees that duly authorized representatives of Asbestone may visit Johns-Manville's plant at Marrero, Louisiana

from time to time at reasonable business hours during a period
not to exceed 24 months from the date hereof or 12 months
from the date that Asbestone shall commence the construction of its equipment for manufacture of said asbestos-cement shingles whichever is earlier, for the purpose of observing and examining Johns-Manville*s machine or machines at that location engaged in the manufacture of asbestos-cement shingles by the dry pro cess, provided that no more than two representatives of Asbestone
one may visit the aforesaid plant at any/time without the prior approval of Johns-Manville, and provided further that such visits 'shall in each case be supervised by a Johns-Manville engineer and that such visits shall require not more than a total of 80 hours time of such engineer or engineers.
3. For all of the services and documents herein described and of all of the undertakings of Johns-Manville as herein set forth, Asbestone agrees to pay Johns-Manville the sum of $30,000 at the rate of 20 per square of shingles manufactured by Asbes tone by the dry process with minimum yearly payments of $10,000 during each of the calendar years 1953, 1954* and 1955, provided that in no event shall Asbestone's obligation hereunder exceed
$30,000.
4. Asbestone agrees not to divulge any of the technical information supplied or to be supplied to Asbestone by JohnsManville hereunder to any other person, firm or corporation except the duly employed personnel of Asbestone and agrees that it will prevent the drawings and such information from coming
into the possession of such persons, firms or corporations. 5. It is agreed that no representative of Johns-Manville 2 MTC 017237
shall be required to visit any one or more of the plants of "sbestone for the purpose of advising Asbestone regarding the aforementioned dry process or for any other reason in any way connected with this Agreement.
