MINUTES OF MEETING MCA EXECUTIVE COMMITTEE Pinnacle Club, New York City Monday, November 25, 1974 Following luncheon at 12:30 p.m, , the meeting was called to order by Chairman McNeeley; who explained Mr. Driver's absence on account of ill ness. Financial Report for Five Months Ended October 31, 1974 Best reported the information shown in Exhibit A, attached. Mr. 2. Legal Advisory Committee A revised proposal for re-constitutIng the Legal Advisory Committee, changed in accord with suggestions made at the October 8th meeting, and a proposal regarding future services of out ide legal counsel, as previously discussed, were distributed in advance with the tentative agenda. In respect to the latter, responses to the stipulated in quiries were entirely favorable. After further discussion, it was agreed to present these recommendations for approval at the Board meeting on January _U, 1975. Voluntary Energy Conservation Program Chairman McNeeley Mr. Driver had arranged for Mr. Ronald Wishart (Union Carbide Corp- to report at the Board meeting later today regarding this program in chemical companies are participating at the request of the Secretary erce and the Federal Energy Administrator. It was evident from comments that the Executive Committee felt be expanded to include all MCA member companies. ^*Data Bank of Chemical Toxicology In the absence of Mr. St. Clair, r? ar* appointed subcommittee on this matter, Dr. Barnes distributed i_report dealing with two meetings in St. Louis on November 19-20, g consisting of representatives of a 12-company ad hoc group inter im creation of a chemical industry institute on toxicology and the other J representatives of companies represented on the MCA Executive CMA 012698 -3- 7. Proposed Research on Environmental and Occupational Health Hazards Associated with Vinylidene Chloride A description of the propos ed three-year program of toxicological research on vinylidene chloride (monomer) was distributed in advance with the tentative agenda. The esti mated funding of $600, 000, which includes provision for reimbursement to MCA for staff overhead, is to be furnished by voluntary subscriptions from interested companies. It was agreed to approve, on behalf of the Board of Directors, MCA administration of this program as detailed in Exhibit D, subject to funds being made available. 8. Proposal Regarding Consultants on Photochemistry and Meteoro logy One of this year's budgeted projects provides funds for engagement of consultants to assist in developing MCA responses to regulatory proposals of the Environmental Protection Agency (EPA) relating to photochemical re activity of organic chemical vapors in the atmosphere. The Air Quality Committee desires to apply part of these funds, up to $3, 000, to employ con sultants to aid in developing a research proposal on photochemical oxidants, prospectively for MCA funding in fiscal year 1975-76, inasmuch as EPA Is known to be drafting long-range plans concerning ambient air quality stan dards for such oxidants. It was agreed to approve, on behalf of the Board of Directors, an en largement of the scope of the budgeted project so that the indicated expendi ture properly may be made. 9. National Science Foundation/Stanford Research Institute Survey on 80 Organic Chemicals - Losses to the Atmosphere in Manufacturing Under a contract from the National Science Foundation, Stanford Research Institute (SRI) is to survey losses to the atmosphere incidental to the manu facture of some 80 organic chemicals, using a questionnaire cleared through the Office of Management and Budget (copy of questionnaire distributed to Executive Committee members in advance with the tentative agenda). SRI has appealed for MCA endorsement in the belief that company response, which is not mandatory, will be enhanced. It was agreed to approve the staff suggestion that endorsement be given in the form of a letter from Mr. Driver direct to the companies being sur veyed, which letter should explain explicitly the purpose for which the infor mation is being sought. Also, SRI should allow a reasonable period for com pleting the questionnaires which are quite detailed and are to be completed aeparately for each manufacturing site. CMA 012699 exhibit d Proposed Research and Study Program on the Environmental and Occupational Health Hazards Associated with Vinylidene Chloride Vinylidene chloride has drawn public and govern mental attention because of its association with vinyl chloride in industry, its structural similarity to that chemical, and its reported carcinogencity in rats. An Ad Hoc Planning Group for Vinylidene Chloride, representing a group of interested companies, has evaluated the need for further research. They have formulated protocols for a research program with a projected three-year budget of $600,000 to be sup ported collectively by voluntary contributions. If commitment of the funds is forthcoming, and this opportunity is now before about twenty companies as potential contributors, it is proposed that this project go forward under MCA administration. A de scription outlining the nature of the research and the terms under which it would proceed is attached. The staff recommends approval, subject to funds becoming available. Attachment MCA EC - 11/25/74 CMA 012700 Proposed Research and Study program ^ on the Environmental and Occupational Health Hazards Associated with Vinylidene Chloride Purpose The purpose of the proposed program is to conduct research and investigations to develop reliable data on the carcinogen icity and other toxicological properties of VDCM*, in order to ascertain conditions necessary to assure the safety of the workers involved in its manufacture, handling, and use, and of the communities in which such plants are located. Program The Dow Chemical Company has initiated a number of research projects to develop the necessary data, and has several others in the planning stages. They have offered to convert this pro gram from a proprietary, company-funded one, into an industry effort, in which costs would be shared by, and program supervi sion and current data access enjoyed by, all the sponsoring companies. Representatives of companies with an interest in sponsoring such research, at a meeting held at MCA's offices on October 23, 1974, have recommended joint industry support of the following studies, with projected costs. The Technical Panel on Vinylidene Chloride Research, and its working sub-panels, as appropriate to further the purposes of this program, would also develop and make publicly available technical reports on work practices, industrial hygiene controls, monitoring, and analysis, and the medical surveillance of ex posed workers. Funding Funding is proposed to be shared equally between manufac turers and users of VDCM. The Dow Chemical Company and PPG Industries, Inc., as manufacturers of VDCM, would each bear twenty-five percent of the program costs. Users of VDCM, cate gorized in three classes as small (less than 5,000,000 lbs. annual consumption) medium (5,000,000 to 50,000,000 lbs., annual consumption) and large (over 50,000,000 lbs. annual consumption) users, would divide the other 50% among them. All members of a given category of users will contribute equal shares to the program support. The shares of the three classes will be in the ratios of 1:3:10. - Supervision The program is to be supervised on MCA's behalf by a Tech nical Panel on Vinylidene Chloride Research composed of one technical representative from each subscribing company, plus an MCA staff representative who would also serve as Project Manager. Stipulations The scientific information developed from this program is to be fully disclosed, without restriction. For purposes of consistency and control, however, all releases would be made solely through MCA, normally based on Technical Panel recommenda tions as to nature and timing. This requirement would not pre clude private scientific interchange of non-competitive informa tion useful to advancement of the program. It would be an ob ligation to inform the MCA staff representative on a current basis about all such interchanges and communications other than those internal to the company.
