April 3, 1968 By direction of the Chairman, and in accordance with the notice of March 22, 1968, a meeting of the Board of Directors of the Lead Industries Association, Inc., was held on April 3, 1968 in the Salon Richelieu, Queen Elizabeth Hotel, Montreal, Canada. Fowler, Director, Health and Safety Chairman Englehorn presided and Mr. Borcina served as Secretary. (1) CALL TO ORDER The meeting was called to order at 4:35 P.M. (2) ATTENDANCE The presence of 14 Directors and one representative of a Director constituted a quorum for the transaction of business. The Secretary presented a copy of the notice of meeting and agenda which had been mailed to each Director, as provided in Section 4.03 of the Corporation's By-Laws. The copy was ordered filed with the minutes as Exhibit "A" (Sent to Directors on March 22, 1968) (3) MINUTES OF PREVIOUS MEETING In the absence of comments, the minutes of the meeting of the Board of Directors held in December 5, 1967, in New York were ordered approved as circulated. (4) REPORT OF NOMINATING COMMITTEE FOR OFFICERS The Nominating Committee for Officers, composed of L. J. Randall, Chairman, W. Allen Taft, Jr. and Herbert M. Weed reported that under the By-Laws of the Association none of the present officers representing members are eligible for reelection in their present offices, having served two consecutive terms. The Committee therefore placed in nomination the following slate to serve until the next annual meeting: Board of Directors Meeting Minutes -3- * April 3, 1968 (4) REPORT OF NOMINATING COMMITTEE FOR OFFICERS (Continued) Aubrey M. Callis - President and Chairman of the Board John R. Englehorn - Vice President J. G. McCullough - Vice President H. J. Whitson - Vice President The Committee also nominated the following paid officers of the Association: J. L. Kimberley David M. Borcina Dorothy L. Moore - Executive Vice President - Secretary-Treasurer - Assistant Treasurer There being no further nominations, it was moved, seconded and unanimously carried that nominations be closed and that the Secretary be instructed to cast one ballot for the slate recommended by the Nominating Committee. At this point, the new President and Chairman of the Board, Aubrey M. Callis, assumed the chair. The new Chairman, with the Board's approval, extended a vote of thanks to the retiring Chairman of the Board and President, John R. Englehorn, for his untiring efforts in behalf of the Lead Industries Association, Inc. A similar vote of appreciation was extended to the retiring Vice Presidents, Messrs. Ken Green, Simon Strauss and Warren Trask and to the retiring members of the Board, Messrs. Howard Morgan and Reuben Viener. (5) APPOINTMENT OF EXECUTIVE COMMITTEE The Chairman pointed out that the Executive Committee of the Board had previously been limited to six members but in view of the fact that the members had approved the increase in the size of the Board from 15 to 21 members, recommended that the Executive Committee be increased to 7 members. Whitson (6) REPORT ON MEMBERSHIP New Member The Secretary reported the election by letter ballot of the Board of Directors of Gould-National Batteries, Inc., First National Bank Bldg., St. Paul, Minn. 55101. Gould is a manufacturer of lead-acid industrial type batteries as well as auto motive batteries. Mr. D. J. Priebe, General Purchasing Agent is their official representative. At a question the Secretary reported that letters to new members announcing their election to membership are now sent out signed by the Executive Vice President. The Chairman recommended with the Board's approval, that in the future such letters be sent out on behalf of the Board of Directors. (7) REPORT ON FURTHER IMPROVEMENTS IN EFFICIENCY THROUGH CONSOLIDATION OF LIA/ZI The Executive Vice President reported that the consoli dation effected and reported on at the last meeting were continuing without problem and with economy. He further advised that 1968, representing the first year of LIA operation with an external public relations agency, offered an opportunity for a proper examination of savings and improvements in joint public relations efforts for LIA/ZI through comparison of the functioning of the Edward H. Weiss Company (now for lead) Hill and Knowlton Company (now for lead in health and safety) and the G. M. Basford Company (now for zinc). He expressed his intention to be in position to make specific recom mendations to the Boards of LIA and ZI before budget meeting times in the Fall of 1968. LI *C19 8 5 Board of Directors Meeting Minutes -5- April 3, 1968 (8) DISCUSSION OF HEALTH AND SAFETY ACTIVITIES At the request of the Chairman, the Director of Health and Safety reported that it has been suggested that mortality and morbidity studies of lead workers in the U.S., Canada, Australia and Europe be undertaken. He pointed out that there is every reason to believe that the mortality and morbidity rates of lead workers differ very little if any from those of non-lead workers and that such information would be invaluable in countering the adverse publicity that the industry now faces. He further suggested that an LIA biological analysis laboratory be established that could handle the blood and urine analyses of all exposed workers employed by the members of the Lead Industries Association. He pointed out that available labora tories are in the main not very accurate in their measurements and all are fairly expensive. He stated that a laboratory could be self-sustaining with fees at perhaps a third of that charged by the commercial laboratories. After some discussion the Board recommended that these two proposals be submitted to the Health and Safety Committee and that whatever action they suggest be presented to the Board for its consideration. (Note: The Health and Safety Committee met on April 16, 1968 and approved the two projects and are currently preparing proposals for submission to the Board) (9) DISCUSSION OF REGISTRATION FEES AT ANNUAL MEETING Mr. Englehorn stated that he had received answers from practically all of the Board members to whom he addressed his memorandum of December 12, 1967, requesting their opinion as to whether or not certain changes in elegibility for non-members attendance at annual meetings should be made. He reported that there was such a wide divergence of opinions expressed that no conclusion could be reached. It was the consensus that a draft letter be written by the Executive Vice President, for approval by the Executive Committee, and appropriate transmission (probably signed by the President) to the ranking individual of each non-member company producing and/or selling pig lead in the U.S. and attending the Annual Meeting inviting them to become members and to participate financially in the Associa tion's activities. LIAC19S6 Board of Directors Meeting Minutes -6- April 3, 1968 (10) REPORT ON LATIN AMERICAN TRIP. JANUARY, 1968 (J. L. Kimberley and R. L. Stubbs) The Executive Vice President reported that a compre hensive report of the Latin American trip was in existence, that it included certain financial assumptions which had not been accepted "by and large," and that the report would be in the hands of the Directors of LIA and ZI within two weeks with the qualification that the financial remarks covering the cost of the work in the developing areas of the world were to be disregarded at this time and until further notice. (Note: Copy of RLS/JLK report sent to Directors on April 15, 1968) (11) REPORT ON REVISION OF INTERNATIONAL FUNDING FOR PROMOTIONAL WORK IN WORLD'S DEVELOPING AREAS The proposal for the International funding for promo tional work in the World's developing areas was then discussed. It was pointed out that the U.S. was a net importer and that such a program would be of more direct benefit to export ing countries. It was then recommended that action be deferred until the overseas development organizations present a firm plan. (12) TIME AND PLACE OF 1970 ANNUAL MEETING The Secretary reported that the 1969 Annual Meeting is definitely scheduled for the Drake Hotel, Chicago, 111., jointly with the Zinc Institute on April 14-16, 1969, LIA preceding. Also that tentative arrangements had been made in St. Louis, Mo. for the 1970 annual meeting. A motion was thereupon made, seconded and unanimously carried to hold the 1970 meeting jointly with the Zinc Institute, Inc., at the Chase-Park Plaza Hotel, St. Louis, Mo., on April 8-10, 1970, the Zinc Institute preceding.
