Gentlemen:
. This letter yill record the agreements previously reached hy representatives of Advocate Mines Limited(Advocate) and Compagnie Financiers Eternit, S.A. (CFE) pertaining to the sale and purchase of asbestos fibre produced by Advocate. .
During the period 1976 through 1985, inclusive. Advocate agrees to sell to CFE and CFE agrees to purchase from Advocate 55/72 of Advocate's production of asbestos fibre grade A-25 and 100% of Advocate's production of asbestos fibre grade A-35. The price for both grades of fibre is to be competitive with prices charged by any other Canadian pro ducers of asbestos fibre of like grade and quality.
At the request of CFE, Advocate may act a3 attorneyin-fact for CFE in the preparation of shipping documents and consular invoices pertaining to the shipment of fibre to asso ciates and customers of CFE and Advocate will, if requested, assist in arranging shipment according to CFE's instructions.
During each month in which CFE purchases the specified percentages of Advocate production, CFE will be allowed a standard discount of fifteen percent (15%) of Advocate's list price. Further discounts may be negotiated at any time for any agreed, upon period of time. The discounts will be.remitted to CFE on CFE's instruction at the end of each month during which the required purchases were made.

Advocate's standard terms and conditions of sale shall apply to sales under this agreement but the provisions of this letter will prevail if there is any conflict with those standard terms and conditions now in effect. This letter sets forth the total agreement between the parties as to sales of grades A-25 and A--35 asbestos fibre and may be amended only by written consent of the parties. The agreement may not be assigned except with the consent of the parties.
The discount allowed under this agreement is in recognition of the value to Advocate of having an assured long-term contract for the sale of the majority of Advocate's production in bulk quantities.
If you approve all the terms set forth above, please return two executed copies to me at Jeffrey for my review and execution. We will then return one fully executed copy to you..
