MINUTES OP A SPECIAL MEETING OP BOARD OP DIRECTORS OP RIVER SMELTING & REPINING COMPANY Held January 26, 1917, -o-o-o- A special meeting of the Board of Directors of River Smelting and Refining Company was held at the office of the National Lead Company, 111 Broadway, New York City, on the 26th day of January, 1917, at 2:00 o'clock P. M. There were present Messrs E. J. Cornish, Geo, 0. Carpenter and R, G. Hall. The President, Mr. E. J. Cornish, acted as Chairman, and R. G. Hall was instructed to act as Sec retary of the meeting. The General Manager reported that a plant for the manufacture of hard lead had been erected by and at the cost of the United Lead Company upon the premises of the River Smelting & Refining Company at Keokuk, Iowa. That the terms of a lease for sufficient ground for this plant had been agreed upon between the representatives of the River Smelting & Refin ing Company and United Lead Company, and that a contract ought to be made between River Smelting & Refining Company and United Lead Company for the operation of this plant as agreed upon. On request, Mr. J. R. ffettstein. President of the United Lead Company, was present, and the terms of a contract were agreed upon by discussion. It was agreed that River Smelt ing & Refining Company should execute to United Lead Company a lease, with the right to purchase, of a certain acerage on the premises of River Smelting & Refining Company at Keokuk, Iowa, at an agreed upon rental of $300.00 per annum. That River Smelting & Refining Company should give to United Lead Company, for the purpose of operating their plant, trackage rights over their tracks to get material into and out of their plant at Keokuk; should give to them the right of egress and ingress to that plant; should sell them water at cost to River Smelting & Refining Company, and should supply them with such power as United Lead Company would require for the operation of their plant and the manufacture of their product; all subject to the prior rights of and without interference with the operations of the plants of the River Smelting & Refining Company now or in the future. For these rights United Lead Company would agree to pay for all hard lead manufactured in their plant or plants N 26038 -2- at Keokuk up to and including December 31, 1916, the stun of $2.50 per ton, and from and after January 1, 1917 the sum of $5.00 per ton for all hard lead manufactured; this compensation to be in full for the privileges granted by River Smelting fie Refining Company, and the Secretary was instructed to draw up a contract embodying these terms. R. G. Hall reported unsatisfactory conditions in the operation of the Keokuk plant and asked for the co-operation of Dr. G. W. Thompson, Chief Chemist of the National Lead Company. The following appropriations were asked for for the following additional apparatus to the Keokuk, Iowa, plant: 1 Dorr Thickener and 1 Agitator at an estimated cost of $2,000.00 1 Drying Apparatus of a submitted and approved design 3,000.00 1 3-Phase Thermo-Electro Furnace, for the manufacture of Blue Powder 2,000.00 On motion the above sums were appropriated for the purposes named. At the Florence, Colorado, plant, for the purpose of constructing a Reverbatory Furnace for experimental purposes the sum of $10,000.00 was required, and for the operation of same for a period of sixty days $5,000.00.
